  5.                NOTICE -- READ THIS BEFORE USING THE SOFTWARE

  7.      INSTALLING AND USING THE SOFTWARE ACCOMPANYING THIS LICENSE
  8.      INDICATES YOUR ACCEPTANCE OF THESE TERMS AND CONDITIONS. READ ALL
  9.      OF THE TERMS AND CONDITIONS OF THIS LICENSE AGREEMENT PRIOR TO
  10.      INSTALLING OR USING THE SOFTWARE. IF YOU DO NOT ACCEPT THESE
  11.      TERMS, YOU MUST DELETE THE SOFTWARE FROM YOUR HARDWARE.

  15.      PLEASE NOTE THAT YOU MAY NOT USE, COPY, MODIFY OR TRANSFER THE
  16.      PROGRAM OR DOCUMENTATION OR ANY COPY, EXCEPT AS EXPRESSLY
  17.      PROVIDED IN THIS AGREEMENT.

  19.      LICENSE: This software program (the "Program") and the
  20.      accompanying on-line read-me and help files (the "Documentation")
  21.      are licensed, not sold, to you. The term "Program" shall also
  22.      include any updates of the Program licensed to you by NetManage.
  23.      Subject to the terms of this agreement, you have a non-exclusive
  24.      and nontransferable right to use the Program and Documentation
  25.      for non-commercial (e.g not for resale or rental or the like),
  26.      educational, evaluation or personal purposes only. You may use
  27.      this Program on a single computer located in the United States
  28.      and its territories or any other country to which this Program is
  29.      legally exported. This Program is "in use" on a computer when it
  30.      is loaded into the temporary memory (i.e. RAM) or installed into
  31.      the permanent memory (e.g. hard drive, CD-ROM or other storage
  32.      device) of that computer, except that a copy installed on a
  33.      network server for the sole purpose of distribution to other
  34.      computers is not "in use." If you permanently install the Program
  35.      on the hard disk or other storage device of a computer (other
  36.      than a network server) and you use that computer more than 80% of
  37.      the time it is in use, then you may also use the Program on a
  38.      portable or home computer. You may merge it into another Program
  39.      for your use on a single machine. You agree to use your best
  40.      efforts to prevent and protect the contents of the Program and
  41.      Documentation from unauthorized disclosure or use. NetManage and
  42.      its licensors reserve all rights not expressly granted to you.
  43.      NetManage's licensors are the intended third party beneficiaries
  44.      of this agreement and have the express right to rely upon and
  45.      directly enforce the terms set forth herein.

  47.      LIMITATION ON USE: You may not rent, lease, sell or otherwise
  48.      transfer or distribute copies of the Program or Documentation to
  49.      others. You may not modify or translate the Program or the
  50.      Documentation without the prior written consent of NetManage. You
  51.      may not reverse assemble, reverse compile or otherwise attempt to
  52.      create the source code from the Program. You may not use
  53.      NetManage's name or refer to NetManage directly or indirectly in
  54.      any papers, articles, advertisements, sales presentations, news
  55.      releases or releases to any third party without the prior written
  56.      approval of NetManage for each such use. You may not release the
  57.      results of any performance or functional evaluation of any
  58.      Program to any third party without prior written approval of
  59.      NetManage for each such release.

  61.      BACKUP AND TRANSFER: You may make one copy of the Program for
  62.      backup purposes if NetManage's copyright notice is included. You
  63.      may not sublicense, assign, delegate, rent, lease, time-share or
  64.      otherwise transfer this license or any of the related rights or
  65.      obligations for any reason. Any attempt to make any such
  66.      sublicense, assignment, delegation or other transfer by you shall
  67.      be void. You may physically transfer the Program from one
  68.      computer to another provided that you do not retain any copies of
  69.      the Program, including any copies stored on a computer.

  71.      COPYRIGHT: The Program and related Documentation are copyrighted
  72.      by NetManage and its licensors. You may not copy the Program (or
  73.      this license) except to provide a backup copy and to load the
  74.      Program into the computer as part of executing the Program. You
  75.      may make one copy of the Documentation and print one copy of any
  76.      on-line documentation or other materials provided to you in
  77.      electronic form. Any and all other copies of the Program and any
  78.      copy of the Documentation made by you are in violation of this
  79.      license.

  81.      OWNERSHIP: You agree that the Program and Documentation belong to
  82.      NetManage and its licensors. You agree that you neither own nor
  83.      hereby acquire any claim or right of ownership to the Program and
  84.      Documentation or to any related patents, copyrights, trademarks
  85.      or other intellectual property. NetManage and its licensors
  86.      retain all right, title and interest in and to the Documentation
  87.      and all copies and the Program at all times, regardless of the
  88.      form or media in or on which the original or other copies may
  89.      subsequently exist. This license is not a sale of the original or
  90.      any subsequent copy. All content accessed through the Program is
  91.      the property of the applicable content owner and may be protected
  92.      by applicable copyright law. This license gives you no rights to
  93.      such content.

  95.      TERM AND TERMINATION: This license is effective until terminated.
  96.      You may terminate this license at any time by destroying the
  97.      Program and Documentation and the permitted backup copy. This
  98.      license automatically terminates if you fail to comply with its
  99.      terms and conditions. You agree that, upon such termination, you
  100.      will either destroy (or permanently erase) all copies of the
  101.      Program and Documentation, or return the original Program and
  102.      Documentation to NetManage, together with any other material you
  103.      have received from NetManage in connection with the Program.

  105.      DISCLAIMER OF WARRANTY: NETMANAGE AND ITS LICENSORS PROVIDE THE
  106.      PROGRAM AND THE DOCUMENTATION "AS IS" WITHOUT WARRANTY OF ANY
  107.      KIND EITHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING BUT NOT
  108.      LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS
  109.      FOR A PARTICULAR PURPOSE. Should the Program prove defective, you
  110.      and not NetManage assume the entire cost of any service and
  111.      repair. This disclaimer of warranty constitutes an essential part
  112.      of this agreement.

  114.      Some states do not allow the exclusion of implied warranties, so
  115.      the above exclusion may not apply to you. This warranty gives you
  116.      specific legal rights and you may also have other rights which
  117.      vary from state to state.

  119.      LIMITATION OF REMEDIES: IN NO EVENT WILL NETMANAGE OR ITS
  120.      LICENSORS BE LIABLE FOR ANY INDIRECT DAMAGES OR OTHER RELIEF
  121.      ARISING OUT OF YOUR USE OR INABILITY TO USE THE PROGRAM
  122.      INCLUDING, BY WAY OF ILLUSTRATION AND NOT LIMITATION, LOST
  123.      PROFITS, LOST BUSINESS OR LOST OPPORTUNITY, OR ANY SPECIAL,
  124.      INCIDENTAL OR CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING LEGAL
  125.      FEES, ARISING OUT OF SUCH USE OR INABILITY TO USE THE PROGRAM,
  126.      EVEN IF NETMANAGE, ITS LICENSORS OR AN AUTHORIZED NETMANAGE
  127.      DEALER, DISTRIBUTOR OR SUPPLIER HAS BEEN ADVISED OF THE
  128.      POSSIBILITY OF SUCH DAMAGES, OR FOR ANY CLAIM BY ANY OTHER PARTY.

  130.      Some states do not allow the exclusion or limitation of
  131.      incidental or consequential damages so the above limitation or
  132.      exclusion may not apply to you.

  134.      This license will be governed by the laws of the State of
  135.      California as applied to transactions taking place wholly within
  136.      California between California residents.
  137.  
  138.      EXPORT CONTROLS:The Program and the underlying information and
  139.      technology may not be downloaded or otherwise exported or
  140.      reexported (i) into (or to a national or resident of) Cuba, Iraq,
  141.      Libya, Yugoslavia, North Korea, Iran, Syria or any other country
  142.      to which the U.S. has embargoed goods; or (ii) to anyone on the
  143.      U.S. Treasury Department's list of Specially Designated Nationals
  144.      or the U.S. Commerce Department's Table of Deny Orders. By
  145.      downloading or using the Program, you are agreeing to the
  146.      foregoing and you represent and warrant that you are not located
  147.      in, under the control of, or a national or resident of any such
  148.      country or on any such list.

  150.      U.S. GOVERNMENT END USERS: The Program is a "commercial item," as
  151.      that term is defined at 48 C.F.R. 2.101 (Oct. 1995), consisting
  152.      of "commercial computer software" and "commercial computer
  153.      software documentation," as such terms are used in 48 C.F.R.
  154.      12.212 (Sept. 1995). Consistent with 48 C.F.R. 12.212 and 48
  155.      C.F.R. 227.7202-1 through 227.7202-4 (June 1995), all U.S.
  156.      Government End Users acquire the Program with only those rights
  157.      set forth herein.
