  1. SOFTWARE LICENSE AGREEMENT

  4. Activision is committed to bringing you the best possible computer games. 
  5. In pursuit of this goal, we created the Dark Reign Construction Kit so you 
  6. can develop additional game missions and related material, for your personal 
  7. use and for you to share with fellow gamers free of charge. This is a powerful 
  8. new technology and we are excited about making it available to you. New 
  9. technology, however, brings new challenges--and new responsibilities. Some 
  10. people may try to use the Construction Kit to create new game missions and 
  11. material only for commercial sale. This hurts the entire gaming community, the 
  12. developers of Dark Reign, and Activision. In light of this situation, we are 
  13. forced to take steps to protect our mutual interests and insure that a small 
  14. group of people do not take advantage of the Construction Kit at our expense. 
  15. The license agreement below is designed to insure that the Construction Kit 
  16. is utilized exclusively for personal use, without charge to others.

  19. IMPORTANT - READ CAREFULLY: DARK REIGN: THE FUTURE OF WAR (THE "PROGRAM")
  20. CONTAINS A MISSION CONSTRUCTION KIT ("CONSTRUCTION KIT") THAT ALLOWS YOU TO
  21. CREATE CUSTOMIZED NEW GAME MISSIONS AND OTHER RELATED GAME MATERIALS FOR
  22. PERSONAL USE IN CONNECTION WITH THE PROGRAM ("NEW GAME MATERIALS"). THE USE OF
  23. THE CONSTRUCTION KIT IS SUBJECT TO THE SOFTWARE LICENSE TERMS SET FORTH BELOW.
  24. BY CLICKING ON THE "ACCEPT" BUTTON, YOU ARE CONSENTING TO BE BOUND BY AND ARE
  25. BECOMING A PARTY TO THIS AGREEMENT WITH ACTIVISION, INC.  ("ACTIVISION"). IF
  26. YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, CLICK ON THE "DO NOT ACCEPT"
  27. BUTTON AND RETURN TO THE GAME.

  30. LIMITED USE LICENSE.

  33. Activision grants you the non-exclusive, non-transferable, limited right to
  34. use the Construction Kit for the purpose of creating New Game Materials solely
  35. and exclusively for personal use. For purposes of this Agreement, "New Game
  36. Materials" represent computer data that modifies, substitutes for or adds new
  37. materials to the materials currently contained in the Product, thus modifying
  38. or replacing one or more existing game missions and other constituent elements
  39. provided in the Product. You shall not create New Game Materials, or tools
  40. that have no substantial purpose other than to contribute to the creation of
  41. New Game Materials, except as expressly permitted pursuant to this Agreement.
  42. All rights not specifically granted under this Agreement are reserved by
  43. Activision. The Construction Kit is licensed, not sold. Your license and the
  44. use of the Construction Kit confers no title or ownership in the Construction
  45. Kit or the New Game Materials created using the Construction Kit and should
  46. not be construed as a sale of any rights in the Construction Kit or such New
  47. Game Materials.

  50. OWNERSHIP

  53. All title, ownership rights and intellectual property rights in and to the
  54. Construction Kit and the New Game Materials created by you using the
  55. Construction Kit are owned by Activision or its licensors and are protected by
  56. the copyright laws of the United States, international copyright treaties and
  57. conventions and other laws. In the event that  you should, by operation of
  58. law, be deemed to retain any rights in any New Game Materials created by you,
  59. you, by using the Construction Kit,  hereby irrevocably assign, without any
  60. further consideration and regardless of any use by Activision of such New Game
  61. Materials, all of your rights and interest, if any, in and to such New Game
  62. Materials to Activision. You also hereby grant Activision an irrevocable,
  63. perpetual, exclusive, fully paid and royalty-free license to exercise any
  64. rights, including moral rights, to any and all aspects of the New Game
  65. Materials. You agree that Activision shall have the full and complete right to
  66. package, publish, print, copy, promote, market, distribute, transfer and
  67. display the New Game Materials created by you and prepare derivative works
  68. based upon such New Game Materials, and any derivative works thereof, anywhere
  69. throughout the world.

  75. * You agree that as a condition to Activision's consent to allow you to use
  76. the Construction Kit, you will not use or allow third parties to use the
  77. Construction Kit and the New Game Materials created by you for commercial
  78. purposes, including but not limited to selling, renting, leasing, licensing,
  79. distributing, or otherwise transferring the ownership of such New Game
  80. Materials, whether on a stand alone basis or packaged in combination with the
  81. New Game Materials created by others, through any and all distribution
  82. channels, including, without limitation, retail sales and on-line electronic
  83. distribution. You agree not to solicit, initiate or encourage any proposal or
  84. offer from any person or entity to create any New Game Materials for
  85. commercial distribution. You agree to promptly inform Activision in writing of
  86. any instances of your receipt of any such proposal or offer.

  89. * If you decide to make available the use of the New Game Materials created by
  90. you to your friends, family, co-workers and other fellow gamers, you agree to
  91. do so solely without charge.

  94. * You shall create New Game Materials only if such New Game Materials can be
  95. used exclusively in combination with the retail version of the Product. The
  96. New Game Materials may not be designed to be used as a stand-alone product.

  99. * New Game Materials shall not contain modifications to any COM, EXE or DLL
  100. files or to any other executable Product files.

  103. * New Game Materials must not contain any illegal, obscene or defamatory
  104. materials, materials that infringe rights of privacy and publicity of third
  105. parties or (without appropriate irrevocable licenses granted specifically for
  106. that purpose) any trademarks, copyright-protected works or other properties of
  107. third parties.

  110. * You will not use the Construction Kit to reverse engineer, extract source
  111. code, modify, decompile or disassemble the Program, in whole or in part.

  114. TERMINATION

  117. Without prejudice to any other rights of Activision, this Agreement will
  118. terminate automatically if you fail to comply with its terms and conditions.
  119. In such event, you must immediately discontinue the use of the Construction
  120. Kit and any New Game Materials created using the Construction Kit.

  123. INJUNCTION

  126. Because Activision would be irreparably damaged if the terms of this Agreement
  127. were not specifically enforced, you agree that Activision shall be entitled,
  128. without bond, other security or proof of damages, to appropriate equitable
  129. remedies with respect to breaches of this Agreement, in addition to such other
  130. remedies as Activision may otherwise have under applicable laws.

  136. You agree to indemnify, defend and hold Activision, its partners, affiliates,
  137. contractors, officers, directors, employees and agents harmless from all
  138. damages, losses and expenses arising directly or indirectly from your acts and
  139. omissions to act in using the Construction Kit pursuant to the terms of this
  140. Agreement.

  146. This Agreement represents the complete agreement concerning this license
  147. between the parties and supersedes all prior.
