  1.          LOTUS  DOMINO/NOTES SOFTWARE AGREEMENT
  2.  
  3. IF YOU DO NOT AGREE WITH THESE TERMS AND CONDITIONS,
  4. DO NOT INSTALL THE SOFTWARE.
  5.  
  6. 1. USE
  7.  
  8. You  may use the Lotus software products  (individually and
  9. collectively, the "Software"), in the quantities purchased ,
  10. provided you abide by the terms and conditions of this
  11. Agreement.  In addition you may make one (1) archival copy of
  12. the Software.
  13.  
  14. FOR TRIAL USE:
  15.  
  16. You may evaluate the Software for a period of ninety (90) days
  17. (the "Trial Period").  If you wish to continue using the
  18. Software, you must purchase a copy of the Software during the
  19. Trial Period in order for your continued use of the Software to
  20. be legal. Multiple Trial Periods are prohibited.
  21.  
  22. Software acquired for evaluation during a Trial Period is
  23. provided on an "AS IS" basis. Lotus makes no warranty,
  24. representation, promise or guarantee, either express or implied,
  25. statutory or otherwise, with respect to the Software, the user
  26. documentation or any related technical support, including their
  27. quality, performance, merchantability or fitness for a
  28. particular purpose.  Some jurisdictions do not allow exclusions
  29. of an implied warranty, so this disclaimer may not apply to you
  30. and you may have other legal rights that vary by jurisdiction.

  32. Lotus Notes Clients (Lotus Notes Client, Lotus Notes Desktop 
  33. Client, Lotus Notes Mail Client, Lotus NotesSuite and Lotus
  34. NotesSuite Desktop)
  35.  
  36. You must acquire one copy of the Software for each unique Notes 
  37. User ID that is issued.  The Software may also be installed on 
  38. a home and/or laptop computer, but only the authorized user may 
  39. access the Software. You may create user IDs only for the 
  40. specific Lotus Notes Client version (e.g. Desktop Client) 
  41. purchased. You are not required to acquire additional copies of 
  42. the Software when you create Lotus Notes IDs for scheduling 
  43. applications such as Lotus Organizer. Please refer to the 
  44. Installation Guide accompanying the Software for other 
  45. information regarding the use of Lotus Notes Clients.

  48. Lotus Notes Designer for Domino
  49.  
  50. You must acquire one copy of the Software for each application 
  51. developer.  In addition to using the Software to design, 
  52. develop and test your software application products, you may 
  53. also use the Software as your Lotus Notes client.  The Software 
  54. also gives you the right to use Lotus Bean Machine (according to 
  55. the terms set forth below) and Lotus Notes Global Designer.

  58. Lotus Domino Servers and Domino Go Webserver
  59.  
  60. You must acquire one copy of the Software for each "Server" on 
  61. which the Software will be installed. A "Server" is defined as 
  62. a central processing unit ("CPU"), or group of CPUs, that 
  63. accesses its or their own individual non-cache Random Access 
  64. Memory ("RAM").   You  may not publish or provide results of 
  65. benchmark or other performance tests run with any Domino Server 
  66. product without Lotus' prior written consent.  Please note that 
  67. you must purchase the right to use Domino Advanced Services for 
  68. each Server to access the "Clustering," "Billing," or 
  69. "Partitioning" features of any Domino Server product.
  70.  
  71. Lotus Domino Mail Server for Single Processor and Lotus Domino 
  72. Server  for Single Processor
  73.  
  74. These products  may only be used on a Server with one CPU.  
  75. The Lotus Domino Mail Server for Single Processor entitles you 
  76. to host only those predefined templates which are installed with 
  77. the Domino Mail Server (including, but not limited to, chat, 
  78. discussion, calendaring and scheduling, and messaging 
  79. applications).  The Lotus Domino Server for Single Processor 
  80. entitles you to host all applications included with the Domino 
  81. Server, as well as any custom or third-party  applications which 
  82. are available to you.

  86. Lotus Domino SMP (Symmetric Multi-Processor) Services
  87.  
  88. If you wish to use a Domino Server product on a Server with 
  89. multiple CPUs, you must purchase the Domino Server for Single 
  90. Processor and Domino SMP Services.  You must first acquire a copy 
  91. of either Domino Server or Domino Mail Server in order to run 
  92. Domino SMP Services.

  95. Lotus Domino Advanced Services
  96.  
  97. You must acquire the right to use Domino Advanced Services  for 
  98. each Server on which you wish to run the Software.  You must first 
  99. acquire a copy of either Domino Server or Domino Mail Server in 
  100. order to run Domino Advanced Services.

  103. Lotus Domino Mail Access
  104.  
  105. You must first acquire a copy of either Domino Server or Domino 
  106. Mail Server in order to use Domino Mail Access.  You must pay 
  107. an access fee for each user who accesses a unique mail file on 
  108. your server. You are not required to pay an access fee for (i) 
  109. users who access the mail file with a Lotus email client, or (ii) 
  110. users who access non-mail databases or the replica of an already 
  111. paid for mail file.

  114. FOR UPGRADES AND TRADE-UPS:
  115.  
  116. If the Software is an upgrade or a trade-up, you are authorized
  117. to use the Software only if you are an authorized user of a
  118. qualifying product as determined by Lotus and provided you (i)
  119. either delete the qualifying product or install the new product
  120. on the same computer or network as the qualifying product and
  121. (ii) do not transfer the qualifying product to any other person.

  124. FOR USERS OF FOREIGN LANGUAGE VERSIONS:
  125.  
  126. If you purchase an English-language version of the Software, you
  127. may use any English-language version of the Software, provided
  128. you purchase the appropriate media and provided more than one
  129. version is not installed at the same time.  If you purchase a
  130. multi-lingual version of the Software, you may use any
  131. commercially-available language version of the Software,
  132. provided you purchase the appropriate media and provided more
  133. than one version is not installed at the same time.  In Canada,
  134. if you purchase either the English-language version or the
  135. French-language version, you may use both versions, provided you
  136. purchase the appropriate media and provided more than one
  137. version is not in use at the same time.

  141. 2. RESTRICTIONS
  142.  
  143. You may not alter, merge, modify or adapt the Software in any
  144. way including reverse engineering, disassembling or decompiling.
  145. You may not sell, distribute, loan, rent, lease, license or
  146. otherwise transfer the Software or any copy, except, you may
  147. permanently transfer the Software (including all prior versions)
  148.  provided you transfer the Software Agreement, all media and
  149. documentation and you do not retain any copies of the Software. 
  150. If the Software is demonstration and evaluation ("D&E")
  151. software, you may not transfer the Software for commercial
  152. purposes.

  156. 3.  INTELLECTUAL PROPERTY RIGHTS
  157.  
  158. All intellectual property rights in the Software and user
  159. documentation are owned by Lotus or its suppliers and are
  160. protected by United States and Canadian intellectual property
  161. laws (including patent, trademark and copyright laws), other
  162. applicable intellectual property laws, and international treaty
  163. provisions.  Lotus retains all rights not expressly granted.

  167. 4. ADOBE TYPE MANAGER SOFTWARE
  168.  
  169. If your Software contains Adobe Type Manager ("ATM") you may
  170. install and use ATM software on up to three (3) computers. 
  171. Outline Fonts: You agree that you will use the Outline Fonts to
  172. reproduce and display typefaces solely for your own customary
  173. business or personal purposes on (i) one printer which either
  174. contains a PostScript language interpreter or is attached to a
  175. central processing unit which utilizes ATM or the Display
  176. PostScript System from Adobe and (ii) one or more workstations
  177. utilizing ATM. Except as described in this paragraph, the Lotus
  178. Software Agreement (including the Limited Warranty and U.S.
  179. Government Restricted Rights) will apply to the ATM Software.

  183. 5. LIMITED WARRANTY
  184.  
  185. For ninety (90) days from your date of purchase, Lotus warrants
  186. that (i) the Software will substantially conform to the
  187. applicable user documentation and (ii) that the magnetic media
  188. on which the Software is distributed and the user documentation
  189. (if any) are free from defects in materials and workmanship. 
  190. Lotus will, at its option, refund the amount you paid for the
  191. Software or provide you with corrected items at no charge
  192. provided that the defective item(s) is returned to Lotus within
  193. ninety (90) days from the date of purchase.  Any misuse or
  194. unauthorized modification of the Software will void this limited
  195. warranty.

  197. Except as specifically provided herein, Lotus makes no warranty,
  198. representation, promise or guarantee, either express or implied,
  199. statutory or otherwise, with respect to the Software, the user
  200. documentation or any related technical support, including their
  201. quality, performance, merchantability or fitness for a
  202. particular purpose.

  204. The warranty and remedies set forth herein are exclusive and in
  205. lieu of all others, oral or written, express or implied.  This
  206. warranty gives you specific legal rights, and you may also have
  207. other rights which vary from state to state.

  210.  
  211. 6. LIMITATION OF LIABILITY
  212.  
  213. Because software is inherently complex and may not be completely
  214. free of errors, it is your responsibility to verify your work
  215. and to make backup copies.  In no event will Lotus be liable for
  216. (i) indirect, special, incidental, tort, economic, cover or
  217. consequential damages arising out of the use of or inability to
  218. use Lotus products or services, including, without limitation,
  219. damages or costs relating to the loss of profits, business,
  220. goodwill, data or computer programs, even if advised of the
  221. possibility of such damages, or (ii) any claim that arose more
  222. than one (1) year prior to the institution of suit thereon.  In
  223. no case shall Lotus' liability exceed the amount paid by you for
  224. the Software.  The foregoing limitations shall not apply to
  225. claims relating to death or personal injury which arise out of
  226. products deemed to be consumer goods under applicable law.  
  227. Some states, provinces or countries do not allow the exclusion
  228. or limitation of implied warranties or limitation of liability
  229. for incidental or consequential damages, so the above exclusion
  230. or limitation may not apply to you.

  233. 7. U.S. GOVERNMENT RESTRICTED RIGHTS
  234.  
  235. The Software and/or user documentation are provided with
  236. RESTRICTED AND LIMITED RIGHTS. Use, duplication or disclosure by
  237. the Government is subject to restrictions as set forth in FAR
  238. 52.227-14 (June 1987) Alternate III(g)(3) (June 1987), FAR
  239. 52.227-19 (June 1987), or DFARS 52.227-7013 (c)(1)(ii) (June
  240. 1988), as applicable. Contractor/Manufacturer is Lotus
  241. Development Corporation, 55 Cambridge Pkwy., Cambridge, MA
  242. 02142.  In the event the Government seeks to obtain the Software
  243. pursuant to standard commercial practice,this software
  244. agreement, instead of the noted regulatory clauses,shall control
  245. the terms of the Government's license.

  248. 8. GENERAL
  249.  
  250. No Lotus reseller, distributor, agent or employee is authorized
  251. to make any modification or addition to this Agreement.  The
  252. export of the International Version of Lotus Notes and other
  253. Lotus products is governed by the U.S. Department of Commerce
  254. under the export administration regulations and by Canadian
  255. export regulations.  The export of the North American Version of
  256. Lotus Notes and Lotus Domino is governed by the U.S. Department of State under the International Traffic in Arms Regulations.  It is your
  257. responsibility to comply with all such regulations.  This
  258. Agreement will be governed by the laws of the Commonwealth of
  259. Massachusetts.
