  1. LOTUS  SOFTWARE AGREEMENT
  2. LOTUS BEANMACHINE FOR JAVA
  3.  
  4. IF YOU DO NOT AGREE WITH THESE TERMS AND CONDITIONS, DO NOT
  5. INSTALL THE SOFTWARE.
  6.  
  7. THIS SOFTWARE IS TIME-DISABLED. "TIME DISABLED" MEANS THAT 
  8. ALL FEATURES WILL OPERATE FOR A SPECIFIED PERIOD OF TIME.  
  9. WITHIN THIRTY (30) DAYS OF INSTALLATION , THE SOFTWARE WILL 
  10. CEASE TO OPERATE.
  11.  
  12. 1. USE
  13. Lotus grants you the right to download and use the trial 
  14. version of the Lotus BeanMachine, and related documentation 
  15. (the "Software") solely for the purpose of evaluating the 
  16. Software, subject to the terms and conditions of this 
  17. Agreement.  This Agreement does not constitute license 
  18. to use the Software after expiration of the trial period, 
  19. thirty days after installation, (the "Trial Period").  
  20. At the expiration of the Trial Period (or earlier if 
  21. so requested by Lotus), promptly de-install and 
  22. discontinue use of the Software, and destroy all 
  23. copies, including all compressed files or other files 
  24. (including documentation) made available to you by Lotus 
  25. under this Agreement (and any copies thereof).
  26.   
  27. You must acquire one copy of the Software for each 
  28. application developer. You may use the Software solely 
  29. for the purpose of designing, developing and testing 
  30. your software application products.
  31.  
  32. You may modify the source code versions of the Sample Files, if any, 
  33. included with the Software and redistribute such modified source code 
  34. versions in compiled, object code form only. You may also 
  35. redistribute, as part of your application(s), files designated as 
  36. "Redistributable Code." The Sample Files and Redistributable Code 
  37. files, if any, are identified in the README.TXT text file stored in 
  38. the BeanMachine root directory on disk as well as in the License 
  39. Information section of the online Help file.

  41. You (a) may distribute the Sample Code and/or Redistributable 
  42. Code only in conjunction with and as a part of your 
  43. application(s) and (b) may not use Lotus' name, logo or 
  44. trademarks to market your application.
  45.  
  46. Lotus is under no obligation to develop the Software or 
  47. market the Software.  Your  participation in this Trial 
  48. shall be at no charge, and your participation shall not 
  49. obligate you to purchase additional software from Lotus.

  51. 2. RESTRICTIONS
  52. Except as expressly provided in Section 1, you may not 
  53. alter, merge, modify or adapt the Software in any way 
  54. including reverse engineering, disassembling or decompiling.
  55. You may not sell, distribute, loan, rent, lease, license or
  56. otherwise transfer the Software or any copy, except, you
  57. may permanently transfer the Software (including all prior
  58. versions) provided you transfer the Software Agreement,
  59. all media and documentation and you do not retain any copies
  60. of the Software. If the Software is demonstration and
  61. evaluation ("D&E") software, you may not transfer the
  62. Software for commercial purposes.

  64. 3.  INTELLECTUAL PROPERTY RIGHTS
  65. All intellectual property rights in the Software and user 
  66. documentation are owned by Lotus or its suppliers and are 
  67. protected by United States and Canadian intellectual 
  68. property laws (including patent, trademark and copyright 
  69. laws), other applicable intellectual property laws, and 
  70. international treaty provisions. Lotus retains all rights 
  71. not expressly granted.

  73. 4. LIMITED WARRANTY
  74. Due to the pre-release nature of the Software, Lotus makes 
  75. no warranties whatsoever as to the operational performance 
  76. of the Software. LOTUS DISCLAIMS ALL WARRANTIES WITH REGARD 
  77. TO THE SOFTWARE, INCLUDING WITHOUT LIMITATION ALL WARRANTIES 
  78. OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.  
  79. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, YOU ASSUME 
  80. THE ENTIRE RISK IF THE SOFTWARE CEASES TO FUNCTION WITHOUT 
  81. WARNING.

  83. Because software is inherently complex and may not be 
  84. completely free of errors, you are advised to verify and 
  85. back up your work. Additionally, Lotus does not 
  86. guarantee compatibility between the Software and any 
  87. future versions of the Software. The warranty and remedies 
  88. set forth herein are exclusive and in lieu of all others, 
  89. oral or written, express or implied.

  91. 5. LIMITATION OF LIABILITY
  92. Because software is inherently complex and may not be 
  93. completely free of errors, it is your responsibility
  94. to verify your work and to make backup copies.  In no event 
  95. will Lotus be liable for (i) indirect, special, incidental, 
  96. tort, economic, cover or consequential damages arising out 
  97. of the use of or inability to use Lotus products or services, 
  98. including, without limitation, damages or costs relating to 
  99. the loss of profits, business, goodwill, data or computer 
  100. programs, even if advised of the possibility of such damages, 
  101. or (ii) any claim that arose more than one (1) year prior to 
  102. the institution of suit thereon.  In no case shall Lotus' 
  103. liability exceed the amount paid by you for the Software.  
  104. The foregoing limitations shall not apply to claims relating 
  105. to death or personal injury which arise out of products deemed 
  106. to be consumer goods under applicable law.   Some states, 
  107. provinces or countries do not allow the exclusion or limitation 
  108. of implied warranties or limitation of liability for incidental 
  109. or consequential damages, so the above exclusion or limitation 
  110. may not apply to you.

  112. 6. U.S. GOVERNMENT RESTRICTED RIGHTS
  113. The Software and/or user documentation are provided with 
  114. RESTRICTED AND LIMITED RIGHTS. Use, duplication or 
  115. disclosure by the Government is subject to restrictions 
  116. as set forth in FAR 52.227-14 (June 1987) Alternate 
  117. III(g)(3) (June 1987), FAR 52.227-19 (June 1987), or 
  118. DFARS 52.227-7013 (c)(1)(ii) (June 1988), as applicable. 
  119. Contractor/Manufacturer is Lotus Development Corporation, 
  120. 55 Cambridge Pkwy., Cambridge, MA 02142.  In the event 
  121. the Government seeks to obtain the Software pursuant to 
  122. standard commercial practice, this software agreement, 
  123. instead of the noted regulatory clauses, shall control 
  124. the terms of the Government's license.

  126. 7. GENERAL
  127. No Lotus reseller, distributor, agent or employee is
  128. authorized to make any modification or addition to
  129. this Agreement.  The export of the International Version
  130. of Lotus Notes and other Lotus products is governed by
  131. the U.S. Department of Commerce under the export
  132. administration regulations and by Canadian export
  133. regulations.  The export of the North American Version
  134. of Lotus Notes is governed by the U.S. Department of
  135. State under the International Traffic in Arms Regulations.
  136. It is your responsibility to comply with all such
  137. regulations. This Agreement will be governed by the
  138. laws of the Commonwealth of Massachusetts.
