  3.                    THE SANTA CRUZ OPERATION
  4.                   SOFTWARE LICENSE AGREEMENT
  5.  
  6. IMPORTANT, READ CAREFULLY ALL TERMS AND CONDITIONS OF THIS 
  7. SOFTWARE LICENSE AGREEMENT ("LICENSE") WHICH IS INCLUDED WITH THE 
  8. PRODUCT OR WHICH APPEARS AS PART OF INSTALLATION OF THE SOFTWARE. 
  9. BY USING THE SOFTWARE, YOU ACKNOWLEDGE THAT YOU HAVE READ THIS 
  10. LICENSE AGREEMENT AND UNDERSTAND IT, AND YOU AGREE TO BE BOUND BY 
  11. ITS TERMS AND CONDITIONS.  IF YOU DO NOT AGREE TO THE TERMS OF 
  12. THIS LICENSE AGREEMENT, DO NOT USE THE SOFTWARE IN ANY MANNER AND 
  13. IMMEDIATELY RENDER IT UNUSEABLE; AND IN THE CASE OF PACKAGED 
  14. PRODUCT,  RETURN THE MEDIA PACKAGE AND THE ACCOMPANYING ITEMS 
  15. (INCLUDING WRITTEN MATERIALS AND BINDERS OR OTHER CONTAINERS) TO 
  16. THE PLACE YOU OBTAINED THEM.

  19. There may be provided with the Product free software which is 
  20. governed by the GNU Public License or the Artistic License which 
  21. the software owner requires to be read and accepted before using. 
  22.  
  23. YOU UNDERSTAND AND AGREE THAT THIS FREE SOFTWARE IS NOT PART OF 
  24. THE PRODUCT AND SCO MAKES NO WARRANTIES OF ANY KIND EXPRESSED OR 
  25. IMPLIED WITH RESPECT TO SUCH FREE SOFTWARE.
  26.  
  27. SCO OPTIONAL MAINTENANCE:
  28.  
  29. SCO may, at its discretion, notify You of Updates that SCO may 
  30. periodically make generally available for the Product, but only if
  31. you have completed and returned the Registration Card or 
  32. Registered electronically.  At your request, SCO, directly or, at 
  33. SCO's discretion, through its local authorized representative, 
  34. will provide you with such Updates, subject to the additional 
  35. charges that SCO or its authorized representative may establish.  
  36. Such an Update may be used as described under the GRANT Provision
  37. of this Agreement.  This Provision will not be interpreted to 
  38. require SCO to (i) develop and release Updates or (ii) customize 
  39. the Updates to satisfy Your particular requirements.  The Updates 
  40. will not include any new products that SCO decides to make 
  41. generally available as a separately priced upgrade or option.
  42.  
  43. DEFINITIONS
  44. "Agreement" is the contract between you ("You") and The Santa Cruz
  45. Operation, Inc. ("SCO"), relating to the Product acquired by You. 
  46. The Agreement comprises (i) this document, (ii) any additional 
  47. terms contained in the Documentation, and (iii) any amendments 
  48. agreed by both You and SCO in writing.  Such additional terms may 
  49. pertain, without limitation, to the following: term, fees and 
  50. payment, number of permitted Users, number of permitted CPUs, 
  51. registration requirements, restriction on runtime environment and 
  52. transfer of Your rights.
  53.  
  54.  
  55. "Documentation" is the documentation, including any Certificate of
  56. License and Authenticity (COLA) and/or any registration card that 
  57. is supplied for the Software.
  58.  
  59. "Product" is an SCO offering consisting of any or all of the 
  60. following: (i) the Software, (ii) the Documentation, (iii) the 
  61. Updates and (iv) any copy of the Software, Documentation or 
  62. Updates; to the extent made available by SCO.
  63.  
  64. "Software" is the machine-readable (object) code portion of the 
  65. Product and any human readable code contained on the media.
  66.  
  67. "Update" is the updates or revisions of the Software or 
  68. Documentation that You may receive.
  69.  
  70. "User" is a person accessing the Software via a local or remote 
  71. interactive device, such as a terminal or workstation, except 
  72. where such use is exclusive to routing or gateway functions of the
  73. Software.
  74.  
  75. GRANT
  76. SCO grants You and You accept from SCO, the following limited, 
  77. non-exclusive rights.  You are not granted any other right in the 
  78. Software.  All proprietary rights in or related to the Software 
  79. are and will remain the exclusive property of SCO or its 
  80. licensors.  You further acknowledge that the Software contains 
  81. confidential information owned by SCO or its licensors and agree 
  82. to take reasonable steps to protect the confidentiality of such 
  83. information.
  84.  
  85. You may load, copy or transmit the Software in whole or in part, 
  86. only as necessary to enable the Software to be used by up to the 
  87. permitted number of Users on the permitted number of computer 
  88. systems and CPUs as designated on the Certificate of License and 
  89. Authenticity (COLA). You must take reasonable means to assure that
  90.  
  91. the number of Users does not exceed the permitted number of Users. 
  92. You may make archival copies of the Software as required for back-
  93. up purposes.
  94.  
  95. YOU MAY PRINT OR COPY THE DOCUMENTATION ONLY FOR USE WITH LICENSED
  96. SCO SOFTWARE.
  97.  
  98. All trademarks, service marks, patents, copyright and other 
  99. proprietary notices must be reproduced when making copies in whole
  100. or in part.
  101.  
  102. You shall not modify, decompile, disassemble, decrypt, extract or 
  103. reverse engineer the Software for any purpose.  If You wish to 
  104. exercise any rights under Article 6.1b of the EC Directive on the 
  105. Legal Protection of Software, (Directive 91/250), You shall, in 
  106. the first instance, write to SCO's Legal Department.
  107.  
  108. LIMITED WARRANTY:
  109.  
  110. SCO warrants that upon Your receipt of the Product and for a 
  111. period of 90 calendar days thereafter, the media, if any, on which
  112. the Software is embedded will be free of defects in material and 
  113. workmanship under normal use.  SCO does not warrant that (i) the 
  114. Software and any related Updates will be free of defects, (ii) the
  115. Software will satisfy all of Your requirements or (iii) the use of
  116. the Software will be uninterrupted or error-free.
  117.  
  118. In case of breach of warranty related to the quality of the media,
  119. You must return at Your expense and no later than 10 days after 
  120. the expiration of the warranty period, the Product to SCO or its 
  121. local authorized representative, together with a copy of Your 
  122. dated Proof of Purchase.  SCO or its representative will replace 
  123. any defective media, or if not practicable, may terminate this 
  124. Agreement and refund to You the amount paid for the Product. You 
  125. acknowledge that this Paragraph sets forth Your exclusive remedy
  126. and SCO's exclusive liability for any breach of warranty or other 
  127. duty related to the quality of the Product.
  128.  
  129. LIMITATION OF LIABILITY:
  130.  
  131. EXCEPT FOR THE SCO WARRANTY SET OUT ABOVE, OR OTHERWISE EXPRESSLY
  132. PROVIDED IN A SEPARATE AGREEMENT WITH SCO OR YOUR SUPPLIER, ALL 
  133. WARRANTIES, CONDITIONS, REPRESENTATIONS, INDEMNITIES AND 
  134. GUARANTEES WITH RESPECT TO THE SOFTWARE, WHETHER EXPRESS OR 
  135. IMPLIED, ARISING BY LAW, CUSTOM, PRIOR ORAL OR WRITTEN STATEMENTS
  136. BY SCO, ITS LICENSORS OR REPRESENTATIVES OR OTHERWISE (INCLUDING, 
  137. BUT NOT LIMITED TO ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR 
  138. A PARTICULAR PURPOSE) ARE HEREBY OVERRIDDEN, EXCLUDED AND 
  139. DISCLAIMED.  SOME STATES OR COUNTRIES DO NOT ALLOW THE EXCLUSION 
  140. OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSION MAY NOT APPLY TO 
  141. YOU.  THIS WARRANTY GIVES YOU SPECIFIC LEGAL RIGHTS AND YOU MAY 
  142. ALSO HAVE OTHER RIGHTS WHICH VARY FROM STATE TO STATE OR COUNTRY 
  143. TO COUNTRY.
  144.  
  145. UNDER NO CIRCUMSTANCES WILL SCO OR ITS LICENSORS OR 
  146. REPRESENTATIVES BE LIABLE FOR ANY CONSEQUENTIAL, INDIRECT, 
  147. SPECIAL, PUNITIVE, OR INCIDENTAL DAMAGES, WHETHER FORESEEABLE OR 
  148. UNFORESEEABLE, BASED ON YOUR CLAIMS OR THOSE OF YOUR CUSTOMERS 
  149. (INCLUDING BUT NOT LIMITED TO, CLAIMS FOR LOSS OF DATA, GOODWILL, 
  150. PROFITS, USE OF MONEY OR USE OF THE PRODUCTS, INTERRUPTION IN USE 
  151. OR AVAILABILITY OF DATA, STOPPAGE OF OTHER WORK OR IMPAIRMENT OF 
  152. OTHER ASSETS), ARISING OUT OF BREACH OR FAILURE OF EXPRESS OR 
  153. IMPLIED WARRANTY, BREACH OF CONTRACT, MISREPRESENTATION, 
  154. NEGLIGENCE, STRICT LIABILITY IN TORT OR OTHERWISE, EXCEPT ONLY IN
  155. THE CASE OF PERSONAL INJURY WHERE AND TO THE EXTENT THAT 
  156. APPLICABLE LAW REQUIRES SUCH LIABILITY.  IN NO EVENT WILL THE 
  157. AGGREGATE LIABILITY WHICH SCO OR ITS LICENSORS MAY INCUR IN ANY 
  158. ACTION OR PROCEEDING EXCEED THE TOTAL AMOUNT ACTUALLY PAID BY YOU 
  159. FOR THE SPECIFIC PRODUCT THAT DIRECTLY CAUSED THE DAMAGE.
  160.  
  161. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OF EXCLUSION OF 
  162. LIABILITY FOR INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL 
  163. DAMAGES SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU.
  164.  
  165. EXPORT RESTRICTIONS:
  166.  
  167. You acknowledge that the Product and the media are subject to 
  168. export controls under the U.S. Export Administration Regulations 
  169. and the export regulations of other countries.  You may not export
  170. or re-export, directly or indirectly, the Product, the media, or 
  171. any related technical information or materials unless you have 
  172. obtained an appropriate authorization from the U.S. Commerce 
  173. Department and any other relevant government authority.
  174.  
  175. U.S. GOVERNMENT RESTRICTED RIGHTS:
  176.  
  177. When licensed to a U.S., State, or Local Government; all Software 
  178. produced by SCO is commercial software as defined in FAR 12.212, 
  179. and has been developed exclusively at private expense.  All 
  180. technical data, or SCO commercial computer software/documentation 
  181. is subject to the provisions of FAR 12.211 - "Technical Data", and 
  182. FAR 12.212 - "Computer Software" respectively, or clauses 
  183. providing SCO equivalent protection in DFARS or other agency 
  184. specific regulations. 
  185.  
  186. Manufacturer:  The Santa Cruz Operation, Inc., 400 Encinal Street,
  187. Santa Cruz, CA 95060 
  188.  
  189. TERM AND TERMINATION:
  190.  
  191. This license shall remain in effect until terminated as set forth 
  192. herein.  You may terminate this Agreement, without right to 
  193. refund, by notifying SCO of such termination.  SCO may terminate 
  194. this Agreement, upon reasonable notice and without judicial or 
  195. administrative resolution, if You or any of Your employees or 
  196. consultants breach any term or condition hereof.
  197.  
  198. Upon the termination of this Agreement for any reason, all rights
  199. granted to you hereunder will cease, and You must promptly 
  200. (i) purge the Software and any related Updates from all your 
  201. computer systems, storage media and other files, (ii) destroy the
  202. Products and all copies thereof and (iii) deliver to SCO an 
  203. affidavit which certifies that you have complied with these 
  204. termination obligations.
  205.  
  206. ASSIGNMENT:
  207.  
  208. Subject to Your compliance with the Export Restrictions Provision 
  209. above, You may assign this Agreement and permanently transfer the 
  210. Products to a third party, but only if You promptly send SCO an 
  211. affidavit signed by both You and Your assignee that (i) sets forth
  212. Your assignee's name and address, (ii) identifies the Product 
  213. being assigned (including name, release number and serial number) 
  214. (iii) identifies the manufacturer and serial number of the 
  215. computer system on which Your assignee will load and use the 
  216. Software and any related Updates, (iv) acknowledges that Your 
  217. assignee will comply with the terms and conditions of this 
  218. Agreement and (v) certifies that You have fulfilled item (i) of 
  219. the Termination Section above and have not retained any Products 
  220. or copies thereof.  Except as provided above, You may not assign, 
  221. sublicense, rent, lend, lease, pledge or otherwise transfer or 
  222. encumber the Products, this Agreement or Your rights or 
  223. obligations hereunder without SCO's prior approval.
  224.  
  225. HIGH RISK USAGE:
  226.  
  227. The Product may include JAVA based technology. This technology is 
  228. not designed or intended for use in on-line control of aircraft, 
  229. air traffic, aircraft navigation or aircraft communications; or in 
  230. the design, construction, operation or maintenance of any nuclear 
  231. facility. SCO's disclaimer of any express or implied warranties as
  232. stated above applies to such uses as well as all others.  You 
  233. agree that You will not knowingly use the technology for such 
  234. purposes.
  235.  
  236. MISCELLANEOUS:
  237.  
  238. All notices or approvals required or permitted under this 
  239. Agreement must be given in writing.  Any waiver or modification of
  240. this Agreement will not be effective unless executed in writing 
  241. and signed by SCO.  This Agreement will bind your successors-in-
  242. interest.  This Agreement is governed by the laws of the State of 
  243. California, U.S.A. If any provision of this Agreement is held to 
  244. be unenforceable, in whole or part, such holding will not affect 
  245. the validity of the other provisions of this Agreement.
