  1.      Information on Site & Distribution Licenses and Custom Versions

  4. NNMODEL & NNSHOW - Academic and Student Site License 
  5.  
  6. This is a free license for use of the software within your university, 
  7. college or school.  This allows internal use and copying of the 
  8. software for as many sites / computers as needed for academic purposes.  
  9. (See the ORDER FORM for commercial Site License price schedule).  
  10. Distributing, repackaging, or reselling of the software to third 
  11. parties is not allowed.

  13. NNMODEL - Corporate and Governmental Site License 
  14.  
  15. This is a license for use of the NNMODEL software within your company 
  16. or government agency, and is not transferable.  This allows internal use 
  17. and copying of the software for as many sites / computers as contracted 
  18. for.  (See the ORDER FORM for Site License price schedule).  An 
  19. unlimited Site License allows unlimited copying of the software for 
  20. internal use by your company or government agency.  Distributing, 
  21. repackaging, or reselling of the software to third parties is not 
  22. allowed.  All licenses are prepaid.

  25. NNSHOW - Distribution License (Commercial and Governmental Use) 
  26.  
  27. This allows free distribution of the NNSHOW program with the neural models 
  28. that are distributed by your company or government agency.  This allows 
  29. internal or external use and copying of the NNSHOW software for as many 
  30. sites / computers as needed. NNSHOW program is a "view only" version of NNMODEL
  31. and is distributed to all registered users.

  34. Custom Versions of the Software 
  35.  
  36. If you require any modifications or changes to the software, please 
  37. include detailed written information describing all changes you are 
  38. interested in.  Customization fees will be based on the extent of the 
  39. modifications required to the software so it performs as you describe.  
  40. Depending on the changes requested, please allow six to eight weeks for 
  41. custom versions of the software.

  69. Neural Fusion, INC.  hereby grants [ORGANIZATION NAME] a site license
  70. for [NUMBER OF SITES/COMPUTERS LICENSED] computers for the use of the
  71. following software programs: [Neural Fusion PRODUCTS LICENSED].

  73. This is a perpetual license for the use of the software within your 
  74. company, and is not transferable.  This license allows internal use and 
  75. copying of the software by as many users/ machines as contracted for.  
  76. Distribution, repackaging, or reselling of the software, to third 
  77. parties, is not allowed under this agreement.

  79. The LICENSOR warrants that it is sole owner of the software and has 
  80. full power and authority to grant this license herein without consent 
  81. of any other party.

  83. NEURAL FUSION hereby disclaims all warranties relating to this
  84. software, whether express or implied, including without limitation any
  85. implied warranties of merchantability or fitness for a particular
  86. purpose.  NEURAL FUSION will not be liable for any special, incidental,
  87. consequential, indirect or similar damages due to loss of data or any
  88. other reason, even if NEURAL FUSION or an agent of NEURAL FUSION has
  89. been advised of the possibility of such damages.  In no event shall
  90. NEURAL FUSION's liability for any damages ever exceed the price paid
  91. for the license to use the software, regardless of the form of the
  92. claim.  The person using the software bears all risk as to the quality
  93. and performance of the software.

  95. This agreement shall be construed and enforced in accordance with the 
  96. laws of the STATE OF NEW YORK.  Any action or proceeding brought by 
  97. either party against the other arising out of or related to this 
  98. agreement shall be brought only in a STATE or FEDERAL COURT of 
  99. competent jurisdiction located in Orange county, New York.  The parties 
  100. hereby consent to in personam jurisdiction of said courts.

  102. This agreement can only be modified by mutual written consent of both 
  103. parties.
