  8. SUNSOFT IS WILLING TO LICENSE THE ACCOMPANYING JAVA WORKSHOP SOFTWARE TO
  9. YOU ONLY UPON THE CONDITION THAT YOU ACCEPT ALL OF THE TERMS CONTAINED IN
  10. THIS LICENSE AGREEMENT AND ANY SUPPLEMENTARY LICENSE TERMS INCLUDED
  11. HEREWITH (THIS "AGREEMENT"). READ THE TERMS AND CONDITIONS OF THIS
  12. AGREEMENT CAREFULLY BEFORE SELECTING THE "ACCEPT" BUTTON AT THE BOTTOM OF
  13. THIS PAGE. BY SELECTING THE "ACCEPT" BUTTON, YOU AGREE TO BE BOUND BY THE
  14. TERMS AND CONDITIONS OF THIS AGREEMENT. IF YOU ARE NOT WILLING TO BE BOUND
  15. BY THIS AGREEMENT, SELECT THE "DO NOT ACCEPT" BUTTON AT THE BOTTOM OF THIS
  16. PAGE AND THE INSTALLATION PROCESS WILL NOT CONTINUE. YOUR USE OF THE JAVA
  17. WORKSHOP SOFTWARE INDICATES YOUR ASSENT TO BE BOUND BY THE LICENSE TERMS

  23. and licenses restricting use, copying, distribution and decompilation. Sun,
  24. the Sun logo, Sun Microsystems, SunSoft, the SunSoft logo, SunSoft
  25. WorkShop, Java WorkShop, Visual Java, the Java and HotJava coffee cup
  26. logos, JDK, Solaris, HotJava, Java, SunPlaza and the "Duke" character are
  27. trademarks or registered trademarks of Sun Microsystems, Inc. Third party
  28. software, including font technology, in this product is protected by
  29. copyright and licensed from Sun's suppliers.

  31. SUNSOFT EVALUATION SOFTWARE LICENSE AGREEMENT:

  33. IF CUSTOMER IS USING THE SOFTWARE FOR EVALUATION PURPOSES ONLY, CUSTOMER
  34. AGREES TO BE BOUND BY THE FOLLOWING TERMS AND CONDITIONS:
  35.  
  36.   1. License to Use for Evaluation Purposes. Customer is granted a
  37.      non-exclusive and non-transferable license ("License") to use the
  38.      accompanying binary software in machine-readable form, together with
  39.      accompanying documentation ("Software"), internally for the purposes
  40.      of evaluation and demonstration. No license is granted to Customer for
  41.      any other purpose. Customer shall not distribute the Software, in
  42.      whole or in part, to any third party. This License expires thirty (30)
  43.      days from the date of installation.
  44.  
  45.   2. No Support of Evaluation Software. SOFTWARE USED FOR EVALUATION
  46.      PURPOSES IS LICENSED "AS IS." SUNSOFT DISCLAIMS ALL WARRANTIES
  47.      CONCERNING SUCH EVALUATION SOFTWARE, EXPRESS OR IMPLIED, INCLUDING ANY
  48.      IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE
  49.      OR NON-INFRINGEMENT.

  51.   3. Other Terms. Paragraphs 2, Restrictions, 3, Confidentiality, 6, Limit
  52.      of Liability, 7, Termination, 8, Export Regulations, 9, U.S.
  53.      Government Restricted Rights, 10, Governing Law, 11, Severability, and
  54.      12, Integration, of the Purchased Software Agreement below shall apply
  55.      to Evaluation Software. No Supplementary Terms are applicable to
  56.      Evaluation Software.

  58. SUNSOFT PURCHASED SOFTWARE LICENSE AGREEMENT:
  59.  
  60. IF CUSTOMER HAS PAID THE APPLICABLE SOFTWARE LICENSE FEE, CUSTOMER AGREES
  61. TO BE BOUND BY THE FOLLOWING TERMS AND CONDITIONS:
  62.  
  63.   1. License to Use. Customer is granted a non-exclusive and
  64.      non-transferable license ("License") for the use of the accompanying
  65.      binary software in machine-readable form, together with accompanying
  66.      documentation ("Software"), by the number of users and the class of
  67.      computer hardware for which the corresponding fee has been paid.
  68.  
  69.   2. Restrictions. Software is copyrighted and title to all copies is
  70.      retained by SunSoft and/or its licensors. Customer shall not make
  71.      copies of Software, other than a single copy of Software for archival
  72.      purposes and, if applicable, Customer may, for its internal use only,
  73.      print the number of copies of on-line documentation for which the
  74.      applicable fee has been paid, in which event all proprietary rights
  75.      notices on Software shall be reproduced and applied. Except as
  76.      specifically authorized elsewhere in this Agreement or unless
  77.      enforcement of this provision is prohibited by applicable law,
  78.      Customer shall not modify, decompile, disassemble, decrypt, extract,
  79.      or otherwise reverse engineer Software. Software is not designed or
  80.      licensed for use in on-line control equipment in hazardous
  81.      environments such as operation of nuclear facilities, aircraft
  82.      navigation or control, or direct life support machines.
  83.  
  84.   3. Confidentiality. Software is confidential and proprietary information
  85.      of SunSoft and/or its licensors. Customer agrees to take adequate
  86.      steps to protect Software from unauthorized disclosure or use.
  87.  
  88.   4. Limited Warranty. SunSoft warrants that for a period of ninety (90)
  89.      days from the date of purchase, as evidenced by a copy of the receipt,
  90.      the Software will conform to the specifications for such Software.
  91.      Otherwise, the Software is provided "AS IS". This limited warranty
  92.      extends only to Customer as the original licensee. Customer's
  93.      exclusive remedy and SunSoft's entire liability under this limited
  94.      warranty will be, at SunSoft's option, to repair or replace the
  95.      Software, or refund the license fee paid therefor.
  96.  
  97.   5. Disclaimer of Warranty. EXCEPT AS SPECIFIED IN THIS LICENSE, ALL
  98.      EXPRESS OR IMPLIED CONDITIONS, REPRESENTATIONS AND WARRANTIES,
  99.      INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A
  100.      PARTICULAR PURPOSE OR NON-INFRINGEMENT, ARE HEREBY EXCLUDED TO THE
  101.      EXTENT ALLOWED BY APPLICABLE LAW.

  103.   6. Limitation of Liability. IN NO EVENT WILL SUNSOFT BE LIABLE FOR ANY
  104.      LOST REVENUE, PROFIT OR DATA, OR FOR SPECIAL, INDIRECT, CONSEQUENTIAL,
  105.      INCIDENTAL OR PUNITIVE DAMAGES HOWEVER CAUSED AND REGARDLESS OF THE
  106.      THEORY OF LIABILITY ARISING OUT OF THE USE OF OR INABILITY TO USE
  107.      SOFTWARE, EVEN IF SUNSOFT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH
  108.      DAMAGES. In no event shall SunSoft's liability to Customer, whether in
  109.      contract, tort (including negligence), or otherwise, exceed the
  110.      license fee paid by Customer for Software. The foregoing limitations
  111.      shall apply even if the above stated warranty fails of its essential
  112.      purpose.
  113.  
  114.   7. Termination. This License is effective until terminated. Customer may
  115.      terminate this License at any time by destroying all copies of
  116.      Software including any documentation. This License will terminate
  117.      immediately without notice from SunSoft if Customer fails to comply
  118.      with any provision of this License. Upon termination, Customer must
  119.      destroy all copies of Software.

  121.   8. Export Regulations. Software, including technical data, is subject to
  122.      U.S. export control laws, including the U.S. Export Administration Act
  123.      and its associated regulations, and may be subject to export or import
  124.      regulations in other countries. Customer agrees to comply strictly
  125.      with all such regulations and acknowledges that it has the
  126.      responsibility to obtain licenses to export, re-export, or import
  127.      Software.

  129.   9. U.S. Government Restricted Rights. If Customer is acquiring Software
  130.      including accompanying documentation on behalf of the U.S. Government,
  131.      the following provisions apply. If Software is supplied to the
  132.      Department of Defense ("DOD"), Software is subject to "Restricted
  133.      Rights", as that term is defined in the DOD Supplement to the Federal
  134.      Acquisition Regulations ("DFAR") in paragraphs DFAR
  135.      252.227-7015(b)(6/95) and DFAR 227.7202-3(a). If Software is supplied
  136.      to any unit or agency of the United States Government other than DOD,
  137.      the Government's rights in Software will be as defined in paragraphs
  138.      52.227-14(g)(2)(6/87) and 52.227-19(6/87) of the Federal Acquisition
  139.      Regulations ("FAR"). Use, duplication, reproduction or disclosure by
  140.      the Government is subject to such restrictions or successor
  141.      provisions. Contractor/Manufacturer is: SunSoft, Inc., 2550 Garcia
  142.      Ave., Mountain View, CA 94043.

  144.  10. Governing Law. This Agreement is made under, shall be governed by and
  145.      construed in accordance with the laws of the State of California,
  146.      U.S.A., excluding its choice of law provisions.
  147.  
  148.  11. Severability. If any of the above provisions are held to be in
  149.      violation of applicable law, void, or unenforceable in any
  150.      jurisdiction, then such provisions are herewith waived to the extent
  151.      necessary for the License to be otherwise enforceable in such
  152.      jurisdiction. However, if in SunSoft's opinion deletion of any
  153.      provisions of the License by operation of this paragraph unreasonably
  154.      compromises the rights or liabilities of SunSoft or its licensors,
  155.      SunSoft reserves the right to terminate the License and refund the fee
  156.      paid by Customer as Customer's sole and exclusive remedy.

  158.  12. Integration. This Agreement (including any supplementary terms) is the
  159.      entire agreement between Customer and SunSoft relating to Software
  160.      and: (i) supersedes all prior or contemporaneous oral or written
  161.      communications, proposals and representations with respect to its
  162.      subject matter; and (ii) prevails over any conflicting or additional
  163.      terms of any quote, order, acknowledgment, or similar communication
  164.      between the parties during the term of this Agreement. No modification
  165.      to the Agreement will be binding, unless in writing and signed by a
  166.      duly authorized representative of each party.

  168.                         SUPPLEMENTARY LICENSE TERMS
  169.                        FOR JAVA WORKSHOP VERSION 1.0
  170.  
  171.   1. License to Develop Applications. Customer is granted a royalty-free
  172.      right to reproduce and distribute the binary runtime module ("Module")
  173.      of the Software, provided that Customer: (i) distributes the Module
  174.      only in conjunction with and as part of its software program
  175.      ("Application") into which they are incorporated; (ii) does not use
  176.      Sun's or SunSoft's name, logo or trademarks to market Customer's
  177.      Application; (iii) includes "Portions 1996 Sun Microsystems, Inc." on
  178.      Customer's product label and with all copyright notices for the
  179.      Application; (iv) agrees to indemnify, hold harmless, and defend
  180.      SunSoft and/or its licensors from and against any claims or lawsuits,
  181.      including attorneys' fees, that arise or result from the use or
  182.      distribution of the Application; and (v) the end user license for the
  183.      Application includes the terms and conditions set forth in Sections
  184.      2,3,5,6,8 and 9 above. The files that constitute the Module are the
  185.      Visual Java runtime classes identified in the documentation or the
  186.      on-line READ ME file. Customer is granted no right or license to
  187.      reproduce or distribute any runtime source files contained in the
  188.      Software.
  189.  
  190.   2. JDK Attribution. The JDK binary release which is contained in the
  191.      Software is based in part on the work of the Independent JPEG Group.
