  6. 1. If you are a business, institutional, or government user, the license in
  7.    section one of this file applies to you. An order form with respect to this
  8.    license is included herein. Network installation instructions and other
  9.    technical support will be provided free of charge to registered users.

  11. 2. If you are an individual user, the file "Order.Doc" pertains to you.
  12.  
  13. 3. If you are a shareware distributor, the license in section two of this file
  14.    contains information regarding your permission to distribute this software.

  55.         IMPORTANT NOTICE TO USERS ("ENTITY") - PLEASE READ CAREFULLY
  56.  
  57. WEBSTER'S LEXXICON PUBLISHING CORP. THANKS YOU FOR SELECTING ONE OF OUR
  58. PRODUCTS. THIS IS THE WEBSTER'S LEXXICON PUBLISHING CORP. BUSINESS ENTITY,
  59. INSTITUTIONAL, GOVERNMENT LICENSE AGREEMENT, WHICH DESCRIBES WEBSTER'S LEXXICON
  60. PUBLISHING CORP.'S BUSINESS ENTITY, INSTITUTIONAL, GOVERNMENT LICENSE TERMS.
  61. ENTITY'S USE OF THIS SOFTWARE IS CONDITIONED UPON COMPLIANCE BY ENTITY WITH THE
  62. TERMS OF THIS AGREEMENT. THE SOFTWARE MAY BE EVALUATED FOR THIRTY DAYS ON A
  63. ROYALTY FREE BASIS. CONTINUED USE AFTER THE EVALUATION IS CONDITIONED UPON
  64. PAYMENT BY ENTITY OF THE LICENSE FEE, SPECIFIED IN A LETTER OF CONFIRMATION
  65. FROM WEBSTER'S LEXXICON PUBLISHING CORP. ("Webster's Lexxicon").
  66.  
  67. I. GRANT OF LICENSE.
  68.  
  69. You acknowledge you have read this Customer License Contract, understand it,
  70. and agree to be bound by its terms. This license authorizes Entity to use the
  71. number of copies described in the confirmation letter from Webster's Lexxicon
  72. Publishing Corp., and for which Entity has paid Webster's Lexxicon Publishing
  73. Corp. the negotiated license fee. If the confirmation letter from Webster's
  74. Lexxicon Publishing Corp. indicates that Entity's license is "Corporate-Wide,"
  75. this license will be deemed to cover copies duplicated and distributed by Entity
  76. for use on any additional incremental machines purchased or leased by Entity
  77. during the Term of the license, at no additional charge.
  78.  
  79. This license will be in effect from the date of the confirmation letter
  80. from Webster's Lexxicon Publishing Corp. authorizing such continued use or
  81. such other period as is stated in the confirmation letter (the "Term"). If
  82. Entity does not obtain a confirmation letter and pay the applicable license
  83. fee, this license expires at the end of the thirty day evaluation period.
  84.  
  85. This License is effective until terminated. You may terminate it at any
  86. time by destroying the Software together with any copies currently in 
  87. your posession. The License also terminates if you fail to comply with 
  88. the terms and conditions of this agreement, and additionally you need 
  89. to destroy any copies or variations of the software.
  90.  
  91. All updates must be accessed and downloaded from the Webster's Lexxicon
  92. Publishing Corp. electronic bulletin board (BBS), or Webster's Lexxicon
  93. Publishing Corp.'s designated FTP Internet site. Access instructions for the
  94. licensed user bulletin board are included in the confirmation letter.
  95.  
  96. In the case where Entity is licensing more than 500 copies of the Software,
  97. all updates will also be provided in diskette form at no charge as they
  98. occur during the term of this license.
  99.  
  100. The Software may not be distributed by Entity to any outside organization,
  101. corporation, or government agency.
  102.  
  103. II. ONE CONTACT INDIVIDUAL.
  104.  
  105. Support for Software problems and other product issues will be handled
  106. through one point of contact within the Entity. Entity shall designate
  107. the contact individual when placing its order with Webster's Lexxicon
  108. Publishing Corp. or a Webster's Lexxicon Publishing Corp. Authorized Agent.
  109. There will be no charge for support of the Software when directed through
  110. this contact individual. Support requests from any other organizational area
  111. will be subject to billing at Webster's Lexxicon published support rates.
  112.  
  113. III. EMPLOYEE HOME USE OPTION.
  114.  
  115. In the case where Entity is licensing more than 200 copies of the Software,
  116. Webster's Lexxicon Publishing Corp. will license the Software for home use by
  117. employees if requested by Entity, in writing, within the first year of the
  118. license. The cost for this option is 22% of the standard site license fee for
  119. that number of employee home use machines.
  120.  
  121. IV. COPYRIGHT.
  122.  
  123. This Software product (including any images, cartoon characters, illustrations
  124. and fictional locations, (including but not limited to "Websterland"),
  125. "applets," photographs, animations, video, audio, music, and text incorporated
  126. into the Software, is owned by Webster's Lexxicon Publishing Corp. and is
  127. protected by United States copyright laws and international treaty provisions.
  128. Therefore, you must treat the software like any other copyrighted material (e.g.
  129. a book or musical recording). You may not copy any printed materials which may
  130. accompany the software, nor print copies of any user documentation provided
  131. in "online" or other electronic form.
  132.  
  133. Entity acknowledges that no title to the intellectual property in the Software
  134. is transferred to Entity. Entity further acknowledges that full ownership rights
  135. to the Software will remain the exclusive property of Webster's Lexxicon
  136. Publishing Corp., and Entity will not acquire any rights to the Software except
  137. as expressly set forth in this license. Entity agrees that any copies of the
  138. Software made by Entity will contain the same proprietary notices which appear
  139. on and in the Software.
  140.  
  141. V. REVERSE ENGINEERING.
  142.  
  143. Licensee understands and agrees, that the licensed Software is the valuable
  144. property of Webster's Lexxicon Publishing Corp. and is protected by the laws of
  145. copyright, trade secrets, and contract. Licensee will use its best efforts, and
  146. take all reasonable steps to protect the licensed Software from unauthorized
  147. use, copying or dissemination, and will maintain all proprietary and protective
  148. notices intact. Except as expressly licensed herein, Licensee may not use,
  149. copy, disseminate, distribute, or modify, translate, reverse engineer,
  150. decompile, disassemble, and/or create derivative works from the licensed
  151. Software, in whole or part, sell, lease, sublicense, rent, give, lend, or in
  152. any way transfer by any means or in any medium, the licensed Software.
  153.  
  154. VI. WARRANTY.
  155.  
  156. Webster's Lexxicon Publishing Corp. warrants that it has the right to license
  157. Entity to use the Software and that the Software will perform substantially in
  158. accordance with its accompanying documentation for a period of ninety (90) days
  159. from the date Webster's Lexxicon Publishing Corp. receives payment. The Warranty
  160. is void if failure of the Software has resulted from accident, abuse, or
  161. misapplication. Any replacement Software supplied to Entity will be warranted
  162. for the remainder of the original Warranty period.
  163.  
  164. VII. LIMITATIONS OF REMEDIES.
  165.  
  166. Webster's Lexxicon Publishing Corp. will attempt to answer your technical
  167. support requests concerning the Software; however, this service is offered
  168. on a reasonable efforts basis only, and Webster's Lexxicon Publishing Corp.
  169. may not be able to resolve every support request.  Webster's Lexxicon
  170. Publishing Corp. supports the Software only if it is used under conditions
  171. and on operating systems for which the Software is designed.
  172.  
  173. Your exclusive remedies and Webster's Lexxicon Publishing Corp.'s sole
  174. liabilities are replacement of this product or refund of the license fee.
  175. Webster's Lexxicon Publishing Corp. shall not be liable to you or any other
  176. person or entity for any consequential, incidental, special, exemplary or
  177. other direct or indirect damages arising from the use of, the results of the
  178. use of, or the inability to use the programs. Some states do not allow the
  179. limitation or exclusion of liability for incidental or consequential damages
  180. so the above limitations or exclusions may not apply to you.
  181.  
  182. VIII. NO OTHER WARRANTIES.
  183.  
  184. Except as provided above, the software is provided "AS IS" without warranty
  185. of any kind. This warranty is in lieu of any other warranties, express or
  186. implied, including the implied warranties of merchantability and fitness for a
  187. particular purpose. In no event will Webster's Lexxicon Publishing Corp. be
  188. liable to you for damages, including any loss of profits, lost savings, or
  189. other incidental or consequential damages arising out of your use of or
  190. inability to use the Software, even if Webster's Lexxicon Publishing Corp. or
  191. an authorized Webster's Lexxicon Publishing Corp. representative has been
  192. advised of the possibility of such damages.
  193.  
  194. Because computer programs are inherently complex and thus may not be completely
  195. free of errors, you are advised to validate your work. Webster's Lexxicon
  196. Publishing Corp. does not warrant that the licensed product will meet your
  197. requirements, or that the operation of the software will be uninterrupted or
  198. error free.
  199.  
  200. Although changes or improvements to the licensed product may be made, Webster's
  201. Lexxicon Publishing Corp. will be under no obligation to provide them to you.
  202. Webster's Lexxicon Publishing Corp. is not responsible for problems caused by
  203. changes in the operating characteristics of any computer hardware or computer
  204. operating systems which are made after the release of the licensed product.
  205.  
  206. Some jurisdictions do not allow excluding or limiting implied warranties or
  207. limiting liability for incidental or consequential damages, and some
  208. jurisdictions have special statutory consumer protection provisions which may
  209. supercede this limitation.  As a result, this limitation of liability may not
  210. apply to you if prohibited by the laws of your jurisdiction.
  211.  
  212. IX. SEVERABILITY.
  213.  
  214. If any provision of this Agreement is found to be unlawful, void, or
  215. unenforceable, then that provision shall be severed from this Agreement and
  216. will not affect the validity and enforceability of any of the remaining
  217. provisions. In the event of invalidity of any provision of this license, the
  218. parties agree that such invalidity shall not affect the validity of the
  219. remaining portions of this license. This Agreement shall be governed by the
  220. laws of the State of New York.
  221.  
  222. X. NO LIABILITY FOR CONSEQUENTIAL DAMAGES.
  223.  
  224. In no event will Webster's Lexxicon Publishing Corp. be liable for direct,
  225. indirect, incidental, special, exemplary, or consequential damages, or lost
  226. profits arising out of the use of or inability to use the licensed product or
  227. documentation, even if Webster's Lexxicon Publishing Corp. or an authorized
  228. Webster's Lexxicon Publishing Corp. representative has been advised of the
  229. possibility of such damages, or for any claim by any other party. In no event
  230. will Webster's Lexxicon Publishing Corp.'s liability for any claim, whether in
  231. contract, tort, or any other theory of liability, exceed the license fee paid
  232. by Entity.
  233.  
  234. XI. TRADE SECRETS.
  235.  
  236. You acknowledge that the licensed product contains trade secrets of Webster's
  237. Lexxicon Publishing Corp. Further, you agree to take all steps necessary to
  238. protect the licensed product, as well as any copies thereof from disclosure,
  239. and specifically agree not to disassemble, decompile, or reverse engineer any
  240. part of the source code of the software from the object code, or from other
  241. data provided to you under this Customer License Agreement.
  242.  
  243. XII. EXPORT LAWS AND ASSURANCES.
  244.  
  245. Entity agrees that neither the software nor the direct product thereof is
  246. intended to be shipped either directly or indirectly to country groups
  247. Q, S, W, Y, Z, Afghanistan or the People's Republic of China, unless
  248. a validated export license is obtained from the U.S. Department of Commerce.
  249.  
  250. Entity agrees and certifies that neither this software product, nor any other
  251. technical data received from Webster's Lexxicon Publishing Corp., nor the direct
  252. product thereof, will be exported outside the United States. If this product has
  253. been rightfully obtained by you outside the United States, you agree that you
  254. will not reexport this product, nor any other technical data received from
  255. Webster's Lexxicon Publishing Corp., nor the direct product thereof, except as
  256. permitted by the laws and regulations of the United States and the laws and
  257. regulations of the jurisdiction in which you obtained this software product.
  258.  
  259. XIII. APPLICABLE LAWS.
  260.  
  261. This agreement shall be governed by and construed in accordance with the laws
  262. of the United States and the State of New York, including copyright, trade
  263. secret and trademark laws. If any provision of this License Agreement
  264. shall be held invalid, illegal or unenforceable, the validity, legality and or
  265. enforceability of the remaining provisions shall not in any way be affected
  266. or impaired thereby. Any claim arising out of this Agreement will be brought
  267. in the State of New York.
  268.  
  269. XIV. U.S. GOVERNMENT RESTRICTED RIGHTS.
  270.  
  271. The Software and any accompanying materials are provided with Restricted Rights.
  272. Use, duplication, or disclosure by the Government is subject to restrictions as
  273. set forth in subparagraph (c)(1)(ii) of The Rights in Technical Data and
  274. Computer Software clause at DFARS 252.227-7013, or subparagraphs (c)(1) and (2)
  275. of the Commercial Computer Software--Restricted Rights at 48 CFR 52.227-19, as
  276. applicable. Contractor/manufacturer is Webster's Lexxicon Publishing Corp.
  277. at the address below. If you are acquiring this software product on behalf of
  278. any unit or agency of the United States Government, the following provisions
  279. apply. The Government agrees: (i) If this software product is supplied to the
  280. Department of Defense, this software product is classified as "Commercial
  281. Computer Software," and the Government is acquiring only "restricted rights"
  282. in this software product and its documentation as that term is defined in
  283. Clause 252.227-7013(c) (1) of the DFARS; and (ii) If this software product is
  284. supplied to any unit or agency of the United States Government other than the
  285. Department of Defense, the Government's rights in this software product and
  286. its documentation will be defined in Clause 52.227-19(c) (2) of the FAR, or,
  287. in the case of NASA, in Clause 1852.227-86(d) of the NASA Supplement to the
  288. FAR.
  289.  
  290. XV. COMPLETE AGREEMENT.
  291.  
  292. This Agreement, together with any Webster's Lexxicon Publishing Corp.
  293. confirmation letter constitute the entire agreement between Entity and
  294. Webster's Lexxicon Publishing Corp. which supersedes any prior agreement,
  295. including any prior license from Webster's Lexxicon Publishing Corp., or
  296. understanding, whether written or oral, relating to the subject matter of this
  297. Agreement.
  298.  
  299. Webster's Lexxicon Publishing Corp. reserves the right to conduct or have
  300. conducted audits to verify Entity's compliance with this Agreement. The terms
  301. and conditions of this Agreement shall apply to all orders submitted to
  302. Webster's Lexxicon Publishing Corp. and shall supersede any different or
  303. additional terms on purchase orders from Entity. The section headings
  304. contained in this Agreement are inserted for convenience only, and are not
  305. intended to limit or define the substantive provisions to which they refer.
  306.

  509. THIS IS THE WEBSTER'S LEXXICON PUBLISHING CORP. SHAREWARE DISTRIBUTION LICENSE
  510. AGREEMENT, WHICH DESCRIBES WEBSTER'S LEXXICON PUBLISHING CORP.'S SHAREWARE
  511. DISTRIBUTION LICENSE TERMS. PLEASE READ THE FOLLOWING LEGAL AGREEMENT CAREFULLY:
  512. DISTRIBUTOR'S RIGHT TO DISTRIBUTE THIS SOFTWARE IS CONDITIONED UPON COMPLIANCE
  513. BY DISTRIBUTOR WITH THE TERMS OF THIS AGREEMENT.

  515. I. GRANT OF LICENSE.
  516.  
  517. Webster's Lexxicon Publishing Corp. ("Webster's Lexxicon") grants to the
  518. Distributor a nonexclusive, worldwide right to distribute the object code
  519. version of the Software as shareware. This license to distribute the Software
  520. is conditioned upon Distributor's compliance with the terms of this Agreement.
  521.  
  522. Distributor will not copy the Software, except as necessary to use it in
  523. accordance with this license. Distributor is granted no right to modify
  524. or sublicense the Software. Distributor may download the Software files from
  525. Webster's Lexxicon Publishing Corp. electronic bulletin board system (BBS) at
  526. (718)897-6902, settings are 8Nl, ANSI or TTY emulation, and full duplex, or
  527. from Webster's Lexxicon Publishing Corp.'s designated FTP Internet site. All
  528. files of this Software must be distributed bundled together, with the Software
  529. .EXE files bundled with the all .DOC .INI .RHS or .TXT files. All Software
  530. distribution must be via diskettes (which are either write-protected or
  531. notchless) or via CD ROM, (in which case the original archive file from
  532. Webster's Lexxicon Publishing Corp. must be used).
  533.  
  534. Distributor is prohibited from installing copies of the Software on hard drives
  535. or tape media, and distributing such hard drives, or tape storage media.
  536.  
  537. II. NO SUBLICENSE FEE.
  538.  
  539. Shareware Distributors may not charge their customers for the Software other
  540. than a nominal fee for diskettes, and must make clear on the diskette package
  541. and diskette label that the Software on the diskette is for evaluation purposes
  542. only, and that its use beyond 30 days requires a valid license or registration
  543. through Webster's Lexxicon Publishing Corp.
  544.  
  545. Shareware Distributors agree not to offer any service or subscription that
  546. includes updates of Webster's Lexxicon Publishing Corp. Software. Such access
  547. to, or provision of, Webster's Lexxicon Publishing Corp. Software updates is
  548. a benefit of properly licensing the Software through Webster's Lexxicon
  549. Publishing Corp.
  550.  
  551. All registration and licensing opportunities shall be referred to Webster's
  552. Lexxicon Publishing Corp.
  553.  
  554. III. COPYRIGHT.
  555.  
  556. This Software product (including any images, cartoon characters, illustrations
  557. and fictional locations, (including but not limited to "Websterland"),
  558. "applets," photographs, animations, video, audio, music, and text incorporated
  559. into the Software, is owned by Webster's Lexxicon Publishing Corp. and is
  560. protected by United States copyright laws and international treaty provisions.
  561.  
  562. Distributor acknowledges that no title to the intellectual property in the
  563. Software is transferred to Distributor. Distributor further acknowledges that
  564. full ownership rights to the Software will remain the exclusive property of
  565. Webster's Lexxicon Publishing Corp. and Distributor will not acquire any rights
  566. to the Software except as expressly set forth in this license. Distributor
  567. agrees that any copies of the Software made by Distributor will contain the
  568. same proprietary notices which appear on and in the Software.
  569.  
  570. IV. REVERSE ENGINEERING.
  571.  
  572. Distributor agrees that it will not attempt, and will use its best efforts to
  573. prevent its employees from attempting to reverse compile, modify, translate or
  574. disassemble the Software in whole or in part.
  575.  
  576. V. LIMITED END USER WARRANTY.
  577.  
  578. Webster's Lexxicon Publishing Corp. warrants the Software TO END USERS ONLY,
  579. pursuant to the terms and conditions of the end user license, and NO warranty
  580. is extended to Distributor. In the event the Software does not conform to the
  581. limited warranty described in the end user license, Webster's Lexxicon
  582. Publishing Corp. will provide the end user with a solution in accordance with
  583. the terms of the end user license. Distributor agrees to provide Webster's
  584. Lexxicon Publishing Corp. with reasonable assistance in providing warranty
  585. assistance to end users.
  586.  
  587. VI. NO OTHER WARRANTIES.
  588.  
  589. Except as provided above, the software is provided "AS IS" without warranty
  590. of any kind. This warranty is in lieu of any other warranties, express or
  591. implied, including the implied warranties of merchantability and fitness for a
  592. particular purpose. In no event will Webster's Lexxicon Publishing Corp. be
  593. liable to you for damages, including any loss of profits, lost savings, or
  594. other incidental or consequential damages arising out of your use of or
  595. inability to use the Software, even if Webster's Lexxicon Publishing Corp. or
  596. an authorized Webster's Lexxicon Publishing Corp. representative has been
  597. advised of the possibility of such damages.
  598.  
  599. Some jurisdictions do not allow excluding or limiting implied warranties or
  600. limiting liability for incidental or consequential damages, and some
  601. jurisdictions have special statutory consumer protection provisions which may
  602. supercede this limitation.  As a result, this limitation of liability may not
  603. apply to you if prohibited by the laws of your jurisdiction.
  604.  
  605. VII. SEVERABILITY.
  606.  
  607. If any provision of this Agreement is found to be unlawful, void, or
  608. unenforceable, then that provision shall be severed from this Agreement and
  609. will not affect the validity and enforceability of any of the remaining
  610. provisions. In the event of invalidity of any provision of this license, the
  611. parties agree that such invalidity shall not affect the validity of the
  612. remaining portions of this license. This Agreement shall be governed by the
  613. laws of the State of New York.

  615. VIII. NO LIABILITY FOR CONSEQUENTIAL DAMAGES.
  616.  
  617. In no event shall Webster's Lexxicon Publishing Corp. or its suppliers be
  618. liable for consequential, incidental or indirect damages of any kind arising
  619. out of the delivery, performance or use of the Software, even if Webster's
  620. Lexxicon Publishing Corp. has been advised of the possibility of such damages.
  621. In no event will Webster's Lexxicon Publishing Corp.'s liability for any claim,
  622. whether in contract, tort, or any other theory of liability, exceed the
  623. license fee paid by Distributor Entity.
  624.  
  625. IX. EXPORT LAWS AND ASSURANCES.
  626.  
  627. Distributor agrees that neither the software nor the direct product thereof is
  628. intended to be shipped either directly or indirectly to country groups Q, S, W,
  629. Y, Z, Afghanistan or the People's Republic of China, unless a validated export
  630. license is obtained from the U.S. Department of Commerce. Distributor Entity
  631. agrees and certifies that neither this software product, nor any other technical
  632. data received from Webster's Lexxicon Publishing Corp., nor the direct product
  633. thereof, will be exported outside the United States. If this product has been
  634. rightfully obtained by you outside the United States, you agree that you will
  635. not reexport this product, nor any other technical data received from Webster's
  636. Lexxicon Publishing Corp., nor the direct product thereof, except as permitted
  637. by the laws and regulations of the United States and the laws and regulations
  638. of the jurisdiction in which you obtained this software product.
  639.  
  640. X. APPLICABLE LAWS.
  641.  
  642. This agreement shall be governed by and construed in accordance with the laws
  643. of the United States and the State of New York, including copyright, trade
  644. secret and trademark laws. If any provision of this License Agreement
  645. shall be held invalid, illegal or unenforceable, the validity, legality and or
  646. enforceability of the remaining provisions shall not in any way be affected
  647. or impaired thereby. Any claim arising out of this Agreement will be brought
  648. in the State of New York.
  649.  
  650. XI. U.S. GOVERNMENT RESTRICTED RIGHTS.
  651.  
  652. If Distributor provides the Software for use by DoD, Distributor agrees to
  653. insure that the Software and any accompanying materials are provided with
  654. Restricted Rights. Use, duplication, or disclosure by the Government is subject
  655. to restrictions as set forth in subparagraph (c)(1)(ii) of The Rights in
  656. Technical Data and Computer Software clause at DFARS 252.227-7013, or
  657. subparagraphs (c)(1) and (2) of the Commercial Computer Software--Restricted
  658. Rights at 48 CFR 52.227-19, as applicable. Contractor/manufacturer is Webster's
  659. Lexxicon Publishing Corp. at the address below. If Distributor provides the
  660. Software to or on behalf of any unit or agency of the United States Government,
  661. the following provisions apply. The Government agrees: (i) If this Software
  662. product is supplied to the Department of Defense, this Software product is
  663. classified as "Commercial Computer Software," and the Government is acquiring
  664. only "restricted rights" in this Software product and its documentation as that
  665. term is defined in Clause 252.227-7013(c) (1) of the DFARS; and (ii) If this
  666. Software product is supplied to any unit or agency of the United States
  667. Government other than the Department of Defense, the Government's rights in this
  668. Software product and its documentation will be defined in Clause 52.227-19(c)
  669. (2) of the FAR, or, in the case of NASA, in Clause 1852.227-86(d) of the NASA
  670. Supplement to the FAR.

  672. XII. COMPLETE AGREEMENT.
  673.  
  674. This Agreement constitutes the entire agreement between Distributor and
  675. Webster's Lexxicon Publishing Corp. which supersedes any prior agreement,
  676. including any prior license from Webster's Lexxicon Publishing Corp. or
  677. understanding, whether written or oral, relating to the subject matter of
  678. this Agreement. Webster's Lexxicon Publishing Corp. reserves the right to
  679. conduct or have conducted audits to verify Distributor's compliance with
  680. this Agreement.
