  1. SOFTWARE LICENSE AGREEMENT FOR PASSWARE SOFTWARE

  3. This Software License Agreement ("SLA") is a legal agreement between
  4. you (either an individual or a single entity) and Passware for the
  5. Passware software product identified above, which includes computer
  6. software and may include associated media, printed materials, and
  7. "online" or electronic documentation ("SOFTWARE PRODUCT"). By
  8. installing, copying, or otherwise using the SOFTWARE PRODUCT, you agree
  9. to be bound by the terms of this SLA. If you do not agree to the terms
  10. of this SLA, do not install or use the SOFTWARE PRODUCT; you may,
  11. however, return it to your place of purchase for a full refund.

  14. SOFTWARE PRODUCT LICENSE
  15.  
  16. The SOFTWARE PRODUCT is protected by copyright laws and international
  17. copyright treaties, as well as other intellectual property laws and
  18. treaties. The SOFTWARE PRODUCT is licensed, not sold.
  19.  
  20. 1       GRANT OF LICENSE. This SLA grants you the following rights:

  22. * Private License
  23.  
  24. Granted Private License, you may use the SOFTWARE PRODUCT for
  25. non-commercial purposes only in non-business, non-institutional,
  26. non-government environment.
  27.  
  28. * Business User License
  29.  
  30. Granted Business User License, you may use the SOFTWARE PRODUCT for any
  31. purposes within a corporation, institution, government agency or business
  32. as well as in any other environment.
  33.  
  34. Applications Software. You may install and use one copy of the
  35. SOFTWARE PRODUCT, or any prior version for the same operating system,
  36. on a single computer. The primary user of the computer on which the
  37. SOFTWARE PRODUCT is installed may make a second copy for his or her
  38. exclusive use on a portable computer.
  39.  
  40. Storage/Network Use. You may also store or install a copy of
  41. the SOFTWARE PRODUCT on a storage device, such as a network server,
  42. used only to install or run the SOFTWARE PRODUCT on your other
  43. computers over an internal network; however, you must acquire and
  44. dedicate a license for each separate computer on which the SOFTWARE
  45. PRODUCT is installed or run from the storage device. A license for the
  46. SOFTWARE PRODUCT may not be shared or used concurrently on different
  47. computers.

  49. License Pack. If you have acquired this SLA in a Passware
  50. License Pack, you may make the number of additional copies of the
  51. computer software portion of the SOFTWARE PRODUCT accordingly to the
  52. number of licenses acquired (stated in receipt), and you may use each
  53. copy in the manner specified above. You are also entitled to make a
  54. corresponding number of secondary copies for portable computer use as
  55. specified above.

  57. Demo. If you have acquired this SLA with Passware SOFTWARE
  58. PRODUCT labeled as demo version of another Passware SOFTWARE
  59. PRODUCT, you are granted unlimited number of SLA's, and you may use
  60. unlimited number of copies in the manner specified above.

  63. 2       DESCRIPTION OF OTHER RIGHTS AND LIMITATIONS.
  64.  
  65. Not for Resale Software. Notwithstanding other sections of this
  66. SLA, you may not resell, or otherwise transfer for value, the SOFTWARE
  67. PRODUCT.
  68.  
  69. Limitations on Reverse Engineering, Decompilation, and
  70. Disassembly. You may not reverse engineer, decompile, or disassemble
  71. the SOFTWARE PRODUCT, except and only to the extent that such activity
  72. is expressly permitted by applicable law notwithstanding this
  73. limitation.
  74.  
  75. Separation of Components. The SOFTWARE PRODUCT is licensed as a
  76. single product. Its component parts may not be separated for use on
  77. more than one computer.
  78.  
  79. Rental. You may not rent, lease, or lend the SOFTWARE PRODUCT.
  80.  
  81. Support Services. Passware may provide you with support
  82. services related to the SOFTWARE PRODUCT ("Support Services"). Use of
  83. Support Services is governed by the Passware policies and programs
  84. described in "online" documentation, and/or in other Concept
  85. Data-provided materials. Any supplemental software code provided to you
  86. as part of the Support Services shall be considered part of the
  87. SOFTWARE PRODUCT and subject to the terms and conditions of this SLA.
  88. With respect to technical information you provide to Passware as
  89. part of the Support Services, Passware may use such information for
  90. its business purposes, including for product support and development.
  91. Passware will not utilize such technical information in a form that
  92. personally identifies you.

  94. Software Transfer. You may permanently transfer all of your
  95. rights under this SLA, provided you retain no copies, you transfer all
  96. of the SOFTWARE PRODUCT (including all component parts, the media and
  97. printed materials, any upgrades, this SLA, and, if applicable, the
  98. Certificate of Authenticity), and the recipient agrees to the terms of
  99. this SLA. If the SOFTWARE PRODUCT is an upgrade, any transfer must
  100. include all prior versions of the SOFTWARE PRODUCT.

  102. Termination. Without prejudice to any other rights, Passware
  103. may terminate this SLA if you fail to comply with the terms and
  104. conditions of this SLA. In such event, you must destroy all copies of
  105. the SOFTWARE PRODUCT and all of its component parts.
  106.  
  107. 3       UPGRADES. If the SOFTWARE PRODUCT is labeled as an upgrade, you
  108. must be properly licensed to use a product identified by Passware
  109. as being eligible for the upgrade in order to use the SOFTWARE PRODUCT.
  110. A SOFTWARE PRODUCT labeled as an upgrade replaces and/or supplements
  111. the product that formed the basis for your eligibility for the upgrade.
  112. You may use the resulting upgraded product only in accordance with the
  113. terms of this SLA. If the SOFTWARE PRODUCT is an upgrade of a component
  114. of a package of software programs that you licensed as a single
  115. product, the SOFTWARE PRODUCT may be used and transferred only as part
  116. of that single product package and may not be separated for use on more
  117. than one computer.

  119. 4       COPYRIGHT. All title and copyrights in and to the SOFTWARE
  120. PRODUCT (including but not limited to any images, photographs,
  121. animations, video, audio, music, text, and "applets" incorporated into
  122. the SOFTWARE PRODUCT), the accompanying printed materials, and any
  123. copies of the SOFTWARE PRODUCT are owned by Passware or its
  124. suppliers. The SOFTWARE PRODUCT is protected by copyright laws and
  125. international treaty provisions. Therefore, you must treat the SOFTWARE
  126. PRODUCT like any other copyrighted material except that you may install
  127. the SOFTWARE PRODUCT on a single computer provided you keep the
  128. original solely for backup or archival purposes. You may not copy the
  129. printed materials accompanying the SOFTWARE PRODUCT.

  131. 5       DUAL-MEDIA SOFTWARE. You may receive the SOFTWARE PRODUCT in
  132. more than one medium. Regardless of the type or size of medium you
  133. receive, you may use only one medium that is appropriate for your
  134. single computer. You may not use or install the other medium on another
  135. computer. You may not loan, rent, lease, or otherwise transfer the
  136. other medium to another user, except as part of the permanent transfer
  137. (as provided above) of the SOFTWARE PRODUCT.

  140. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PASSWARE AND ITS
  141. SUPPLIERS DISCLAIM ALL WARRANTIES AND CONDITIONS, EITHER EXPRESS OR
  142. IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF
  143. MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND
  144. NON-INFRINGEMENT, WITH REGARD TO THE SOFTWARE PRODUCT, AND THE
  145. PROVISION OF OR FAILURE TO PROVIDE SUPPORT SERVICES.

  147. LIMITATION OF LIABILITY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE
  148. LAW, IN NO EVENT SHALL PASSWARE OR ITS SUPPLIERS BE LIABLE FOR ANY
  149. SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER
  150. (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS,
  151. BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR ANY OTHER
  152. PECUNIARY LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THE
  153. SOFTWARE PRODUCT OR THE PROVISION OF OR FAILURE TO PROVIDE SUPPORT
  154. SERVICES, EVEN IF PASSWARE HAS BEEN ADVISED OF THE POSSIBILITY OF
  155. SUCH DAMAGES. IN ANY CASE, PASSWARE'S ENTIRE LIABILITY UNDER ANY
  156. PROVISION OF THIS SLA SHALL BE LIMITED TO THE GREATER OF THE AMOUNT
  157. ACTUALLY PAID BY YOU FOR THE SOFTWARE PRODUCT OR U.S.$5.00. BECAUSE
  158. SOME STATES AND JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION
  159. OF LIABILITY, THE ABOVE LIMITATION MAY NOT APPLY TO YOU.
