  1.                      SOFTWARE VISION LICENSE AGREEMENT

  4.                                INTRODUCTION

  7.    This is a legal agreement between you (the Licensee), and Software
  8.    Vision.  By using PhotoVision Pro ("The Program"), you are agreeing 
  9.    to the terms of this agreement. If you cannot agree to abide by what 
  10.    this agreement says you should not use or evaluate PhotoVision Pro.
  11.  
  12.    This agreement explains when and how you may use both, the shareware 
  13.    version of The Program. In this agreement:

  15.     -  "Shareware version" means a promotional copy of PhotoVision Pro
  16.        distributed by us or by our authorized agents for evaluation
  17.        purposes and which is described as a shareware copy in the sign-on
  18.        messages and in the documentation.
  19.  
  20.     -  "Registered version" means a copy of PhotoVision Pro purchased from
  21.        us or from a dealer, and which is not described as a shareware copy
  22.        in the sign-on messages and the documentation.
  23.  
  24.     -  "we", "us" or "Software Vision" means Software Vision, based in
  25.        Cordova, TN, U.S.A.

  27.     -  "you" means the end user (Licensee) of PhotoVision Pro.

  30.                                  COPYRIGHT
  31.                                  ---------

  33.    PhotoVision Pro is protected by the United States Copyright law and
  34.    international treaty provisions.  You agree that your use of PhotoVision
  35.    Pro is subject to these laws, which prohibit unauthorized copying 
  36.    or duplication of the PhotoVision Pro software and documentation.

  39.          LICENSE FOR THE SHAREWARE VERSION OF PhotoVision Pro
  40.          ----------------------------------------------------

  42.    You may use the shareware version of PhotoVision Pro for an
  43.    evaluation period of up to 30 days.  The purpose of this evaluation
  44.    period is to allow you to determine whether PhotoVision Pro meets
  45.    your needs before purchasing it.  Once the evaluation period has ended,
  46.    you agree to either purchase a registered version of PhotoVision Pro,
  47.    or to stop using it.  If you have ordered a registered version of
  48.    PhotoVision Pro from us or from one of our dealers, you may continue
  49.    to use your shareware version beyond the end of the 30-day evaluation
  50.    period until your registered version arrives.

  52.    While you are evaluating the shareware version of PhotoVision Pro,
  53.    you may use it on as many computers as are required to perform your
  54.    evaluation.  Your 30-day evaluation period begins when you first install
  55.    PhotoVision Pro on one or more computers for evaluation purposes. 
  56.    Once the 30-day evaluation period is over and you decide to continue 
  57.    using the program, you MUST register your program.

  63.    SOFTWARE VISION SPECIFICALLY DISCLAIMS ALL WARRANTIES, EXPRESSED OR
  64.    IMPLIED, INCLUDING BUT NOT LIMITED TO, IMPLIED WARRANTIES OF
  65.    MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. IN NO EVENT SHALL
  66.    SOFTWARE VISION BE LIABLE FOR ANY LOSS OF PROFIT OR ANY OTHER COMMERCIAL
  67.    DAMAGE, INCLUDING BUT NOT LIMITED TO SPECIAL, INCIDENTAL, CONSEQUENTIAL
  68.    OR OTHER DAMAGES.

  74.    This agreement shall be construed, interpreted, and governed by the laws
  75.    of the State of Tennessee, U.S.A.
