  1. SOFTWARE LICENCE TERMS
  2.  
  3. WARNING: THESE ARE NOT THE ENTIRE LICENCE TERMS FOR THE ACCOMPANYING 
  4. SOFTWARE ("THE SOFTWARE").  PLEASE CLICK ON THE BUTTON INDICATED BELOW TO 
  5. SEE THE REST OF THE CONTRACTUAL TERMS REGARDING THE SOFTWARE, WHICH, 
  6. TOGETHER  WITH THESE TERMS, FORM THE "LICENCE TERMS".
  7.  
  8. THE SOFTWARE IS PROTECTED BY COPYRIGHT LAWS AND MAY ONLY BE USED, 
  9. TRANSMITTED OR REPRODUCED IN ACCORDANCE WITH THE LICENCE TERMS.
  10.  
  11. DO NOT INSTALL, REPRODUCE, TRANSMIT, OR USE THE SOFTWARE UNTIL YOU HAVE 
  12. READ AND ACCEPTED ALL OF THE LICENCE TERMS.  PERMISSION TO USE THE 
  13. SOFTWARE IS CONDITIONAL UPON YOU AGREEING TO THE LICENCE TERMS. 
  14. INSTALLATION, REPRODUCTION, TRANSMISSION OR USE OF THE SOFTWARE BY YOU 
  15. WILL BE DEEMED TO BE ACCEPTANCE OF THE LICENCE TERMS. ACCEPTANCE WILL 
  16. BIND YOU TO THE LICENCE TERMS IN A LEGALLY ENFORCEABLE CONTRACT WITH SFS 
  17. SOFTWARE.
  18.                                                                   
  19. IF YOU DO NOT WISH TO ACCEPT THE LICENCE TERMS, DO NOT INSTALL, 
  20. REPRODUCE, TRANSMIT OR USE THE SOFTWARE.
  21.  
  22. 1.    In the licence terms: "free trial period", in respect of the 
  23. software, means a period of 30 days commencing when you install the 
  24. software, including any further period permitted by SFS Software; "key" 
  25. means a device provided by SFS Software, upon receipt of the licence fee, 
  26. which enables the software to operate after the free trial period has 
  27. expired; "licence fee" means the amount of $US; "locked software" means 
  28. the software, without a key; "SFS Software" means SFS Software, of the 
  29. address indicated below; and "unlocked software" means the software, 
  30. together with and operational through use of a key.
  31.  
  32. 2.    Subject to the licence terms, you are granted a non-exclusive 
  33. right during the free trial period to reproduce, transmit and use locked 
  34. software on as many computers as you wish, provided that such software is 
  35. used for evaluation purposes only.  During the free trial period the 
  36. locked software will operate without a key and the software licence 
  37. granted in this clause shall be immediately revocable by SFS Software 
  38. without need to show cause.  Upon expiry of the free trial period, the 
  39. software licence granted in this clause will automatically terminate and 
  40. the software will become inoperational without the use of a key.
  41.  
  42. 3.    If you wish to use the software after the free trial period, you 
  43. must pay the licence fee to SFS Software.  Within a reasonable time after 
  44. SFS Software receives the licence fee from you, SFS Software will provide 
  45. you with a key.
  46.  
  47. 4.    Subject to the licence terms, if you pay the licence fee, you are 
  48. granted a non-exclusive right to cause a single copy of unlocked software 
  49. to be executed on a single central processing unit of a single computer 
  50. at any one time.  The licence granted in this clause 4 will continue 
  51. until copyright in the software expires in the jurisdiction where the 
  52. software is being used for the time being.
  53.  
  54. 5.    The software licence extends to any documentation which 
  55. accompanies the software, provided that such documentation may not be 
  56. copied, modified or used in any way not contemplated or expressly 
  57. authorised by the licence terms.
  58.  
  59. 6.    You hereby undertake the following obligations:
  60.  
  61.     (a)    to not copy, reproduce, transmit, translate, adapt, vary 
  62. or modify the software, in whole or in part (including the part being the 
  63. key), except as expressly authorised by the licence terms;
  64.  
  65.     (b)    to ensure your employees, sub-contractors and others who 
  66. are permitted by you to have access to the software are made aware of the 
  67. terms of the licence terms and abide by them;
  68.  
  69.     (c)    to not use unlocked software for or in connection with an 
  70. outsourcing, service bureau or facilities management arrangement; and
  71.  
  72.     (d)    to not make unlocked software available across a computer 
  73. network.
  74.  
  75. 7.    You acknowledge and agree that:
  76.  
  77.     (a)    the software is provided "as is" and is not  warranted to 
  78. be error free;
  79.  
  80.     (b)    the existence of any errors in the software shall not 
  81. constitute a breach of the licence terms; and
  82.  
  83.     (c)    SFS Software will not be liable or responsible for any 
  84. virus or other feature of the software which interferes with the normal 
  85. operation of a computer and in either case which is not intentionally 
  86. introduced by SFS Software.
  87.  
  88. 8.    Subject to clause 11, all terms not expressly stated in the 
  89. licence terms (including terms relating to the standard or quality of the 
  90. software or the fitness of the software for a particular purpose) are 
  91. excluded from the licence terms.
  92.  
  93. 9.    Subject to clause 11, the maximum liability of SFS Software for 
  94. any claims, loss or damage suffered or incurred in any way relating to 
  95. the software (whether referable to breach of the licence terms, 
  96. negligence or otherwise and including any number of claims which arise 
  97. from a single event) will be the licence fee.
  98.  
  99. 10.    Subject to clause 11, SFS Software will not be liable for any 
  100. indirect or consequential damages however arising (whether through a 
  101. breach of the licence terms, negligence or otherwise).
  102.  
  103. 11.    In the event that any applicable law or statute implies any terms 
  104. or imposes any liability on SFS Software which cannot lawfully be 
  105. excluded from the licence terms:
  106.  
  107.     (a)    such terms are included in, or as the case may require, 
  108. such liability is not excluded by, the licence terms; and
  109.  
  110.     (b)    the liability of SFS Software for a breach of such terms 
  111. or, as the case may be, such liability, will be limited to the maximum 
  112. extent permitted under such law or statute.
  113.  
  114. 12.    Nothing in the licence terms entitles you to support or 
  115. maintenance services, updates or new releases in respect of the software.
  116.  
  117. 13.    You acknowledge and warrant that:
  118.  
  119.     (a)    you will acquire a key only after satisfying yourself as 
  120. to the fitness of the software for the purpose to which you intend to put 
  121. it;
  122.  
  123.     (b)    you have not relied on any representation made by SFS 
  124. Software which is not stated expressly in the licence terms or upon any 
  125. descriptions, illustrations or specifications contained in any document 
  126. including catalogues or publicity material produced by SFS Software.
  127.  
  128. 14.    You acknowledge that the software, including the key and all 
  129. accompanying documentation, are the subject of copyright.  You shall not 
  130. at any time permit any act which infringes that copyright and, without 
  131. limiting the foregoing, you specifically acknowledge that you may not 
  132. reproduce or copy the software or the key except as otherwise expressly 
  133. authorised by the licence terms.
  134.  
  135. 15.    You shall fully indemnify SFS Software against all liabilities, 
  136. costs and expenses which SFS Software may incur as a result of a breach 
  137. of the provisions of the licence terms by you or permitted by you.
  138.  
  139. 16.    The agreement comprising the licence terms may be terminated by 
  140. SFS Software in the following circumstances:
  141.  
  142.     (a)    if you are in breach of any term of the licence terms;
  143.  
  144.     (b)    if you, being a corporation, become the subject of 
  145. insolvency proceedings;
  146.  
  147.     (c)    if you, being a firm or partnership, are dissolved;
  148.  
  149.     (d)    if you, being a natural person, die;
  150.  
  151.     (e)    if you destroy the software and documentation for any 
  152. reason; 
  153.  
  154.     (f)    any circumstances not contemplated by the licence terms 
  155. occur which make it reasonable for SFS Software to terminate that 
  156. agreement; or
  157.  
  158.     (g)    SFS Software gives you a notice of its intention to 
  159. terminate that agreement, and you do not, within 14 days of dispatch of 
  160. that notice, communicate your intention to continue that agreement.
  161.  
  162. 17.    Upon such termination, you must cause all remaining copies of the 
  163. software (including the key and all accompanying documentation) to be 
  164. destroyed or otherwise returned, disposed of or dealt with in the manner 
  165. directed by SFS Software.
  166.  
  167. 18.    Such termination shall not affect any rights or remedies which 
  168. SFS Software may otherwise have under the licence terms or at law.
  169.  
  170. 19.    The benefit of the licence terms shall not be dealt with in any 
  171. way by you (whether by assignment, sub-licensing or otherwise) without 
  172. SFS Software's written consent.
  173.  
  174. 20.    Failure or neglect by either party to enforce at any time any of 
  175. the provisions of the licence terms shall not be construed or deemed to 
  176. be a waiver of that party's rights under the licence terms.
  177.  
  178. 21.    The licence terms shall be governed by and construed according to 
  179. the law of the State of Thuringia, Germany and SFS Software and you 
  180. submit to the jurisdiction of courts and tribunals exercising 
  181. jurisdiction in that State.
