SOFTWARE LICENSE AGREEMENT
1. GRANT OF LICENSE. In consideration of the license fee Recognita Corp., as Licenser
grants you, the LICENSEE, the right to use this copy of Recognita Corp. program product
(hereinafter the ôSoftwareö) on a SINGLE COMPUTER (i.e. with a single CPU) at a single
location.
2. OWNERSHIP OF SOFTWARE. As the LICENSEE, you own the magnetic or other
physical media on which the Software is originally or subsequently recorded, but Recognita
Corp. retains title and ownership of the Software itself, regardless of the form or media in/on
which it may exist.
3. COPY RESTRICTIONS. This Software and the accompanying written materials are
copyrighted. Unauthorized copying, including Software that has been modified, merged or
included with other software, or copying of the written materials is expressly forbidden. You
may be held legally responsible for any copyright infringement that is caused or encouraged
by your failure to abide by the terms of this license. Subject to these restrictions, and if the
Software is not copy-protected, you may make up to three (3) copies solely for backup
purposes. You must reproduce and include the copyright notice on all backup copies.
4. USE RESTRICTIONS. As the LICENSEE, you may physically transfer the Software from
one computer to another, provided that it is used on only one computer at a time. You may not
electronically transfer the Software over a network. You may not distribute copies of the
Software or accompanying written materials to others. You may not modify, adapt, translate,
reverse translate, decompile, disassemble or create derivative works based on the Software.
You may not modify, adapt, translate or create derivative works based on the written materials
without the prior written consent of Recognita Corp.
5. TRANSFER OF SOFTWARE. You may transfer the Software and the License to another
party provided the other party agrees to accept the terms of this Agreement, and that you
transfer or destroy all copies in your possession, whether in printed or machine-readable form.
6. LIMITED WARRANTY. Recognita Corp. warrants for a period of sixty (60) days from
the effective date of this Agreement that, under normal use the material of the magnetic
diskette(s) and the user manual(s) will not prove defective and that the program is properly
recorded on the diskette(s). If, during the sixty-day period such defects should appear, you
may return the Software to the place of purchase for replacement free of charge.
EXCEPT FOR THE LIMITED WARRANTY DESCRIBED IN THIS PARAGRAPH,
THERE ARE NO WARRANTIES, EXPRESSED OR IMPLIED, BY THIS AGREEMENT.
THESE INCLUDE BUT ARE NOT LIMITED TO, IMPLIED WARRANTIES OF
MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, AND ALL SUCH
WARRANTIES ARE EXPLICITLY DISCLAIMED.
7. LIMITATION OF LIABILITY. You agree that regardless of the form of any claim you
may have, Recognita Corp.Æs liability for any damages to you or to any other party shall not
exceed the license fee paid for the Software. RECOGNITA CORP. SHALL NOT BE LIABLE
FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL OR INCIDENTAL DAMAGE
INCLUDING LOSS OF PROFITS, BUSINESS INTERRUPTION, LOSS OF
INFORMATION AND THE LIKE, ARISING OUT OF THE USE OF THE SOFTWARE
EVEN IF RECOGNITA CORP. HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH
DAMAGE.
8. REGISTRATION. Recognita Corp. from time to time may revise or update the Software.
Revision information can only be provided to you if you have returned the Registration Card
to the address indicated on the Registration Card.
9. DURATION OF AGREEMENT. This License is effective from the day you open the
package until terminated. You may terminate it by destroying the Software with all
accompanying printed material and notifying Recognita Corp. of such destruction. The
License will terminate automatically without notice if you fail to comply with any of its
