  2.                   END-USER LICENSE AGREEMENT

  5.                  IMPORTANT -- READ CAREFULLY:

  7. This End-User License Agreement ("EULA") is a legal agreement between
  8. you and Greenwood Software for the software accompanying this EULA,
  9. which includes computer software and may include documentation 
  10. ("SOFTWARE").  By exercising your rights to make and use copies of the 
  11. SOFTWARE, you agree to be bound by the terms of this EULA.  If you do 
  12. not agree to the terms of this EULA, you may not use the SOFTWARE.

  15. LICENSE

  17. The SOFTWARE is the property of Greenwood Software and is protected
  18. by copyright law.  This EULA grants you the following rights:
  19.  
  20. (i) You may install and use only one copy of the SOFTWARE at any 
  21. given time.

  23. (ii) You may make one copy of the SOFTWARE for archival purposes.
  24.  
  25. (iii) After written notice to Greenwood Software, you may transfer the
  26. SOFTWARE on a permanent basis to another person or entity, provided
  27. that you retain no copies of the SOFTWARE and the transferee agrees
  28. to the terms of this agreement.

  30. (iv) You may not reproduce or distribute copies of the SOFTWARE,
  31. except as permitted by LICENSE paragraphs (i), (ii) and (iii).

  33. (v) You may not reverse engineer, decompile, disassemble, modify or
  34. translate the SOFTWARE, or create derivative works from the SOFTWARE.

  37. COPYRIGHT

  39. The SOFTWARE is protected by copyright laws.  All title and copyrights
  40. in and to the SOFTWARE are owned by Greenwood Software.

  43. NO WARRANTIES

  45. Greenwood Software expressly disclaims any warranty for the SOFTWARE.
  46. The SOFTWARE is provided "as is" without warranty of any kind, either
  47. express or implied, including, without limitation, the implied
  48. warranties of merchantability, fitness for a particular purpose, 
  49. or noninfringement.

  52. DISCLAIMER OF DAMAGES

  54. In no event will Greenwood Software be liable for any damages
  55. whatsoever, including, without limitation, any lost profits or lost
  56. data arising out of the use or inability to use the SOFTWARE, even if
  57. Greenwood Software has been advised of the possibility of such damages.
  58. Some states do not allow the limitation or exclusion of liability or
  59. consequential damages, so the above limitation or exclusion may not
  60. apply to you.

  65. This EULA will be governed by the laws of the State of California.
