  1. Software License And Limited Warranty

  4. This is an agreement between you, the end user, and Granite 
  5. River, Inc. ("Granite River"). By using this software, you are 
  6. agreeing to become bound by the terms of this agreement.
  7. IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, DO NOT USE 
  8. THIS SOFTWARE. PROMPTLY RETURN THE ENTIRE PACKAGE TO THE PLACE 
  9. WHERE YOU OBTAINED IT FOR A FULL REFUND.

  12. GRANT OF LICENSE

  14. Granite River, as Licensor, grants to you, the Licensee, a 
  15. non-exclusive right to use this software program (hereinafter 
  16. the "Software") in accordance with the terms contained in this 
  17. license. You may use the Software on a single computer. If you 
  18. wish to use the Software on more than one computer, you must 
  19. either erase the software from the first computer when you move 
  20. the Software to another computer, or else purchase two copies of 
  21. the Software. You may execute the Software from a common disk 
  22. shared by multiple computers provided that one authorized copy 
  23. of the Software has been licensed for each computer executing 
  24. the Software.

  27. SITE LICENSE GRANT

  29. If you acquire a "SITE LICENSE" you are granted the right to use 
  30. the Software simultaneously on the number of computers granted 
  31. by the SITE LICENSE. Each single-user computer, workstation 
  32. attached to a network, network computer, laptop computer, 
  33. terminal or workstation attached to a multi-user computer or 
  34. other computer commonly thought of as a single computer is a 
  35. "single computer" for purposes of this license.

  38. OWNERSHIP OF SOFTWARE

  40. Granite River retains the copyright, title and ownership of the 
  41. SOFTWARE and the written materials regardless of the form or 
  42. media in or on which the original and other copies may exist. 
  43. You may make one (1) copy of the SOFTWARE solely for backup 
  44. purposes. You must reproduce and include the copyright notice on 
  45. the backup copy.

  48. TRANSFERS

  50. You may physically transfer the SOFTWARE from one of your 
  51. computers to another provided that the SOFTWARE is used on only 
  52. one computer at a time. You may not distribute copies of the 
  53. SOFTWARE or accompanying written materials to others. You may 
  54. not transfer the SOFTWARE to anyone without the prior written 
  55. consent of Granite River. In no event may you transfer, assign, 
  56. rent, lease, sell or otherwise dispose of the SOFTWARE on a 
  57. temporary basis.

  60. TERMINATION

  62. This License is effective until terminated. This License will 
  63. terminate automatically without notice from Granite River if you 
  64. fail to comply with any provision of this License. Upon 
  65. termination you shall destroy the written materials and all 
  66. copies of the SOFTWARE, including modified copies, if any.

  69. US GOVERNMENT RESTRICTED RIGHTS

  71. The SOFTWARE and any accompanying materials are provided with 
  72. Restricted Rights. Use, duplication or disclosure by the 
  73. Government is subject to restrictions as set forth in 
  74. subparagraph (c)(1)(ii) of The Rights in Technical Data and 
  75. Computer Software clause at DFARS 252.227-7013, or subparagraphs 
  76.  (c)(1) and (2) of the Commercial Computer Software - Restricted 
  77. Rights at 48 CFR 52.227-19, as applicable.

  82. LIMITED WARRANTY

  84. Granite River warrants the media on which the SOFTWARE is 
  85. furnished to be free of defects in material and workmanship, 
  86. under normal use, for a period of ninety (90) days following the 
  87. date of delivery to you. In the event of defects, Granite 
  88. River's sole liability shall be to replace the defective media 
  89. which has been returned to Granite River or the supplier with 
  90. your dated invoice and is shown to be defective. In the event 
  91. that Granite River is unable to replace defective media, Granite 
  92. River shall refund your money upon your termination of this 
  93. license.

  96. DISCLAIMER OF WARRANTIES

  98. GRANITE RIVER DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR 
  99. IMPLIED, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTY OF 
  100. MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. 
  101. GRANITE RIVER SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, 
  102. CONSEQUENTIAL OR INCIDENTAL DAMAGES (INCLUDING DAMAGES FOR LOSS 
  103. OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS 
  104. INFORMATION, AND THE LIKE) ARISING OUT OF THE USE OR INABILITY 
  105. TO USE THE PRODUCT EVEN IF GRANITE RIVER HAS BEEN ADVISED OF THE 
  106. POSSIBILITY OF SUCH DAMAGES.

  108. Should any other warranties be found to exist, such warranties 
  109. shall be limited in duration to ninety (90) days following the 
  110. date of delivery to you. In no event will Granite River's 
  111. liability for any damages to you or any other person exceed the 
  112. amount paid for the license to use the SOFTWARE.

  114. This License shall be governed and construed in accordance with 
  115. the laws of the State of Minnesota and shall benefit Granite 
  116. River, its successors and assigns.
