  1. End-User License Agreement
  2. for
  3. Hand-held Software from Poohbah Industries
  4. (The "Software")
  5.  
  6. 1. License: This Agreement allows you to: (a) Use the Software on a 
  7. handheld computer device; and (b) Make one copy of the Software in 
  8. machine-readable form for backup purposes.
  9.  
  10. 2. Restrictions: You may not make or distribute copies of the Software 
  11. in any form, electronic or otherwise. You may not decompile, reverse engineer, 
  12. disassemble, or otherwise reduce the Software to a human-perceivable form. 
  13. You may not modify, rent, resell for profit, distribute or create derivative 
  14. works based upon the Software.

  16. 3. Use of databases: You are granted an unrestricted license to use 
  17. the files created by the Software on a handheld device.
  18.  
  19. 4. Ownership: This license gives you limited rights to use the Software. 
  20. You do not own the Software and Poohbah Industries retains ownership of the 
  21. Software and all copies of it. All rights not specifically granted in this 
  22. Agreement, including Federal and International Copyrights, are reserved by 
  23. Poohbah Industries.

  25. 5. Protecting the Software: You shall take reasonable steps to protect 
  26. the Software from unauthorized copying, publication, disclosure or distribution, 
  27. including restricting your employees and consultants, Third Parties, and 
  28. End Users as to the restrictions set forth in this agreement. You shall take 
  29. reasonable and prudent measures to limit use of the Software as required by 
  30. this Agreement.

  32. 6. Disclaimer of Warranties and Technical Support: The Software is 
  33. provided to you on an "AS IS" basis, without any technical support or warranty of 
  34. any kind from Poohbah Industries including, without limitation, a warranty of 
  35. merchantability, fitness for a particular purpose and non-infringement. SOME 
  36. STATES DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSION 
  37. MAY NOT APPLY TO YOU. YOU MAY ALSO HAVE OTHER LEGAL RIGHTS WHICH VARY FROM STATE 
  38. TO STATE.

  40. 7. Limitation of Damages: Poohbah Industries SHALL NOT BE LIABLE FOR ANY 
  41. INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES OR LOSS (INCLUDING DAMAGES 
  42. FOR LOSS OF BUSINESS, LOSS OF PROFITS, OR THE LIKE), WHETHER BASED ON BREACH OF 
  43. CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY OR OTHERWISE, EVEN IF 
  44. Poohbah Industries OR ITS REPRESENTATIVES HAVE BEEN ADVISED OF THE POSSIBILITY 
  45. OF SUCH DAMAGES. SOME STATES DO NOT ALLOW THE LIMITATION OR EXCLUSION OF 
  46. LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THIS LIMITATION OR 
  47. EXCLUSION MAY NOT APPLY TO YOU. The limited warranty, exclusive remedies and 
  48. limited liability set forth above are fundamental elements of the basis of the 
  49. bargain between Poohbah Industries and you. You agree that Poohbah Industries 
  50. would not be able to provide the Software on an economic basis without such 
  51. limitations.

  53. 8. General: This Agreement shall be governed by the internal laws of 
  54. the State of California. This Agreement contains the complete agreement between 
  55. the parties with respect to the subject matter hereof, and supersedes all prior 
  56. or contemporaneous agreements or understandings, whether oral or written. All 
  57. questions concerning this Agreement shall be directed to: Poohbah Industries,
