  1. HANDS HIGH SOFTWARE LICENSE AGREEMENT

  3. This is a legal agreement between you and Hands High Software, Inc. covering your 
  4. use of ToDo PLUS¬ Trial Version.  Be sure to read the following agreement 
  5. before using the software.  IF YOU DO NOT AGREE TO THE TERMS OF THIS 
  6. AGREEMENT, DO NOT USE THE SOFTWARE AND DESTROY ALL COPIES OF IT.

  8. This Hands High End-User License Agreement ("EULA") is a legal agreement 
  9. between you (either an individual or a single entity) and Hands High Software, Inc. 
  10. By installing, copying, or otherwise using ToDo PLUS¬ Trial 
  11. Version ("the Software") on any computer or device, you agree to be bound 
  12. by the terms of this EULA. If you do not agree to the terms of this EULA, 
  13. you are not authorized to use the Software.

  15. TERMS
  16.  
  17. This software is distributed as trial software. Hands High Software, Inc. grants 
  18. you a non-exclusive license to use the Software for a period of 14 days for 
  19. evaluation purposes. After 14 days, you are required to remove the Software 
  20. from your computer and/or device. Hands High Software sells and distributes 
  21. a "release" version of this product, which you may purchase on the Internet at
  22. <http://www.handshigh.com/>.

  24. WARRANTY
  25.  
  26. The Software is provided on an "AS IS" basis, without warranty of any kind, 
  27. including without limitation the warranties of merchantability, fitness for 
  28. a particular purpose and non-infringement. The entire risk as to the quality 
  29. and performance of the Software is borne by you.  Should the Software prove 
  30. defective, you, and not Hands High Software assume the entire cost of any 
  31. service and repair. This disclaimer of warranty constitutes an essential part 
  32. of the agreement. SOME JURISDICTIONS DO NOT ALLOW EXCLUSIONS OF AN 
  33. IMPLIED WARRANTY, SO THIS DISCLAIMER MAY NOT APPLY TO YOU AND YOU MAY
  34. HAVE OTHER LEGAL RIGHTS THAT VARY BY JURISDICTION.

  36. DISTRIBUTION
  37.  
  38. Commercial distribution of the Software is not allowed without permission 
  39. of Hands High Software.  Contact Hands High Software, Inc. for details on obtaining 
  40. a license. Non-commercial distribution is permitted, provided that this license 
  41. accompanies the Software and all users agree to the terms of this license 
  42. agreement.

  44. You may not modify, translate, reverse engineer, decompile, disassemble or 
  45. create derivative works based on the Software. You  may not copy the Software 
  46. other than as specified above. You may not rent, lease, grant a security interest 
  47. in, or otherwise transfer rights to the Software. You may not remove any 
  48. proprietary  notices or labels on the Software. You must maintain all copyright 
  49. notices on all copies of the Software.

  51. TITLE.

  53. Title, ownership rights, and intellectual property rights in the Software 
  54. shall remain in Hands High Software. The Software is protected by the 
  55. copyright laws and treaties of the United States. 
  56.  
  57. TERMINATION.
  58.  
  59. The license will terminate automatically if you fail to comply with
  60. the limitations described herein.  On termination, you must destroy
  61. all copies of the Software and Documentation.
  62.  
  63. EXPORT CONTROLS.
  64.  
  65. None of the Software or underlying information or technology may be 
  66. downloaded or otherwise exported or reexported (i) into (or to a national 
  67. or resident of) Cuba, Iraq, Libya, Yugoslavia, North Korea,
  68. Iran, Syria or any other country to which the U.S. has embargoed
  69. goods; or (ii) to anyone on the U.S. Treasury Department's list of
  70. Specially Designated Nationals or the U.S. Commerce Department's 
  71. Table of Denial Orders. By downloading or using the Software, you 
  72. are agreeing to the foregoing and you are representing and warranting 
  73. that you are not located in, under the control of, or a national or resident 
  74. of any such country or on any such list.
  75.  
  76. LIMITATION OF LIABILITY
  77.  
  78. UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL THEORY, TORT, CONTRACT, 
  79. OR OTHERWISE, SHALL HANDS HIGH SOFTWARE OR ITS SUPPLIERS OR RESELLERS BE 
  80. LIABLE TO YOU OR ANY OTHER PERSON FOR ANY INDIRECT, SPECIAL, INCIDENTAL, 
  81. OR CONSEQUENTIAL DAMAGES OF ANY CHARACTER INCLUDING, WITHOUT 
  82. LIMITATION, DAMAGES FOR LOSS OF GOODWILL, WORK STOPPAGE, COMPUTER 
  83. FAILURE OR MALFUNCTION, OR ANY AND ALL OTHER COMMERCIAL DAMAGES OR 
  84. LOSSES. IN NO EVENT WILL HANDS HIGH SOFTWARE BE LIABLE FOR ANY DAMAGES 
  85. IN EXCESS OF THE AMOUNT HANDS HIGH SOFTWARE  RECEIVED FROM YOU FOR A 
  86. LICENSE TO THE SOFTWARE, EVEN IF HANDS HIGH SOFTWARE SHALL HAVE BEEN 
  87. INFORMED OF THE POSSIBILITY OF SUCH DAMAGES, OR FOR ANY CLAIM BY ANY 
  88. OTHER PARTY. THIS LIMITATION OF LIABILITY SHALL NOT APPLY TO LIABILITY 
  89. FOR DEATH OR PERSONAL INJURY TO THE EXTENT APPLICABLE LAW PROHIBITS 
  90. SUCH LIMITATION. FURTHERMORE, SOME JURISDICTIONS DO NOT ALLOW THE 
  91. EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO 
  92. THIS LIMITATION AND EXCLUSION MAY NOT APPLY TO YOU.

  94. HIGH RISK ACTIVITIES.
  95.  
  96. The Software is not fault-tolerant and is not designed, manufactured
  97. or intended for use or resale as on-line control equipment in hazardous 
  98. environments requiring fail-safe performance, such as in the operation 
  99. of nuclear facilities, aircraft navigation or communication systems, air 
  100. traffic control, direct life support machines, or weapons systems, in 
  101. which the failure of the Software could lead directly to death, personal 
  102. injury, or severe physical or environmental damage ("High Risk Activities").  
  103. Hands High Software, Inc. and its suppliers specifically disclaim any express or 
  104. implied warranty of fitness for High Risk Activities.
  105.   
  106. MISCELLANEOUS.
  107.  
  108. If any provision of this Agreement is held to be unenforceable, such
  109. provision shall be reformed only to the extent necessary to make it
  110. enforceable.  This Agreement shall be governed by California law
  111. (except for conflict of law provisions). The application the United
  112. Nations Convention of Contracts for the International Sale of Goods is
  113. expressly excluded.

  115. U.S. GOVERNMENT RESTRICTED RIGHTS.  Use, duplication or disclosure by the 
  116. Government is subject to restrictions set forth in subparagraphs (a) through 
  117. (d) of the Commercial Computer-Restricted Rights clause at FAR 52.227-19 
  118. when applicable, or in subparagraph (c)(1)(ii) of the Rights in Technical Data 
  119. and Computer Software clause at DFARS 252.227-7013, or at 252.211-7015, or 
  120. to Hands High Software's standard commercial license, as applicable, and in 
  121. similar clauses in the NASA FAR Supplement. Contractor/manufacturer is
