  2. BY USING THE SOFTWARE, YOU ARE AGREEING TO BE BOUND BY THE 
  3. TERMS OF THIS LICENSE. IF YOU DO NOT AGREE TO THE TERMS OF 
  4. THIS LICENSE, PROMPTLY RETURN THE UNUSED SOFTWARE TO THE PLACE 
  5. WHERE YOU OBTAINED IT AND YOUR MONEY WILL BE REFUNDED.

  7. End User License Agreement - Single User

  9. 1. DEFINITIONS
  10.  
  11. The term "SOFTWARE" includes all software distributed with 
  12. this License including HourzPro, ExpenzPro, Reportz, ZoskSync, ZoskConfig 
  13. and all documentation. The "SOFTWARE" is licensed to you under 
  14. the terms specified in the License Grant below. Zoskware  
  15. ("ZOSKWARE") owns all copyright, trade secret, patent, 
  16. trademarks and other proprietary rights in the SOFTWARE.

  18. 2. AGREEMENT
  19.  
  20. This ZOSKWARE License Agreement ("LICENSE AGREEMENT") is a 
  21. legal agreement between you (an entity or a person) and 
  22. ZOSKWARE for use of the SOFTWARE, which includes computer 
  23. software and electronic documentation.

  25. 3. PROPERTY
  26.  
  27. The SOFTWARE which accompanies this license is the property 
  28. of ZOSKWARE and is protected by copyright law and international 
  29. copyright treaties, as well as other intellectual property laws 
  30. and treaties. ZOSKWARE retains all intellectual property rights 
  31. including, but not limited to, patent, trademark, copyright, and 
  32. trade secret rights in the SOFTWARE.

  34. 4. LICENSE GRANT
  35.  
  36. ZOSKWARE grants you the right to install the PalmOS portions 
  37. of the SOFTWARE on a single PalmOS device at any one time. 
  38. ZOSKWARE grants you the right to install the Windows95/NT portions 
  39. of the SOFTWARE on a single computer at any one time. You may use 
  40. the SOFTWARE at home, at work or on another computer provided 
  41. that you, the licensee only use one copy at a time, and for your 
  42. own benefit. You must purchase a license for each additional user.

  44. After written notice to ZOSKWARE you may transfer the entire 
  45. SOFTWARE to another person or entity, but only if you keep no 
  46. copies, and the transferee agrees to abide by the terms of this 
  47. LICENSE AGREEMENT.

  49. 5. LIMITED WARRANTY
  50.  
  51. THE WARRANTIES IN THIS AGREEMENT REPLACE ALL OTHER WARRANTIES, 
  52. EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF MERCHANTABILITY 
  53. OR FITNESS FOR A PARTICULAR PURPOSE. ZOSKWARE DISCLAIMS AND 
  54. EXCLUDES ALL OTHER WARRANTIES.

  56. ZOSKWARE warrants that the physical media on which the SOFTWARE 
  57. is distributed will be free of defects in materials and 
  58. workmanship for a period of 30 days from the date of delivery 
  59. of the SOFTWARE to you. ZOSKWARE's entire liability and your 
  60. exclusive remedy for ZOSKWARE'S liability of any kind shall be 
  61. a replacement of the defective media. To obtain a replacement, 
  62. you must return the entire package, along with your receipt, to 
  63. the place of purchase within the 30 day warranty period.
  64.  
  65. ZOSKWARE does not warrant that the SOFTWARE will meet your 
  66. requirements or that operation of the SOFTWARE will be without 
  67. interruption, or that the SOFTWARE will be error-free, or that 
  68. defects in the SOFTWARE will be corrected. The software is 
  69. provided "AS IS" without warranty of any kind.

  71. ZOSKWARE disclaims all other warranties, either express or implied 
  72. warranties of merchantability, fitness for a particular purpose, 
  73. and non-infringement, with respect to the SOFTWARE and the 
  74. accompanying documentation.

  76. 6. DISCLAIMER OF LIABILITY
  77.  
  78. IN NO EVENT SHALL ZOSKWARE BE LIABLE TO YOU FOR ANY SPECIAL, 
  79. INCIDENTAL, CONSEQUENTIAL, INDIRECT OR SIMILAR DAMAGES INCLUDING 
  80. ANY LOSS OF PROFITS, OR LOSS OF SAVINGS, ARISING OUT OF YOUR USE 
  81. OR INABILITY TO USE THE SOFTWARE, EVEN IF ZOSKWARE HAS KNOWLEDGE 
  82. OF THE POTENTIAL LOSS OR DAMAGE. Some states do not allow the 
  83. limitation or exclusion of liability for incidental or 
  84. consequential damages, so the above limitation may not apply to 
  85. you. HOWEVER, IN NO CASE SHALL ZOSKWARE'S LIABILITY EXCEED THE 
  86. PURCHASE PRICE OF THE SOFTWARE.

  88. 7. U.S. GOVERNMENT RESTRICTED RIGHTS
  89.  
  90. The SOFTWARE and documentation are provided with Restricted Rights. 
  91. Use, duplication, or disclosure by the Government is subject to 
  92. restrictions as set forth in FAR Sections 52-227-14 and 52-227-19 
  93. or DFARS Section 52-227-7013 (c)(1)(ii), as applicable.

  95. 8. GENERAL

  97. This agreement must be construed -- and its performance enforced -- 
  98. under California law. If any part of this agreement is found void 
  99. and unenforceable, it will not affect the validity of the balance 
  100. of this LICENSE AGREEMENT, which shall remain valid and enforceable 
  101. according to its terms. You agree that the SOFTWARE will not be 
  102. shipped, transferred or exported into any country or used in any 
  103. manner prohibited by the United States Export Administration Act 
  104. or any other export laws, restrictions or regulations. This LICENSE 
  105. AGREEMENT may only be modified by a license addendum which accompanies 
  106. this license of an upgrade to the SOFTWARE, or by a written document 
  107. that has been signed by both you and an officer of ZOSKWARE. This 
  108. license automatically terminates if the licensee violates any of 
  109. the terms of this LICENSE AGREEMENT.
