  1.      WWW&FTP observer - PRODUCT LICENSE INFORMATION

  3.      NOTICE  TO  USERS:  CAREFULLY  READ THE FOLLOWING LEGAL
  4.      AGREEMENT.  USE  OF  THE  SOFTWARE  PROVIDED  WITH THIS
  5.      AGREEMENT  (THE "SOFTWARE") CONSTITUTES YOUR ACCEPTANCE
  6.      OF  THESE  TERMS.  IF  YOU DO NOT AGREE TO THE TERMS OF
  7.      THIS   AGREEMENT,   DO  NOT  INSTALL  AND/OR  USE  THIS
  8.      SOFTWARE.  USER'S  USE  OF THIS SOFTWARE IS CONDITIONED
  9.      UPON   COMPLIANCE  BY  USER  WITH  THE  TERMS  OF  THIS
  10.      AGREEMENT.

  13.      LICENSE  GRANT.  CHMV  Software grants you a license to
  14.      use one copy of the version of this SOFTWARE on any one
  15.      hardware  product for as many licenses as you purchase.
  16.      "You"  means  the  company,  entity or individual whose
  17.      funds  are  used  to  pay  the license fee. "Use" means
  18.      storing,  loading,  installing, executing or displaying
  19.      the  SOFTWARE.  You  may  not  modify  the  SOFTWARE or
  20.      disable  any  licensing  or  control  features  of  the
  21.      SOFTWARE  except  as an intended part of the SOFTWARE's
  22.      programming  features.  When you first obtain a copy of
  23.      the  SOFTWARE,  you are granted an evaluation period of
  24.      not  more  than  20 days, after which time you must pay
  25.      for  the  SOFTWARE  according  to  the terms and prices
  26.      discussed  in the SOFTWARE's documentation, or you must
  27.      remove the SOFTWARE from your computer. This license is
  28.      not transferable to any other hardware product or other
  29.      company, entity, or individual.
  30.  
  31.      OWNERSHIP.  The  SOFTWARE  is  owned and copyrighted by
  32.      CHMV   Software.  Your  license  confers  no  title  or
  33.      ownership  in  the SOFTWARE and should not be construed
  34.      as a sale of any right in the SOFTWARE.
  35.  
  36.      COPYRIGHT.  The  SOFTWARE is protected by United States
  37.      copyright  law and international treaty provisions. You
  38.      acknowledge  that no title to the intellectual property
  39.      in  the  SOFTWARE  is  transferred  to you. You further
  40.      acknowledge that title and full ownership rights to the
  41.      SOFTWARE  will  remain  the  exclusive property of CHMV
  42.      Software  and  you  will  not acquire any rights to the
  43.      SOFTWARE except as expressly set forth in this license.
  44.      You  agree that any copies of the SOFTWARE will contain
  45.      the same proprietary notices which appear on and in the
  46.      SOFTWARE.
  47.  
  48.      UNAUTHORIZED  USE.  You may not use, copy, rent, lease,
  49.      sell, modify, decompile, disassemble, otherwise reverse
  50.      engineer,  or  transfer the SOFTWARE except as provided
  51.      in  this  agreement.  Any  such  unauthorized use shall
  52.      result  in  immediate and automatic termination of this
  53.      license.
  54.  
  55.      All distribution of SOFTWARE is further restricted with
  56.      regard  to  sources  which also distribute virus source
  57.      code and related virus construction/creation materials.
  58.      The  SOFTWARE  may  not  be made available on any site,
  59.      CD-ROM,  or  with  any package which makes available or
  60.      contains viruses, virus source code, virus construction
  61.      programs, or virus creation material.
  62.  
  63.      Permission   to   distribute   the   SOFTWARE   is  not
  64.      transferable,  assignable,  saleable,  or franchisable.
  65.      Each  entity  wishing  to  distribute  the package must
  66.      independently  satisfy  the  terms  of the distribution
  67.      license.
  68.  
  69.      LIMITED  WARRANTY.  THIS SOFTWARE IS PROVIDED ON AN "AS
  70.      IS"  BASIS.  CHMV  Software  DISCLAIMS  ALL  WARRANTIES
  71.      RELATING   TO   THIS  SOFTWARE,  WHETHER  EXPRESSED  OR
  72.      IMPLIED,  INCLUDING  BUT  NOT  LIMITED  TO  ANY IMPLIED
  73.      WARRANTIES   OF   MERCHANTABILITY   OR   FITNESS  FOR A
  74.      PARTICULAR  PURPOSE.  NEITHER  CHMV Software NOR ANYONE
  75.      ELSE WHO HAS BEEN INVOLVED IN THE CREATION, PRODUCTION,
  76.      OR  DELIVERY  OF  THIS SOFTWARE SHALL BE LIABLE FOR ANY
  77.      INDIRECT,  CONSEQUENTIAL, OR INCIDENTAL DAMAGES ARISING
  78.      OUT  OF THE USE OR INABILITY TO USE SUCH SOFTWARE, EVEN
  79.      IF CHMV Software HAS BEEN ADVISED OF THE POSSIBILITY OF
  80.      SUCH  DAMAGES  OR CLAIMS. THE PERSON USING THE SOFTWARE
  81.      BEARS ALL RISK AS TO THE QUALITY AND PERFORMANCE OF THE
  82.      SOFTWARE.
  83.  
  84.      SOME JURISDICTIONS DO NOT ALLOW LIMITATION OR EXCLUSION
  85.      OF  INCIDENTAL  OR  CONSEQUENTIAL DAMAGES, SO THE ABOVE
  86.      LIMITATIONS  OR  EXCLUSION  MAY NOT APPLY TO YOU TO THE
  87.      EXTENT  THAT LIABILITY IS BY LAW INCAPABLE OF EXCLUSION
  88.      OR RESTRICTION.
  89.  
  90.      IN  NO  EVENT  SHALL ANY THEORY OF LIABILITY EXCEED THE
  91.      LICENSE FEE PAID TO CHMV Software.
  92.  
  93.      SEVERABILITY.   In  the  event  of  invalidity  of  any
  94.      provision  of this license, the parties agree that such
  95.      invalidity   shall  not  affect  the  validity  of  the
  96.      remaining portions of this license.
  97.  
  98.      NO  LIABILITY  FOR  CONSEQUENTIAL  DAMAGES. IN NO EVENT
  99.      SHALL  CHMV  Software OR ITS SUPPLIERS BE LIABLE TO YOU
  100.      FOR  ANY CONSEQUENTIAL, SPECIAL, INCIDENTAL OR INDIRECT
  101.      DAMAGES  OF  ANY  KIND  ARISING  OUT  OF  THE DELIVERY,
  102.      PERFORMANCE  OR  USE  OF  THE  SOFTWARE,  EVEN  IF CHMV
  103.      Software  HAS  BEEN  ADVISED OF THE POSSIBILITY OF SUCH
  104.      DAMAGES.  IN  NO  EVENT WILL CHMVSoftware LIABILITY FOR
  105.      ANY  CLAIM,  WHETHER  IN  CONTRACT,  TORT  OR ANY OTHER
  106.      THEORY  OF  LIABILITY,  EXCEED  THE LICENSE FEE PAID BY
  107.      YOU, IF ANY.
  108.  
  109.      GOVERNING  LAW. This agreement shall be governed by the
  110.      laws  of  the  Ukraine excluding the application of its
  111.      conflicts  of  law rules and shall inure to the benefit
  112.      of  CHMV  Software  and any successors, administrators,
  113.      heirs  and assigns. Any action or proceeding brought by
  114.      either  party  against  the  other  arising  out  of or
  115.      related  to  this  agreement shall be brought only in a
  116.      STATE   or  FEDERAL  COURT  of  competent  jurisdiction
  117.      located  in Ukraine County, Lugansk. The parties hereby
  118.      consent to in personam jurisdiction of said courts. The
  119.      United   Nations   Convention   on  Contracts  for  the
  120.      International Sale of Goods is specifically disclaimed.
  121.  
  122.      ENTIRE  AGREEMENT. This is the entire agreement between
  123.      you  and  CHMV  Software  which  supersedes  any  prior
  124.      agreement  or  understanding,  whether written or oral,
  125.      relating to the subject matter of this license.
  126.  
  127.      RESERVED  RIGHTS. All rights not expressly granted here
  128.      are reserved to CHMV Software.
  129.
