  3.      IMPORTANT - READ BEFORE USING THIS PROGRAM OR THE ACCOMPANYING 
  4.      DOCUMENTATION
  5.      End-User License Agreement and Limitation of Warranty
  6.      
  7.      YOU SHOULD CAREFULLY READ THE FOLLOWING AGREEMENT BEFORE USING THIS 
  8.      PROGRAM OR THE ACCOMPANYING DOCUMENTATION. USING THIS PROGRAM OR THE 
  9.      ACCOMPANYING DOCUMENTATION INDICATES YOUR ACCEPTANCE OF THIS 
  10.      AGREEMENT. IF YOU DO NOT AGREE WITH THIS AGREEMENT, YOU SHOULD NOT USE 
  11.      THIS PROGRAM OR THE ACCOMPANYING DOCUMENTATION.
  12.      
  13.      GENERAL
  14.      
  15.      Sony Electronics Inc. furnishes the program and accompanying 
  16.      documentation and, with its licensors, licenses their use to you, all 
  17.      as provided in this Agreement. 
  18.      
  19.      LICENSE
  20.      
  21.      Under this Agreement, Sony and it licensors grant you a limited 
  22.      license to use the program and accompanying documentation for the 
  23.      purposes outlined in that documentation and not for resale.  
  24.      
  25.      YOU AGREE NOT TO MODIFY OR DISASSEMBLE THE PROGRAM OR THE ACCOMPANYING 
  26.      DOCUMENTATION, IN WHOLE OR IN PART, EXCEPT AS EXPRESSLY PROVIDED FOR 
  27.      IN THIS AGREEMENT OR UPON SONY'S PRIOR WRITTEN APPROVAL.  IN ADDITION, 
  28.      YOU AGREE NOT TO TRANSFER, LICENSE OR DISCLOSE THE PROGRAM, THE 
  29.      ACCOMPANYING DOCUMENTATION OR ANY PROGRAM YOU DEVELOP FROM THEM, IN 
  30.      WHOLE OR IN PART, TO ANY THIRD PARTY EXCEPT UPON SONY'S PRIOR WRITTEN 
  31.      APPROVAL.  FINALLY, YOU AGREE NOT TO USE THE PROGRAM AND THE 
  32.      ACCOMPANYING DOCUMENTATION, IN WHOLE OR IN PART FOR ANY PURPOSE OTHER 
  33.      THAN AS OUTLINED IN THAT DOCUMENTATION.
  34.      
  35.      This license is effective until terminated.  You may terminate it at 
  36.      any time by giving Sony written notice to that effect.  Sony may 
  37.      terminate it if you fail to comply with this Agreement by giving you 
  38.      like notice.  Upon termination, you will destroy the program and 
  39.      accompanying documentation and all copies you have made of them.  In 
  40.      addition, upon termination you will have no recourse against Sony or 
  41.      its licensors for your inability to use the program or the 
  42.      accompanying documentation.

  47.      EXCLUSIONS OF WARRANTIES
  48.      
  49.      THE PROGRAM AND ACCOMPANYING DOCUMENTATION ARE FURNISHED TO YOU "AS 
  50.      IS" WITHOUT WARRANTY OF ANY KIND.  SONY AND ITS LICENSORS DO NOT 
  51.      WARRANT THAT THE PROGRAM OR THE ACCOMPANYING DOCUMENTATION WILL MEET 
  52.      YOUR REQUIREMENTS OR THAT THE OPERATION OF THE PROGRAM WILL BE 
  53.      UNINTERRUPTED OR ERROR FREE.  SONY AND ITS LICENSORS DISCLAIM AND 
  54.      EXCLUDE ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, WITH RESPECT TO THE 
  55.      PROGRAM AND ACCOMPANYING DOCUMENTATION, INCLUDING, BUT NOT LIMITED TO, 
  56.      ANY OR ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A 
  57.      PARTICULAR PURPOSE AND/OR ANY WARRANTY WITH REGARD TO ANY CLAIM OF 
  58.      INFRINGEMENT THAT MAY BE PROVIDED IN SECTION 2-312(3) OF THE UNIFORM 
  59.      COMMERCIAL CODE AND/OR ANY OTHER COMPARABLE STATE STATUTE.

  61.      LIMITATION OF LIABILITY
  62.      
  63.      THE PROGRAM AND ACCOMPANYING DOCUMENTATION ARE FURNISHED TO YOU FOR 
  64.      USE AT YOUR OWN RISK.  SONY AND ITS LICENSORS WILL NOT BE LIABLE AND 
  65.      YOU WILL HAVE NO REMEDY FOR DAMAGES FOR ANY CLAIM OF ANY KIND 
  66.      WHATSOEVER CONCERNING YOUR USE OF THE PROGRAM OR THE ACCOMPANYING 
  67.      DOCUMENTATION, REGARDLESS OF LEGAL THEORY, AND WHETHER ARISING IN TORT 
  68.      OR CONTRACT.  IN NO EVENT WILL SONY OR ITS LICENSORS BE LIABLE TO YOU 
  69.      FOR ANY SPECIAL, INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY 
  70.      KIND, INCLUDING, BUT NOT LIMITED TO, COMPENSATION, REIMBURSEMENT OR 
  71.      DAMAGES ON ACCOUNT OF THE LOSS OF PRESENT OR PROSPECTIVE PROFITS, LOSS 
  72.      OF DATA, OR FOR ANY OTHER REASON WHATSOEVER.

  74.      MISCELLANEOUS
  75.      
  76.      Some jurisdictions may not allow exclusions or limitations of 
  77.      incidental or consequential damages, or allow limitations on how long 
  78.      an implied warranty lasts, so the above limitations or exclusions may 
  79.      not apply to you.
  80.      
  81.      You acknowledge that as between you, Sony and its licensors, Sony and 
  82.      its licensors own all right, title and interest, including but not 
  83.      limited to, all copyrights, trade secret and other intellectual 
  84.      property in and to the programs and accompanying documentation.  You 
  85.      further acknowledge that Sony's licensors are direct and intended 
  86.      third party beneficiaries of this Agreement and may enforce it 
  87.      directly against you.  If you are a governmental entity, your use, 
  88.      duplication or disclosure of the program and accompanying 
  89.      documentation are subject to the restrictions set forth in 
  90.      subparagraphs (c)(1) and (c)(2) of the Commercial Computer Software 
  91.      clause at FAR 52.227-19, and subparagraph (c)(i)(ii) of the Rights in 
  92.      Technical Data and Computer Software clause at DOD FAR 252.227-7013 
  93.      and any comparable federal, state or local law or regulation and, for 
  94.      this purpose, the manufacturer is Sony Electronics Inc. located at the 
  95.      address referred to below.  You may not export the program and 
  96.      accompanying documentation in violation of the United States Export 
  97.      Control Act.  This Agreement will be governed by the laws of the 
  98.      United States and of the State of New Jersey.  If any part of this 
  99.      Agreement is held invalid or unenforceable, the other parts will 
  100.      remain valid.

  111.      YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT AND 
  112.      AGREE TO BE BOUND BY IT.  YOU FURTHER AGREE THAT IT IS THE  COMPLETE 
  113.      AND EXCLUSIVE STATEMENT OF AGREEMENT BETWEEN YOU AND SONY CONCERNING 
  114.      THE PROGRAM AND ACCOMPANYING DOCUMENTATION AND THAT IT SUPERSEDES ANY 
  115.      DEMONSTRATION, ADVERTISEMENT, PROPOSAL OR PRIOR AGREEMENT, ORAL OR 
  116.      WRITTEN, AND ANY OTHER COMMUNICATIONS BETWEEN YOU AND SONY OR BETWEEN 
  117.      YOU AND ANY OTHER PARTY RELATING TO THE PROGRAM AND ACCOMPANYING 
  118.      DOCUMENTATION.
