  1. ENHANCED COMPRESSED WAVELET (ECW) VIEWING/DECOMPRESSION AND
  2. COMPRESSION SOFTWARE DEVELOPMENT KIT AND ECW RUNTIME
  3.  
  4. END-USER LICENSE AGREEMENT FOR EARTH RESOURCE MAPPING SOFTWARE
  5.  
  6. IMPORTANT-READ CAREFULLY: This Earth Resource Mapping, Inc ("ERM") End-User 
  7. License Agreement ("EULA") is a legal agreement between you (either an 
  8. individual or a single entity) and ERM for the ERM software product identified 
  9. above, which includes computer software and may include associated media, 
  10. printed materials, and "online" or electronic documentation ("SOFTWARE 
  11. PRODUCT"). The SOFTWARE PRODUCT also includes any updates and supplements to the 
  12. original SOFTWARE PRODUCT provided to you by ERM.  Any software provided along 
  13. with the SOFTWARE PRODUCT that is associated with a separate end-user license 
  14. agreement is licensed to you under the terms of that license agreement. By 
  15. installing, copying, downloading, accessing or otherwise using the SOFTWARE 
  16. PRODUCT, you agree to be bound by the terms of this EULA. If you do not agree to 
  17. the terms of this EULA, do not install or use the SOFTWARE PRODUCT; you may, 
  18. however, return it to your place of purchase for a full refund. 
  19.  
  20. SOFTWARE PRODUCT LICENSE
  21.  
  22. The SOFTWARE PRODUCT is protected by copyright laws and international copyright 
  23. treaties, as well as other intellectual property laws and treaties. The SOFTWARE 
  24. PRODUCT is licensed, not sold.
  25.  
  26. 1.    GRANT OF LICENSE. This EULA grants you the following limited, non-
  27. exclusive rights:
  28.  
  29. (a)    Software Product. You may install and use the enclosed SOFTWARE PRODUCT 
  30. to design, develop, and test software application products for use with 
  31. the Enhanced Compression Wavelet image technology.
  32.  
  33. (b)    ECW Viewing/Decompression and Compression Runtime ("ECW Runtime"). You 
  34. may install and use an unlimited number of copies of the ECW Runtime which 
  35. consists of files contained in the "runtime" directory. You may reproduce and
  36. distribute an unlimited number of copies of the ECW Runtime; provided that each
  37. copy shall be a true and complete copy, including all copyright and trademark
  38. notices, and that you comply with the Distribution Requirements described below. 
  39.  
  40. (c)    Sample Code. You may modify the sample source code located in the 
  41. SOFTWARE PRODUCT's "examples" directory ("Sample Code") to design, develop, and
  42. test your Application. You may also reproduce and distribute the Sample Code in
  43. object code form along with any modifications you make to the Sample Code,
  44. provided that you comply with the Distribution Requirements described below.
  45. For purposes of this section, "modifications" shall mean enhancements to the
  46. functionality of the Sample Code.
  47.  
  48. (d)    Distribution Requirements. You may copy and redistribute an unlimited 
  49. number of copies of the ECW Runtime, and/or Sample Code in object code 
  50. form (collectively "REDISTRIBUTABLE COMPONENTS") as described above, 
  51. provided that (a) you distribute the REDISTRIBUTABLE COMPONENTS only in 
  52. conjunction with, and as a part of, your Application; (b) your 
  53. Application adds significant and primary functionality to the 
  54. REDISTRIBUTABLE COMPONENTS; (c) any distribution of the ECW Runtime 
  55. includes each and every runtime file distributed as a single set; (d) you 
  56. do not permit further redistribution of the REDISTRIBUTABLE COMPONENTS by 
  57. your end-user customers (e) you do not use ERM's name, logo, or 
  58. trademarks to market your Application without prior approval by ERM in 
  59. writing; (f) you include a valid copyright notice on your Application; 
  60. and (g) you indemnify, hold harmless, and defend ERM from and against any 
  61. claims or lawsuits, including attorneys' fees, that arise or result from 
  62. the use or distribution of your Application.
  63.  
  64. 2.    COPYRIGHT. All title and intellectual property rights in and to the 
  65. SOFTWARE PRODUCT (including but not limited to any images, photographs, 
  66. animations, video, audio, music, text, and "applets" incorporated into the 
  67. SOFTWARE PRODUCT), the accompanying printed materials, and any copies of the 
  68. SOFTWARE PRODUCT are owned by ERM or its suppliers. All title and intellectual 
  69. property rights in and to the content which may be accessed through use of the 
  70. SOFTWARE PRODUCT is the property of the respective content owner and may be 
  71. protected by applicable copyright or other intellectual property laws and 
  72. treaties.  This EULA grants you no rights to use such content. All rights not 
  73. expressly granted are reserved by ERM.
  74.  
  75. 3.    PRERELEASE CODE. The SOFTWARE PRODUCT may contain PRERELEASE CODE that is 
  76. not at the level of performance and compatibility of the final, generally 
  77. available, product offering. These portions of the SOFTWARE PRODUCT may not 
  78. operate correctly and may be substantially modified prior to first commercial 
  79. shipment. ERM is not obligated to make this or any later version of the 
  80. SOFTWARE PRODUCT commercially available 
  81.  
  82. 4. DESCRIPTION OF OTHER RIGHTS AND LIMITATIONS. 
  83.  
  84. (a)    Limitations on Reverse-Engineering, Decompilation, and Disassembly. You 
  85. may not reverse- engineer, decompile, or disassemble the SOFTWARE 
  86. PRODUCT, except and only to the extent that such activity is expressly 
  87. permitted by applicable law notwithstanding this limitation.
  88.  
  89. (b)    Rental. You may not rent, lease or lend the SOFTWARE PRODUCT. 
  90.  
  91. (c)    Support Services.  ERM may provide you with support services related to 
  92. the SOFTWARE PRODUCT ("Support Services"). Use of Support Services is 
  93. governed by the ERM policies and programs described in the user manual, 
  94. in "online" documentation, and/or in other ERM-provided materials. Any 
  95. supplemental software code provided to you as part of the Support 
  96. Services shall be considered part of the SOFTWARE PRODUCT and subject to 
  97. the terms and conditions of this EULA. With respect to technical 
  98. information you provide to ERM as part of the Support Services, ERM may 
  99. use such information for its business purposes, including for product 
  100. support and development. ERM will not utilize such technical information 
  101. in a form that personally identifies you without your prior written 
  102. approval to do so.
  103.  
  104. (d)    Software Transfer. You may permanently transfer all of your rights under 
  105. this EULA, provided you retain no copies, you transfer all of the 
  106. SOFTWARE PRODUCT (including all component parts, the media and printed 
  107. materials, any upgrades, this EULA, and, if applicable, the Certificate 
  108. of Authenticity), and the recipient agrees to the terms of this EULA. If 
  109. the SOFTWARE PRODUCT is an upgrade, any transfer must include all prior 
  110. versions of the SOFTWARE PRODUCT.

  112. (e)    Termination. Without prejudice to any other rights, ERM may terminate 
  113. this EULA if you fail to comply with the terms and conditions of this 
  114. EULA. In such event, you must destroy all copies of the SOFTWARE PRODUCT 
  115. and all of its component parts. 
  116.  
  117. 5.    EXPORT RESTRICTIONS. You agree that you will not export or re-export the 
  118. SOFTWARE PRODUCT to any country, person, entity or end user subject to U.S. 
  119. export restrictions.  You specifically agree not to export or re-export the 
  120. SOFTWARE PRODUCT: (i) to any country to which the U.S. has embargoed or 
  121. restricted the export of goods or services, which currently include, but are 
  122. not necessarily limited to Cuba, Iran, Iraq, Libya, North Korea, Sudan and 
  123. Syria, or to any national of any such country, wherever located, who intends 
  124. to transmit or transport the products back to such country; (ii) to any end-
  125. user who you know or has reason to know will utilize the SOFTWARE PRODUCT or 
  126. portion thereof in the design, development or production of nuclear, chemical 
  127. or biological weapons; or (iii) to any end-user who has been prohibited from 
  128. participating in U.S. export transactions by any federal agency of the U.S. 
  129. government.

  131. 6.    U.S. GOVERNMENT RESTRICTED RIGHTS. The SOFTWARE PRODUCT and documentation 
  132. are provided with RESTRICTED RIGHTS. Use, duplication, or disclosure by the 
  133. Government is subject to restrictions as set forth in subparagraph (c)(1)(ii) 
  134. of The Rights in Technical Data and Computer Software clause at DFARS 252.227-
  135. 7013 or subparagraphs (c)(1) and (2) of the Commercial Computer Software - 
  136. Restricted Rights at 48 CFR 52.227-19, as applicable. Manufacturer is Earth

  139. 7.  MISCELLANEOUS
  140.  
  141. (a)    If you acquired this product in the United States, this EULA is governed 
  142. by the laws of the State of California. 
  143.  
  144. (b)    If this product was acquired outside the United States, this EULA is 
  145. governed by the laws of the State of Western Australia.
  146.  
  147. (c)    Should you have any questions concerning this EULA, or if you desire to 
  148. contact ERM for any reason, please contact the ERM subsidiary serving 
  149. your country, or write: ECW Developer Support/Earth Resource Mapping,

  152. (e)    No Warranties. ERM EXPRESSLY DISCLAIMS ANY WARRANTY FOR THE SOFTWARE 
  153. PRODUCT. THE SOFTWARE PRODUCT AND ANY RELATED DOCUMENTATION IS PROVIDED 
  154. "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, 
  155. INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, 
  156. FITNESS FOR A PARTICULAR PURPOSE, OR NONINFRINGEMENT. THE ENTIRE RISK 
  157. ARISING OUT OF USE OR PERFORMANCE OF THE SOFTWARE PRODUCT REMAINS WITH 
  158. YOU. 
  159.  
  160. (f)    Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE 
  161. LAW, IN NO EVENT SHALL ERM OR ITS SUPPLIERS BE LIABLE FOR ANY SPECIAL, 
  162. INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, 
  163. WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS 
  164. INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR ANY OTHER PECUNIARY LOSS) 
  165. ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE PRODUCT OR THE 
  166. PROVISION OF OR FAILURE TO PROVIDE SUPPORT SERVICES, EVEN IF ERM HAS BEEN 
  167. ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN ANY CASE, ERM'S ENTIRE 
  168. LIABILITY UNDER ANY PROVISION OF THIS EULA SHALL BE LIMITED TO THE 
  169. GREATER OF THE AMOUNT ACTUALLY PAID BY YOU FOR THE SOFTWARE PRODUCT OR 
  170. US$5.00; PROVIDED HOWEVER, IF YOU HAVE ENTERED INTO A ERM SUPPORT 
  171. SERVICES AGREEMENT, ERM'S ENTIRE LIABILITY REGARDING SUPPORT SERVICES 
  172. SHALL BE GOVERNED BY THE TERMS OF THAT AGREEMENT. BECAUSE SOME STATES AND 
  173. JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY, THE 
  174. ABOVE LIMITATION MAY NOT APPLY TO YOU.
