This installation package was created to save you the work of cleaning the original Kazaa software from all third party software yourself. By installing the software included in this package you agree to take ALL responsibilities that you would have if you personally modified the original Kazaa Media Desktop software instead of using this installer.

  19. All terms referencing to 'Kazaa Media Desktop' or 'Kazaa' in this document also apply to 'Kazaa Lite K++'.

  21. Please note that installing this software is ILLEGAL and is in violation of the Kazaa Media Desktop Terms of Use. If you do, however, install the software contained in this package, you agree to take ALL responsibility for your actions.

  33. Welcome! It is important that you carefully read these terms before 
  34. installing the Kazaa Media Desktop software.
  35.  
  36. These terms when accepted by you form a licence ("Licence") 
  37. agreement between Sharman Networks Limited ("Sharman") and you 
  38. ("You," "Your" Or "User") for the use of the Kazaa Media Desktop, 
  39. including any and all versions or variations of the Kazaa Media Desktop 
  40. software (collectively, "Kazaa Media Desktop").
  41.  
  42. In order to use Kazaa Media Desktop, you must first read and accept 
  43. the terms of this Licence. If you are a minor you will become eligible to use 
  44. Kazaa Media Desktop upon your parent or guardian reading and 
  45. accepting the terms of this Licence.

  47. 1. What you can do under this Licence
  48.  
  49. 1.1 Subject to all the terms of this Licence, Sharman grants you a 
  50. limited, non-exclusive, personal, non-sublicensable, non-assignable 
  51. licence to install and use the Kazaa Media Desktop and any future fixes, 
  52. updates and upgrades provided to you (collectively, the "Software") on 
  53. a computer.

  55. 1.2 Unless explicitly stated otherwise, any new features that augments 
  56. or enhances the current Software, including the release of new 
  57. properties, shall be subject to terms of this Licence.
  58.  
  59.  
  60. 2 What you can't do under this Licence
  61.  
  62. You agree not to use the Software to:
  63.  
  64. 2.1 Transmit or communicate any data that is unlawful, harmful, 
  65. threatening, abusive, harassing, defamatory, vulgar, obscene, invasive 
  66. of another's privacy, hateful, or racially, ethnically or otherwise 
  67. objectionable;
  68.  
  69. 2.2 Harm minors in any way;
  70.  
  71. 2.3 Impersonate any person or entity or falsely state or otherwise 
  72. misrepresent your affiliation with a person or entity;
  73.  
  74. 2.4 Forge headers or otherwise manipulate identifiers in order to 
  75. disguise the origin of any data transmitted to other users;
  76.  
  77. 2.5 Transmit, access or communicate any data that you do not have a 
  78. right to transmit under any law or under contractual or fiduciary 
  79. relationships (such as inside information, proprietary and confidential 
  80. information learned or disclosed as part of employment relationships or 
  81. under non-disclosure agreements);

  83. 2.6 Transmit, access or communicate any data that infringes any 
  84. patent, trademark, trade secret, copyright or other proprietary rights of 
  85. any party;
  86.  
  87. 2.7 Transmit or communicate any data that contains software viruses or 
  88. any other computer code, files or programs designed to interrupt, 
  89. destroy or limit the functionality of any computer software or hardware 
  90. or telecommunications equipment;
  91.  
  92. 2.8 Disrupt the normal flow of dialogue, cause a screen to "scroll" faster 
  93. than other users are able to type, or otherwise act in a manner that 
  94. negatively affects other users' ability to engage in real time exchanges;
  95.  
  96. 2.9 Interfere with or disrupt the Software;
  97.  
  98. 2.10 Intentionally or unintentionally violate any applicable local, state, 
  99. national or international law, including securities exchange and any 
  100. regulations requirements, procedures or policies in force from time to 
  101. time relating to the Software;
  102.  
  103. 2.11 Monitor traffic or make search requests in order to accumulate 
  104. information about individual users;
  105.  
  106. 2.12 "Stalk" or otherwise harass another;
  107.  
  108. 2.13 Modify, delete or damage any information contained on the 
  109. personal computer of any Kazaa Media Desktop user; or
  110.  
  111. 2.14 Collect or store personal data about other users.

  113.  
  114. 3 More Do's and Don'ts
  115.  
  116.  
  117. 3.1 This Licence allows you to install and use the Kazaa Media Desktop 
  118. on a single computer. This Licence does not permit you to install the 
  119. Software on more than one computer at a time. You may make copies 
  120. of the Software in machine-readable form for backup purposes only. 
  121. The backup copy must include all copyright information contained on 
  122. the original.

  124. 3.2 Except as expressly permitted in this Licence, you agree not to 
  125. reverse engineer, de-compile, disassemble, alter, duplicate, modify, 
  126. rent, lease, loan, sublicense, make copies, create derivative works 
  127. from, distribute or provide others with the Software in whole or part, 
  128. transmit or communicate the application over a network.

  130. 3.3 You may not sell, transfer or communicate the Software to any third 
  131. party without our prior express written consent.

  134. 4 Things you need to know when using the Kazaa Media Desktop
  135.  
  136. 4.1 You are responsible for paying all applicable taxes and other costs 
  137. you may incur in connection with your use of the Software including but 
  138. not limited to all hardware and software costs and providing all 
  139. equipment and software necessary to connect to our web site and to 
  140. use the Software via the Internet and any royalties or other charges 
  141. relating to the use of data owned by third parties.

  143. 4.2 Sharman may from time to time present programming fixes, 
  144. updates and upgrades to you, including version updates to the Kazaa 
  145. Media Desktop. You may accept or reject such programming fixes, 
  146. updates and upgrades to you, including version updates at your sole 
  147. discretion.

  149.  
  150. 5 Things you need to do when using the Kazaa Media Desktop
  151.  
  152. 5.1 It is your responsibility to ensure that you obtain all consents, 
  153. authorisations and clearances in any data owned or controlled by third 
  154. parties that you transmit, access or communicate to others using the 
  155. Kazaa Media Desktop. 
  156.  
  157. 5.2 Sharman will not be liable in any way:
  158.  
  159. 5.2.1 for any errors or omissions in any data, or for any loss or damage 
  160. of any kind incurred as a result of any data transmitted via the 
  161. Software; or
  162.  
  163. 5.2.2 if you are exposed to data that is offensive, indecent or 
  164. objectionable.
  165.  
  166. 5.2.3 for any allegations or findings of infringement of copyright or 
  167. other proprietary rights as a result of your use of the Software.
  168.  
  169.  
  170. 6  Copyright Infringement
  171.  
  172. 6.1 Sharman respects copyright and other laws. Sharman requires all 
  173. Kazaa Media Desktop users to comply with copyright and other laws.  
  174. Sharman does not by the supply of the Software authorise you to 
  175. infringe the copyright or other rights of third parties.
  176.  
  177. 6.2 As a condition to use the Software, you agree that you must not use 
  178. the Software to infringe the intellectual property or other rights of 
  179. others, in any way. The unauthorised reproduction, distribution, 
  180. modification, public display, communication to the public or public 
  181. performance of copyrighted works is an infringement of copyright.

  183. 6.3 Users are entirely responsible for their conduct and for ensuring 
  184. that it complies with all applicable copyright and data-protection laws. 
  185. In the event a user fails to comply with laws regarding copyrights or 
  186. other intellectual property rights and data-protection and privacy, such 
  187. a user may be exposed to civil and criminal liability, including possible 
  188. fines and jail time.

  191. 7 Sharman's Right to Run Advertising without payment to Users
  192.  
  193. 7.1 Sharman reserves the right to run advertisements and promotions 
  194. on the Kazaa Media Desktop 7.2 By accepting the terms of this Licence, 
  195. you agree that we have the right to run such advertisements and 
  196. promotions without compensation to you.
  197.  
  198. 7.3 The timing, frequency, placement and extent of advertising by us 
  199. within the pages comprising the Kazaa Media Desktop is subject to 
  200. change and shall be determined by us at our sole discretion.
  201.  
  202. 7.4 Your correspondence or business dealings with, or participation in 
  203. promotions of, advertisers found on or through the Kazaa web site or 
  204. Kazaa Media Desktop, including payment and delivery of related goods 
  205. or services, and any other terms, conditions, warranties or 
  206. representations associated with such dealings, are solely between you 
  207. and such advertiser.

  209. 7.5 You agree that Sharman is not be responsible or liable for any loss 
  210. or damage of any sort incurred as the result of any such dealings or as 
  211. the result of the presence of such advertisers on the Kazaa Media 
  212. Desktop and/or the Kazaa web site.

  215. 8 Links to Third-Party Sites
  216.  
  217. 8.1 The Kazaa Media Desktop may provide, or third parties may 
  218. provide, links to World Wide Web sites or other Internet resources. Any 
  219. third-party sites to which the Kazaa Media Desktop may link are not 
  220. under control of Sharman. Sharman does not have any responsibility or 
  221. liability for any information, data, communications or materials 
  222. available on such third-party sites.

  225. 9 Third Party Software
  226.  
  227. 9.1 During the process of installing the Software, you may be offered 
  228. the possibility to download or install software from third party software 
  229. vendors pursuant to licences or other arrangements between such 
  230. vendors and yourself ("Third Party Software"). In the event you do not 
  231. wish to download this THIRD PARTY SOFTWARE you should uncheck the 
  232. appropriate boxes. Please note that the THIRD PARTY SOFTWARE is 
  233. subject to different licences or other arrangements, which you should 
  234. read carefully. By downloading and using this THIRD PARTY SOFTWARE 
  235. you accept these THIRD PARTY SOFTWARE licences or other 
  236. arrangements and acknowledge that you have read them and 
  237. understand them. Sharman does not sell, resell, or license any of this 
  238. THIRD PARTY SOFTWARE, and Sharman disclaims to the maximum 
  239. extent permitted by applicable law, any responsibility for or liability 
  240. related to the THIRD PARTY SOFTWARE. Any questions, complaints or 
  241. claims related to the THIRD PARTY SOFTWARE should be directed to the 
  242. appropriate vendor.

  244. 9.2 Sharman makes no representations or warranties of any kind 
  245. concerning the quality, safety or suitability of this software, either 
  246. express or implied, including without limitation any implied warranties 
  247. of merchantability, fitness for a particular purpose, or non-infringement 
  248. to the maximum extent permitted by applicable law, in no event will 
  249. Sharman be liable for any indirect, punitive, special, incidental or 
  250. consequential damages however they may arise and even if Sharman 
  251. has been previously advised of the possibility of such damages.

  253. 9.3 There are inherent dangers in the use of any software available for 
  254. downloading on the Internet, and Sharman cautions you to make sure 
  255. that you completely understand the potential risks before downloading 
  256. any of the THIRD PARTY SOFTWARE. You are solely responsible for 
  257. adequate protection and backup of the data and equipment used in 
  258. connection with any of the THIRD PARTY SOFTWARE, and Sharman will 
  259. not be liable for any damages that you may suffer in connection with 
  260. using, modifying or distributing any of the THIRD PARTY SOFTWARE.

  263. 10 Applicable Law

  265. 10.1 This Licence as well as all disputes arising out of or in connection 
  266. with this Licence shall be governed by the laws of the New South Wales, 
  267. Australia, without regard to or application of choice of law rules or 
  268. principles.

  270. 10.2 Any dispute arising out of or in connection with this Licence, or in 
  271. future agreements resulting there from, shall be exclusively resolved 
  272. before the competent court in New South Wales, Australia.

  275. 11 Points to consider for International Use

  277. 11.1 Recognising the global nature of the Internet, you agree to comply 
  278. with all local rules regarding on-line conduct and acceptable data. 
  279. Specifically, you agree to comply with all applicable laws regarding 
  280. copyright and the transmission of technical data exported from the 
  281. country in which you reside.

  286. 12.1 YOU AGREE TO INDEMNIFY, HOLD HARMLESS AND DEFEND 
  287. SHARMAN, AND ITS SUBSIDIARIES, AFFILIATES, OFFICERS, AGENTS, 
  288. CO-BRANDERS OR OTHER PARTNERS, AND EMPLOYEES, AT YOUR 
  289. EXPENSE, AGAINST ANY AND ALL THIRD PARTY CLAIMS OR DEMANDS, 
  290. ACTIONS, PROCEEDINGS AND SUITS AND ALL RELATED LIABILITIES, 
  291. DAMAGES, SETTLEMENTS, PENALTIES, FINES COSTS AND EXPENSES 
  292. (INCLUDING, WITHOUT LIMITATION, REASONABLE ATTORNEY'S FEES 
  293. AND OTHER DISPUTE RESOLUTION EXPENSES) INCURRED BY 
  294. SHARMAN, DUE TO OR ARISING OUT OF DATA YOU SUBMIT, POST TO, 
  295. TRANSMIT OR COMMUNICATE THROUGH THE SOFTWARE, YOUR USE 
  296. OR MISUSE OF THE SOFTWARE, YOUR CONNECTION TO OTHER USERS, 
  297. YOUR VIOLATION OF THE LICENSE, OR YOUR VIOLATION OF ANY 
  298. RIGHTS OF ANOTHER.

  301. 13 Disclaimers of Warranties

  303. 13.1 THE SOFTWARE IS PROVIDED "AS IS", AND ON AN "AS 
  304. AVAILABLE" BASIS AND THERE ARE NO CLAIMS, REPRESENTATIONS 
  305. AND WARRANTIES MADE BY SHARMAN, EITHER EXPRESS, IMPLIED OR 
  306. STATUTORY (TO THE EXTENT PERMITTED BY APPLICABLE LAW), WITH 
  307. RESPECT TO THE SOFTWARE, INCLUDING BUT NOT LIMITED TO, 
  308. WARRANTIES OF QUALITY, PERFORMANCE, TITLE, NON-
  309. INFRINGEMENT, MERCHANTABILITY OR FITNESS FOR A PARTICULAR 
  310. PURPOSE, NOR ARE THERE ANY WARRANTIES CREATED BY COURSE OF 
  311. DEALING, COURSE OF PERFORMANCE OR TRADE USAGE.

  313. 13.2 ANY DATA DOWNLOADED THROUGH THE USE OF THE SOFTWARE 
  314. IS DONE AT YOUR OWN DISCRETION AND RISK AND YOU WILL BE 
  315. SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM 
  316. OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OR USE OF

  320. 14 Limitation of Liability

  325. PRODUCT LIABILITY OR STRICT LIABILITY, EVEN IF SHARMAN HAS 
  326. BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, FOR ANY 
  327. DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR 
  328. EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES 
  329. FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE 
  330. LOSSES, RESULTING FROM:

  332. 14.1.1 THE USE OR THE INABILITY TO USE THE SOFTWARE;

  336. RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH OR FROM THE 
  337. USE OF THE SOFTWARE;

  339. 14.1.3 UNAUTHORISED ACCESS TO OR ALTERATION OF YOUR 
  340. TRANSMISSIONS OR DATA;

  342. 14.1.4 STATEMENTS OR CONDUCT OF ANY THIRD PARTY USING THE 
  343. SOFTWARE; OR

  345. 14.1.5 ANY OTHER MATTER RELATING TO THE USE OF THE SOFTWARE.
  346. IN NO EVENT SHALL SHARMAN'S TOTAL LIABILITY TO YOU FOR ALL 
  347. DAMAGES EXCEED THE AMOUNT OF FIFTY AUSTRALIAN DOLLARS 
  348. ($50).

  350. 14.2 WHERE THE TRADE PRACTICES ACT 1974 (CTH) OR SIMILAR 
  351. STATE AND TERRITORY LEGISLATION IMPLIES INTO THIS LICENCE ANY 
  352. CONDITION OR WARRANTY, AND THOSE LAWS AVOID OR PROHIBIT 
  353. CONDITIONS IN A CONTRACT EXCLUDING OR MODIFYING THEM, THEN 
  354. THE TERM, CONDITION OR WARRANTY SHALL BE DEEMED TO BE 
  355. INCLUDED IN THIS LICENCE, PROVIDED THAT TO THE FULL EXTENT 
  356. THAT SHARMAN IS ABLE TO THE LIABILITY OF SHARMAN FOR A 
  357. BREACH OF ANY SUCH CONDITION OR WARRANTY, INCLUDING AND 
  358. ECONOMIC OR CONSEQUENTIAL LOSS, SHALL BE LIMITED AT THE 
  359. OPTION OF SHARMAN TO ONE OR MORE OF THE FOLLOWING:

  361. 14.2.1 IF THE BREACH RELATED TO GOODS:
  362. (A) THE REPLACEMENT OF THE GOODS OR THE SUPPLY OF 
  363. EQUIVALENT GOODS;
  364. (B) THE REPAIR OF GOODS;
  365. (C) THE PAYMENT OF THE COST OF REPLACING THE GOODS OR 
  366. OBTAINING EQUIVALENT GOODS;
  367. (D) THE PAYMENT OF HAVING THE GOODS REPAIRED;
  368. OR
  369. 14.2.2 IF THE BREACH RELATES TO SERVICES:
  370. (A) THE SUPPLY OF THE SERVICE AGAIN; OR
  371. (B) THE PAYMENT OF THE COST OF HAVING THE SERVICE SUPPLIED 
  372. AGAIN.

  375. 15 Termination
  376.  
  377. 15.1 It is your responsibility to comply with the terms of this Licence and 
  378. to obey the laws of your jurisdiction. Your rights under this Licence will 
  379. terminate immediately and without prior notice if:
  380.  you violate any term of this License, including violating any applicable 
  381. laws or rights of any third party including the intellectual property rights 
  382. of any such third party.  You may be subject to legal action if you 
  383. continue to use the Kazaa Media Desktop in violation of this Licence.

  386. 16 Trade marks
  387.  
  388. 17.1 The Kazaa name, the Kazaa logo, and other Kazaa related 
  389. properties are trademarks of Sharman. All other trademarks appearing 
  390. on Kazaa Media Desktop are trademarks of their respective owners.

  393. 17 Miscellaneous
  394.  
  395. 17.1 This Licence constitutes the entire understanding of you, the Kazaa 
  396. Media Desktop and the Software with respect to the subject matter 
  397. hereof. There are no understandings, agreements, conditions or 
  398. representations, oral or written, express or implied, with reference to 
  399. the subject matter hereof that are not merged herein, expressly 
  400. referenced herein, or superseded hereby.

  402. 17.2 The failure or delay of Sharman to exercise or enforce any rights 
  403. or provision of the Licence does not constitute a waiver of such right or 
  404. provision.
  405.  
  406. 17.3 All provisions which must survive in order to give effect to their 
  407. meaning, shall survive any expiration or termination of this Licence, 
  408. including without limitation all of your representations, warranties and 
  409. indemnification obligations.

  411. 17.4 Should any part of this Licence be held invalid by any court or 
  412. tribunal, such invalidity shall not affect the validity of any remaining 
  413. part, which will remain in full force and effect as if this License had been 
  414. executed without that part having been held to be invalid.
