  1. GREEN POINT SOFTWARE 
  2. PRODUCTS LICENSE AGREEMENT
  3.            
  4. LICENSE AGREEMENT
  5.  
  6. IF YOU INSTALL OR USE THE SOFTWARE PRODUCTS FROM GREEN POINT SOFTWARE
  7. UK LTD YOU ARE BOUND TO THIS AGREEMENT.  IF YOU DO NOT AGREE TO ALL
  8. OF THE TERMS, SELECT THE BUTTON "CANCEL" BUTTON TO EXIT THIS
  9. INSTALLATION, AND YOU MAY NOT INSTALL OR USE THE SOFTWARE.  
  10.  
  11. LIMITED WARRANTY. THE ONLY WARRANTY TO THE PRODUCT(S). LICENSOR AND
  12. ITS SUPPLIERS DO NOT MAKE, AND HEREBY EXCLUDE, ALL OTHER REPRESENTATIONS
  13. OR WARRANTIES OF ANY KIND WHETHER EXPRESS OR IMPLIED (EITHER IN FACT OR
  14. BY OPERATION OF LAW). LICENSOR EXPRESSLY DISCLAIM ALL WARRANTIES OF TITLE, 
  15. MERCHANTABILITY, FITNESS OR NONINFRINGEMENT OF THIRD PARTIES' RIGHTS.
  16. LICENSOR AND DO NOT WARRANT THAT THE PRODUCT(S) WILL MEET LICENSEES 
  17. REQUIREMENTS OR WILL OPERATE IN THE COMBINATIONS WHICH MAY BE SELECTED
  18. BY LICENSEE OR THAT THE OPERATION OF THE PRODUCT(S) WILL BE SECURE, 
  19. ERROR-FREE OR UNINTERRUPTED AND LICENSOR HEREBY DISCLAIMS ANY AND ALL
  20. LIABILITY ON ACCOUNT THEREOF. LICENSOR HAVE NO OBLIGATIONS UNDER THE 
  21. WARRANTY PROVISIONS SET FORTH HEREIN IF LICENSEE SUBJECTS THE MEDIA TO 
  22. ACCIDENT OR ABUSE; ALTERS, MODIFIES OR MISUSES THE PRODUCT(S). IN THE 
  23. EVENT OF A BREACH OF THIS WARRANTY, AND IF LICENSEE PROVIDES LICENSOR 
  24. WITH A WRITTEN REPORT DURING THE WARRANTY PERIOD, LICENSOR WILL USE 
  25. REASONABLE EFFORTS TO CORRECT OR REPLACE PROMPTLY, AT NO CHARGE TO 
  26. LICENSEES. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN 
  27. IMPLIED WARRANTIES; HOWEVER, THE EXCLUSIONS OF LICENSOR'S WARRANTY IN 
  28. THIS LIMITED WARRANTY SECTION SHALL APPLY TO THE FULLEST EXTENT PERMITTED
  29. BY APPLICABLE LAW.

  31. This Agreement shall remain in effect until terminated in accordance with
  32. this Section or as otherwise provided in this Agreement. Licensee may 
  33. terminate this Agreement at any time by written notice to Licensor.  
  34. Upon termination, Licensee shall discontinue use and destroy all disks 
  35. and softwares that are under this license.
  36.  
  37. If Licensee is purchasing a license for the Product(s). All fees are 
  38. exclusive of taxes, withholdings, duties. Licensee shall be responsible
  39. for paying all such fees.
  40.  
  41. Title, ownership rights, and intellectual property rights in the Product(s)
  42. shall remain in Green Point Software UK Ltd. Licensee acknowledges such 
  43. ownership and intellectual property rights and will not take any action to
  44. jeopardize, limit or interfere in any manner with Green Point Softwares 
  45. ownership of the Product(s). The Product(s) are protected by copyright and
  46. other intellectual property laws and by international treaties.
  47.  
  48. Licensee may not: 1. modify or create any derivative works of any Product or
  49. documentation, including translation or localization. 2. decompile, 
  50. disassemble, reverse engineer, or otherwise attempt to derive the source
  51. code for any Product. 3. redistribute, sell, rent, lease, sublicense the
  52. product(s). 4. copy any Product(s) (except for an archival copy which must
  53. be stored on media other than a computer hard drive) or documentation. 5. 
  54. remove or alter any trademark, logo, copyright or other proprietary notices, 
  55. symbols or labels in the Product(s).

  57. All shareware products that are payed for are non refundable since that gives
  58. you the opportunity to try before you buy. This does not apply to products 
  59. buyed in Computer or Software Stores, then is it the stores refund policy 
  60. that apply.

  62. IN NO EVENT WILL LICENSOR OR ITS RESELLERS BE LIABLE FOR ANY INDIRECT, 
  63. SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES, OR ANY DIRECT DAMAGES WITH 
  64. RESPECT SOLELY TO ANY DATABASE PRODUCT PROVIDED WITH THE PRODUCT, INCLUDING, 
  65. WITHOUT LIMITATION, DAMAGES FOR LOSS OF GOODWILL, WORK STOPPAGE, COMPUTER 
  66. FAILURE OR MALFUNCTION, OR ANY AND ALL OTHER COMMERCIAL DAMAGES OR LOSSES, 
  67. EVEN IF ADVISED OF THE POSSIBILITY THEREOF, AND REGARDLESS OF WHETHER ANY 
  68. CLAIM IS BASED UPON ANY CONTRACT. NO EVENT WILL LICENSOR OR ITS RESELLERS 
  69. BE LIABLE FOR ANY AMOUNTS IN THE AGGREGATE IN EXCESS OF THE LICENSE FEES 
  70. RECEIVED BY LICENSOR FROM LICENSEE HEREUNDER FOR THE PRODUCT GIVING RISE 
  71. TO SUCH DAMAGES.

  73. This Agreement constitutes the entire agreement between the parties concerning
  74.  the subject matter hereof and supersedes all prior and contemporaneous 
  75. agreements and communications, whether oral or written. The controlling 
  76. language of this Agreement is English.  If Licensee has received a translation
  77. into another language, it has been provided for Licensee's convenience only.
