  1. END-USER LICENSE AGREEMENT FOR
  2. COMPLIMENTARY PANICWARE, INC. SOFTWARE

  5. IMPORTANT--READ THESE TERMS CAREFULLY
  6. BEFORE INSTALLING THIS SOFTWARE. BY
  7. INSTALLING OR USING THIS SOFTWARE, YOU
  8. ACKNOWLEDGE THAT YOU HAVE READ THIS
  9. LICENSE AGREEMENT, THAT YOU UNDERSTAND
  10. IT, AND THAT YOU AGREE TO BE BOUND BY
  11. ITS TERMS. IF YOU DO NOT AGREE TO THE
  12. TERMS AND CONDITIONS OF THIS LICENSE
  13. AGREEMENT, PROMPTLY EXIT THIS PAGE
  14. WITHOUT INSTALLING OR USING THE
  15. SOFTWARE.

  17. 1. License Grant
  18.  
  19. Licensor hereby grants to you, and you
  20. accept, a nonexclusive license to use
  21. the accompanying computer programs in
  22. machine-readable, object code form only
  23. (collectively referred to as the
  24. "Software"), and any accompanying User
  25. Documentation, only as authorized in
  26. this License Agreement.  Commercial use
  27. of the Software is not permitted, the
  28. Software may only be used by you for
  29. your personal use in a non-commercial
  30. manner.  The Software may be used only
  31. on a single computer owned, leased, or
  32. otherwise controlled by you; or in the
  33. event of the inoperability of that
  34. computer, on a backup computer selected
  35. by you.  Neither concurrent use on two
  36. or more computers nor use in a local
  37. area network or other network is
  38. permitted.  You agree that you will not
  39. assign, sublicense, transfer, pledge,
  40. lease, rent, or share your rights under
  41. this License Agreement.  You agree that
  42. you may not reverse assemble, reverse
  43. compile, or otherwise translate the
  44. Software.
  45.  
  46. No copies or distribution of the
  47. Software or any portions thereof may be
  48. made by you or any person under your
  49. authority or control except for a single
  50. copy for backup purposes.
  51.  
  52. 2.  Term
  53.  
  54. This License Agreement is effective from
  55. the time the Software is installed or
  56. used until this License Agreement is
  57. terminated. You may terminate this
  58. License Agreement at any time by
  59. destroying or returning to Panicware,
  60. Inc. all copies of the Software in your
  61. possession or under your control.
  62. Panicware, Inc. may terminate this
  63. License Agreement for any reason,
  64. including, but not limited to, if
  65. Panicware, Inc. finds that you have
  66. violated any of the terms of this
  67. License Agreement.  Upon notification of
  68. termination, you agree to destroy or
  69. return to the Panicware, Inc. all copies
  70. of the Software and to certify in
  71. writing that all known copies, including
  72. backup copies, have been destroyed.  All
  73. provisions relating to confidentiality,
  74. proprietary rights, and non-disclosure
  75. shall survive the termination of this
  76. License Agreement.

  78. 3. Ownership and Rights in Intellectual
  79. Property
  80.  
  81. You acknowledge and agree that the
  82. Software is a proprietary product of
  83. Panicware, Inc.  You further acknowledge
  84. and agree that all right, title, and
  85. interest in and to the Software,
  86. including any associated intellectual
  87. property rights protected by United
  88. States Copyright Law, Patent Law,
  89. Trademark Law, and trade secret law, and
  90. by international treaty provisions,
  91. shall remain with Panicware, Inc.  This
  92. License Agreement does not convey to you
  93. an interest in or to the Software, but
  94. only a limited right of use revocable in
  95. accordance with the terms of this
  96. License Agreement.  Any other use of the
  97. Software by any person, business,
  98. corporation, government organization or
  99. any other entity is strictly forbidden
  100. and is a violation of this License
  101. Agreement.  All rights not granted to
  102. you herein are expressly reserved by
  103. Panicware, Inc.  You may not remove any
  104. proprietary notice of Licensor from any
  105. copy of the Software or User
  106. Documentation.

  109. 4. No Warranties
  110.  
  111. PANICWARE, INC. EXPRESSLY DISCLAIMS ANY
  112. WARRANTY FOR THE SOFTWARE.  ANY USE BY
  113. YOU OF THE SOFTWARE IS AT YOUR OWN RISK.
  114. THE SOFTWARE IS PROVIDED "AS IS."  TO
  115. THE MAXIMUM EXTENT PERMITTED BY LAW,
  116. PANICWARE, INC. DISCLAIMS ALL OTHER
  117. WARRANTIES OF ANY KIND, EITHER EXPRESSED
  118. OR IMPLIED, INCLUDING, WITHOUT
  119. LIMITATION, IMPLIED WARRANTIES OF
  120. MERCHANTABILITY AND FITNESS FOR A
  121. PARTICULAR PURPOSE.  PANICWARE, INC.
  122. DOES NOT WARRANT THAT THE FUNCTIONS
  123. CONTAINED IN THE SOFTWARE WILL MEET ANY
  124. REQUIREMENTS OR NEEDS YOU MAY HAVE, OR
  125. THAT THE SOFTWARE WILL OPERATE ERROR
  126. FREE, OR IN AN UNINTERRUPTED FASHION, OR
  127. THAT ANY DEFECTS OR ERRORS IN THE
  128. SOFTWARE WILL BE CORRECTED, OR THAT THE
  129. SOFTWARE IS COMPATIBLE WITH ANY
  130. PARTICULAR PLATFORM.  SOME JURISDICTIONS
  131. DO NOT ALLOW THE WAIVER OR EXCLUSION OF
  132. IMPLIED WARRANTIES SO THEY MAY NOT APPLY
  133. TO YOU.

  135. 5. Limitation of Liability
  136.  
  137. IN NO EVENT WILL PANICWARE, INC. BE
  138. LIABLE TO YOU OR ANY THIRD PARTY FOR ANY
  139. INCIDENTAL OR CONSEQUENTIAL DAMAGES
  140. (INCLUDING, WITHOUT LIMITATION,
  141. INDIRECT, SPECIAL, PUNITIVE, OR
  142. EXEMPLARY DAMAGES FOR LOSS OF BUSINESS,
  143. LOSS OF PROFITS, BUSINESS INTERRUPTION,
  144. OR LOSS OF BUSINESS INFORMATION) ARISING
  145. OUT OF THE USE OF OR INABILITY TO USE
  146. THE SOFTWARE, OR FOR ANY CLAIM BY ANY
  147. OTHER PARTY, EVEN IF THE LICENSOR HAS
  148. BEEN ADVISED OF THE POSSIBILITY OF SUCH
  149. DAMAGES.  BECAUSE SOME STATES/COUNTRIES
  150. DO NOT ALLOW THE EXCLUSION OR LIMITATION
  151. OF LIABILITY FOR CONSEQUENTIAL OR
  152. INCIDENTAL DAMAGES, THE ABOVE LIMITATION
  153. MAY NOT APPLY TO YOU.

  155. 6. Export Restrictions
  156.  
  157. This License Agreement is expressly made
  158. subject to any laws, regulations,
  159. orders, or other restrictions on the
  160. export from the United States of America
  161. of the Software or information about the
  162. Software, which may be imposed from time
  163. to time by the government of the United
  164. States of America.  You shall not export
  165. the Software, or information about the
  166. Software without consent of Panicware,
  167. Inc. and compliance with such laws,
  168. regulations, orders, or other
  169. restrictions.

  171. 7.  General
  172.  
  173. This License Agreement shall be
  174. construed, interpreted and governed by
  175. the laws of the State of Washington
  176. without regard to conflicts of law
  177. provisions in any other jurisdiction.
  178. The exclusive forum for any disputes
  179. arising out of or relating to this
  180. License Agreement shall be an
  181. appropriate federal or state court
  182. sitting in King County, State of
  183. Washington, USA.  If any part of this
  184. License Agreement is found invalid or
  185. unenforceable by a court of competent
  186. jurisdiction, the remainder of this
  187. License Agreement shall continue in
  188. effect.  This License Agreement sets
  189. forth the entire understanding and
  190. agreement between you and Panicware,
  191. Inc. and may be amended only in a
  192. writing signed by both parties.
