  2.   AJEvans Software Components END-USER SOFTWARE LICENSE AGREEMENT
  3.                      Version 1.2, Aug 2001

  5.  
  6. PLEASE READ THIS DOCUMENT CAREFULLY BEFORE USING THE SOFTWARE.  
  7.  
  8. BY USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS OF 
  9. THIS AGREEMENT.  IF YOU DO NOT AGREE TO THE TERMS OF THE 
  10. AGREEMENT, DO NOT OPEN , INSTALL OR USE THE SOFTWARE.  
  11. PROMPTLY RETURN, WITHIN 15 DAYS, THE SOFTWARE, ALL RELATED 
  12. DOCUMENTATION AND ACCOMPANYING ITEMS TO THE PLACE 
  13. OF ACQUISITION.
  14.  
  15. This is a legal agreement between you and AJEvans Software Components. 
  16.  
  17. This Agreement states the terms and conditions upon which AJEvans Software 
  18. Components offers to license the software together with all related 
  19. documentation and accompanying items including, but not limited to, the 
  20. executable programs, drivers, libraries and data files associated with such 
  21. programs (collectively, the "Software").
  22.  
  23. LICENSE
  24.  
  25. 1.  Grant of License.
  26.     The Software is licensed, not sold, to you for use only under 
  27.     the terms of this Agreement.  You own the disk or other media 
  28.     on which the Software is originally or subsequently recorded 
  29.     or fixed; but, as between you and AJEvans Software Components 
  30.     (and, to the extent applicable, its licensors), AJEvans Software 
  31.     Components retains all title to and ownership of the Software and 
  32.     reserves all rights not expressly granted to you.
  33.  
  34. 2.  For Use on a Single Computer.
  35.     The Software may be used only on a single computer by a single
  36.     user at any time.  
  37.     
  38.     You may transfer the machine-readable portion of the Software 
  39.     from one computer to another computer, provided that:-
  40.     (a) the Software (including any portion or copy thereof) is 
  41.         erased from the first computer and 
  42.     (b) there is no possibility that the Software will be used on 
  43.         more than one computer at a time.
  44.  
  45. 3.  Stand-Alone Basis.
  46.     You may use the Software only on a stand-alone basis, such that 
  47.     the Software and the functions it provides are accessible only 
  48.     to persons who are physically present at the location of the 
  49.     computer on which the Software is loaded.  You may not allow 
  50.     the Software or its functions to be accessed remotely, or 
  51.     transmit all or any portion of the Software through any network 
  52.     or communication line.
  53.  
  54. 4.  Copyright. 
  55.     The Software is owned by AJEvans Software Components and/or its 
  56.     licensees, and is protected by United Kingdom copyright laws and 
  57.     international treaty provisions. You may not remove the copyright 
  58.     notice from any copy of the Software or any copy of the written 
  59.     materials, if any, accompanying the Software.
  60.  
  61. 5.  One Archival Copy.
  62.     You may make one (1) archival copy of the machine-readable 
  63.     portion of the Software for backup purposes only in support of 
  64.     your use of the Software on a single computer, provided that 
  65.     you reproduce on the copy all copyright and other proprietary 
  66.     rights notices included on the originals of the Software.
  67.  
  68. 6.  Network Version.
  69.     If you have purchased a "network" version of the Software, this 
  70.     Agreement applies to the installation of the Software on a 
  71.     single "file server".  It may not be copied onto multiple 
  72.     systems.  Each "node" connected to the "file server" must also 
  73.     have its own license of a "node copy" of the Software, which 
  74.     becomes a license only for that specific "node".
  75.  
  76. 7.  Transfer of License.
  77.     You may transfer your license of the Software, provided that 
  78.     (a) you transfer all portions of the Software or copies thereof, 
  79.     (b) you do not retain any portion of the Software or any copy 
  80.         thereof, and 
  81.     (c) the transferee reads and agrees to be bound by the terms and
  82.         conditions of this Agreement.
  83.  
  84. 8.  Limitations on Using, Copying, and Modifying the Software.
  85.     Except to the extent expressly permitted by this Agreement or 
  86.     by the laws of the jurisdiction where you acquired the Software, 
  87.     you may not use, copy or modify the Software.  Nor may you 
  88.     sub-license any of your rights under this Agreement.  You may use 
  89.     the Software for your personal use only, and not for public 
  90.     performance or for the creation of publicly displayed videotapes.
  91.  
  92. 9.  Decompiling, Disassembling, or Reverse Engineering.
  93.     You acknowledge that the Software contains trade secrets and 
  94.     other proprietary information of AJEvans Software Components and 
  95.     its licensors. Except to the extent expressly permitted by this 
  96.     Agreement or by the laws of the jurisdiction where you are located, 
  97.     you may not decompile, disassemble or otherwise reverse engineer the 
  98.     Software, or engage in any other activities to obtain underlying 
  99.     information that is not visible to the user in connection with 
  100.     normal use of the Software.  
  101.  
  102.     In particular, you agree not for any purpose to transmit the 
  103.     Software or display the Software's object code on any computer 
  104.     screen or to make any hardcopy memory dumps of the Software's 
  105.     object code.  If you believe you require information related to 
  106.     the interoperability of the Software with other programs, you 
  107.     shall not decompile or disassemble the Software to obtain such 
  108.     information, and you agree to request such information from 
  109.     AJEvans Software Components. at the address listed below.  Upon receiving 
  110.     such a request, AJEvans Software Components shall determine whether 
  111.     you require such information for a legitimate purpose and, if so, 
  112.     AJEvans Software Components will provide such information to you within 
  113.     a reasonable time and on reasonable conditions.
  114.  
  115.     In any event, you will notify AJEvans Software Components of any 
  116.     information derived from reverse engineering or such other activities, 
  117.     and the results thereof will constitute the confidential information of 
  118.     AJEvans Software Components that may be used only in connection with 
  119.     the Software.
  120.  
  121. TERMINATION
  122.  
  123. The license granted to you is effective until terminated.  You may 
  124. terminate it at any time by returning the Software (including any 
  125. portions or copies thereof) to AJEvans Software Components.  
  126. The license will also terminate automatically without any notice from 
  127. AJEvans Software Components. if you fail to comply with any term or condition 
  128. of this Agreement.  You agree upon such termination to return the 
  129. Software (including any portions or copies thereof) to 
  130. AJEvans Software Components.  Upon termination, AJEvans Software Components. 
  131. may also enforce any rights provided by law.  The provisions of this Agreement 
  132. that protect the proprietary rights of AJEvans Software Components. 
  133. will continue in force after termination.
  134.  
  135. LIMITED WARRANTY
  136.  
  137. AJEvans Software Components. warrants, as the sole warranty, that the 
  138. disks on which the Software is furnished will be free of defects, as set 
  139. forth in the Warranty Card or printed manual included with the Software.  No 
  140. distributor, dealer or any other entity or person is authorized to 
  141. expand or alter this warranty or any other provisions of this 
  142. Agreement.  Any representation, other than the warranties set forth 
  143. in this Agreement, will not bind AJEvans Software Components.
  144.  
  145. AJEvans Software Components. does not warrant that the functions 
  146. contained in the Software will meet your requirements or that the operation 
  147. of the Software will be uninterrupted, error-free or free from malicious 
  148. code. For purposes of this paragraph, "malicious code" means any 
  149. program code designed to contaminate other computer programs or 
  150. computer data, consume computer resources, modify, destroy, record, 
  151. or transmit data, or in some other fashion usurp the normal operation 
  152. of the computer, computer system, or computer network, including 
  153. viruses, Trojan horses, droppers, worms, logic bombs, and the like. 
  154.  
  155. EXCEPT AS STATED ABOVE IN THIS AGREEMENT, THE SOFTWARE IS PROVIDED 
  156. AS-IS WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, 
  157. INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OF 
  158. MERCHANTABILITY, AND FITNESS FOR A PARTICULAR PURPOSE.  AJEVANS COMPONENTS IS 
  159. NOT OBLIGATED TO PROVIDE ANY UPDATES, UPGRADES OR TECHNICAL 
  160. SUPPORT FOR THE SOFTWARE.  
  161.  
  162. Further, AJEvans Software Components. shall not be liable for the 
  163. accuracy of any information provided by AJEvans Software Components. 
  164. or third-party technical support personnel, or any damages caused, 
  165. either directly or indirectly, by acts taken or omissions made by you 
  166. as a result of such technical support. 
  167.  
  168. You assume full responsibility for the selection of the Software to 
  169. achieve your intended results, and for the installation, use and 
  170. results obtained from the Software.  You also assume the entire 
  171. risk as it applies to the quality and performance of the Software.  
  172. Should the Software prove defective, you (and not AJEvans Software 
  173. Components, or its distributors or dealers) assume the entire cost 
  174. of all necessary servicing, repair or correction.
  175.  
  176. This warranty gives you specific legal rights, and you may also 
  177. have other rights which vary from country/state to country/state.  
  178. Some countries/states do not allow the exclusion of implied 
  179. warranties, so the above exclusion may not apply to you.  
  180. AJEvans Software Components disclaims all warranties of any kind 
  181. if the Software was customized, repackaged or altered in any way 
  182. by any third party other than AJEvans Software Components.
  183.  
  184. LIMITATION OF REMEDIES AND DAMAGES
  185. THE ONLY REMEDY FOR BREACH OF WARRANTY WILL BE THAT SET FORTH
  186. IN THE WARRANTY CARD OR PRINTED MANUAL INCLUDED WITH THE SOFTWARE. 
  187. IN NO EVENT WILL AJEVANS COMPONENTS OR ITS LICENSORS BE LIABLE FOR ANY 
  188. INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES OR FOR ANY
  189. LOST PROFITS, LOST SAVINGS, LOST REVENUES OR LOST DATA ARISING
  190. FROM OR RELATING TO THE SOFTWARE OR THIS AGREEMENT, EVEN IF 
  191. AJEVANS COMPONENTS OR ITS LICENSORS HAVE BEEN ADVISED OF THE POSSIBILITY OF
  192. SUCH DAMAGES.  IN NO EVENT WILL AJEVANS COMPONENTS LIABILITY OR DAMAGES TO
  193. YOU OR ANY OTHER PERSON EVER EXCEED THE AMOUNT PAID BY YOU TO USE
  194. THE SOFTWARE, REGARDLESS OF THE FORM OF THE CLAIM. 
  195.  
  196. PRODUCT RETURNS
  197.  
  198. If you must ship the software to AJEvans Software Components. or an 
  199. authorized AJEvans Software Components distributor or dealer, you must 
  200. prepay shipping and either insure the software or assume all risk of 
  201. loss or damage in transit.
  202.  
  203. GENERAL
  204.  
  205. This Agreement is binding on you as well as your employees, 
  206. employers, contractors and agents, and on any successors and 
  207. assignees.  Neither the Software nor any information derived 
  208. therefrom may be exported except in accordance with the laws of 
  209. the United Kingdom. or other applicable provisions. 
  210. This Agreement is the entire agreement between us 
  211. and supersedes any other understandings or agreements, including, 
  212. but not limited to, advertising, with respect to the Software.  
  213. If any provision of this Agreement is deemed invalid or 
  214. unenforceable by any country or government agency having 
  215. jurisdiction, that particular provision will be deemed modified 
  216. to the extent necessary to make the provision valid and 
  217. enforceable, and the remaining provisions will remain in full 
  218. force and effect.  
  219.

  222. on product or technical matters, contact the AJEvans Software 
  223. Components technical support center nearest you.
  224.  
  225. SPECIAL PROVISIONS
  226. ====================================================================
  227. Distribution
  228.  
  229. Please feel free to distribute the Unregistered version of this 
  230. component.
  231.  
  232. However, we ask that you distribute the entire Unregistered version 
  233. with no modification, and without any charge or fee. The Unregistered 
  234. version can clearly be identified by the startup License 
  235. Notification screen.  The License screen is permanently removed 
  236. only when the product is Registered.
  237.  
  238. Limited Warranty:
  239. EXCEPT AS STATED EARLIER IN THIS AGREEMENT, AND AS PROVIDED 
  240. UNDER THE HEADING "STATUTORY RIGHTS", THE SOFTWARE IS PROVIDED 
  241. AS-IS WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, 
  242. INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OR 
  243. CONDITIONS OF MERCHANTABILITY, QUALITY AND FITNESS FOR A 
  244. PARTICULAR PURPOSE.
  245.  
  246. General:
  247. This Agreement is governed by the laws of the United Kingdom. 
  248. The local language version of this agreement shall apply to Software 
  249. acquired in the EU. This Agreement is the entire agreement between 
  250. us and you agree that AJEvans Software Components will not have any 
  251. liability for any untrue statement or representation made by it, its 
  252. agents or anyone else (whether innocently or negligently) upon which you 
  253. relied upon entering this Agreement, unless such untrue statement or 
  254. representation was made fraudulently.
