END-USER LICENSE AGREEMENT FOR MICROSOFT SOFTWARE
IMPORTANT-READ CAREFULLY: This Microsoft End-User License Agreement ("EULA") is a legal agreement between you (either an individual or a single entity) and Microsoft Corporation ("Microsoft") for the Microsoft software product identified above, which includes computer software and may include associated media, printed materials, and "online" or electronic documentation (collectively, "SOFTWARE"). By installing, copying, downloading, accessing or otherwise using the SOFTWARE, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not install or use the SOFTWARE.
SOFTWARE LICENSE
The SOFTWARE is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. The SOFTWARE is licensed, not sold.
1. GRANT OF LICENSE. This EULA grants you the following limited, non-exclusive rights:
* Software. You may install and use the SOFTWARE on a single computer to design, develop, and test your software application products that utilize Microsoft Windows Media technology (your "Application") for any version or edition of Microsoft Windows 98, Microsoft Windows NT 4.0, Microsoft Windows 2000 operating system or any Microsoft operating system that is a successor to any of those operating systems (the "OS Platforms"). You may also make a copy of the SOFTWARE for backup and archival purposes.
* Sample Code. The sample code that is provided with this SOFTWARE is only provided for your use as a reference. You may not modify or distribute the sample code.
* Electronic Documents. Solely with respect to any electronic documents included with the SOFTWARE, you may make one (1) copy (either hardcopy or electronic form), provided that (a) such copy shall only be used for internal purposes and solely in support of your authorized use of the SOFTWARE, and (b) is not published or distributed to any third party.
* Redistributable Code. You may reproduce and distribute, only in object code form, the portions of the SOFTWARE designated as "WMEDist.exe" located in the SOFTWARE "\redist" directory ("REDISTRIBUTABLE COMPONENT") as part of your Application, provided that you may not modify any portion of the REDISTRIBUTABLE COMPONENT and you comply with the Distribution Terms specified below.
* Distribution Terms.
(1) You may distribute the REDISTRIBUTABLE COMPONENT as described above, provided that: (A) you distribute the REDISTRIBUTABLE COMPONENT only in conjunction with, and as a part of, your Application; (B) your Application adds significant and primary functionality to the REDISTRIBUTABLE COMPONENT; (C) the REDISTRIBUTABLE COMPONENT only operates in conjunction with the OS Platforms; (D) you include in the About Box for your Application, a copyright notice which states the following: "Portions utilize Microsoft Windows Media Technologies. Copyright (c) 2000 Microsoft Corporation. All Rights Reserved"; (E) you do not permit further redistribution of the REDISTRIBUTABLE COMPONENT by your end-user customers; (F) if the REDISTRIBUTABLE COMPONENT contains an electronic end-user license agreement ("EULA") or is accompanied by a licensed.txt file from Microsoft, you must include such EULA or license.txt file with any copy of the REDISTRIBUTABLE COMPONENT distributed by you; (G) you do not alter or remove any copyright, trademark or other protective notices contained in the REDISTRIBUTABLE COMPONENT, including the electronic end-user license agreement or license.txt files which are included in the setup installation of the REDISTRIBUTABLE COMPONENT; (H)You will not use Microsoft's name, logo or trademarks to market or promote your Application; (I) you agree to indemnify, hold harmless, and defend Microsoft from and against any claims or lawsuits, including attorneys' fees, that arise or result from the use or distribution of your Application. Contact Microsoft for the applicable licensing terms for all other uses and/or distribution of the Redistributable Components.
(2) Your license rights to the REDISTRIBUTABLE COMPONENT are conditioned upon your (a) not distributing such REDISTRIBUTABLE COMPONENT in conjunction with Potentially Viral Software (as defined below); and (b) not using Potentially Viral Software (e.g. tools) to develop your Application which includes the REDISTRIBUTABLE COMPONENT. For purposes of the foregoing, ôPotentially Viral Softwareö means software which is licensed pursuant to terms that: (x) create, or purport to create, obligations for Microsoft with respect to the REDISTRIBUTABLE COMPONENT or (y) grant, or purport to grant, to any third party any rights or immunities under MicrosoftÆs intellectual property or proprietary rights in the REDISTRIBUTABLE COMPONENT. By way of example but not limitation of the foregoing, you shall not distribute the REDISTRIBUTABLE COMPONENT in conjunction with any Publicly Available Software. ôPublicly Available Softwareö means each of (i) any software that contains, or is derived in any manner (in whole or in part) from, any software that is distributed as free software, open source software (e.g. Linux) or similar licensing or distribution models; and (ii) any software that requires as a condition of use, modification and/or distribution of such software that other software distributed with such software (aa) be disclosed or distributed in source code form; (bb) be licensed for the purpose of making derivative works; or (cc) be redistributable at no charge. Publicly Available Software includes, without limitation, software licensed or distributed under any of the following licenses or distribution models, or licenses or distribution models similar to any of the following: GNUÆs General Public License (GPL) or Lesser/Library GPL (LGPL); The Artistic License (e.g., PERL); the Mozilla Public License; the Netscape Public License; the Sun Community Source License (SCSL); and the Sun Industry Standards License (SISL).
* Reserved Rights. Microsoft and its suppliers retain title and all ownership rights to the SOFTWARE. All rights not expressly granted are reserved to Microsoft.
2. DESCRIPTION OF OTHER RIGHTS AND LIMITATIONS.
* Limitations on Reverse Engineering, Decompilation, and Disassembly. You may not reverse engineer, decompile, or disassemble the SOFTWARE, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation.
* No Alternations. You may not alter any component of the SOFTWARE, including without limitation the REDISTRIBUTABLE COMPONENT or runtime environment (as it relates to the REDISTRIBUTABLE COMPONENT), including without limitation the registry settings, file associations, MIME types, or default behavior.
* Termination. Without prejudice to any other rights, Microsoft may terminate this EULA if you fail to comply with the terms and conditions of this EULA. In such event, you must destroy all copies of the SOFTWARE.
* Transfer. You may not transfer your rights under this EULA to any third parties.
* Rental. You may not rent, lease, or lend the SOFTWARE.
* Support Services. Microsoft is not obligated to provide technical or other support ("Support Services") for the SOFTWARE. If Microsoft should provide you with Support Services, use of such Support Services is governed by the Microsoft polices and programs described in the user manual, in "on line" documentation and/or other Microsoft-provided materials. Any supplemental software code provided to you as part of the Support Services shall be considered part of the SOFTWARE and subject to the terms and conditions of this EULA. With respect to technical information you provide to Microsoft as part of the Support Services, Microsoft may use such information for its business purposes, including for product support and development. Microsoft will not utilize such technical information in a form that personally identifies you.
3. INTELLECTUAL PROPERTY RIGHTS. All title and intellectual property rights in and to the SOFTWARE (including but not limited to any images, photographs, animations, video, audio, music, text and "applets" incorporated into the SOFTWARE), and any copies you are permitted to make herein are owned by Microsoft or its suppliers. All title and intellectual property rights in and to the content which may be accessed through use of the SOFTWARE is the property of the respective content owner and may be protected by applicable copyright or other intellectual property laws and treaties. All rights not expressly granted are reserved by Microsoft.
4. U.S. GOVERNMENT RESTRICTED RIGHTS. All SOFTWARE provided to the U.S. Government pursuant to solicitations issued on or after December 1, 1995 is provided with the commercial license rights and restrictions described elsewhere herein. All SOFTWARE provided to the U.S. Government pursuant to solicitations issued prior to December 1, 1995 is provided with "Restricted Rights" as provided for in FAR, 48 CFR 52.227-14 (JUNE 1987) or DFAR, 48 CFR 252.227-7013 (OCT 1988), as applicable.
5. NOTE ON JAVA SUPPORT. THE SOFTWARE MAY CONTAIN SUPPORT FOR PROGRAMS WRITTEN IN JAVA. JAVA TECHNOLOGY IS NOT FAULT TOLERANT AND IS NOT DESIGNED, MANUFACTURED, OR INTENDED FOR USE OR RESALE AS ONLINE CONTROL EQUIPMENT IN HAZARDOUS ENVIRONMENTS REQUIRING FAIL-SAFE PERFORMANCE, SUCH AS IN THE OPERATION OF NUCLEAR FACILITIES, AIRCRAFT NAVIGATION OR COMMUNICATION SYSTEMS, AIR TRAFFIC CONTROL, DIRECT LIFE SUPPORT MACHINES, OR WEAPONS SYSTEMS, IN WHICH THE FAILURE OF JAVA TECHNOLOGY COULD LEAD DIRECTLY TO DEATH, PERSONAL INJURY, OR SEVERE PHYSICAL OR ENVIRONMENTAL DAMAGE. Sun Microsystems, Inc. has contractually obligated Microsoft to make this disclaimer.
6. EXPORT RESTRICTIONS. You acknowledge that the SOFTWARE is subject to U.S. export jurisdiction. You agree to comply with all applicable international and national laws that apply to the SOFTWARE, including the U.S. Export Administration Regulations, as well as end-user, end-use and country destination restrictions issued by U.S. and other governments. For additional information on exporting Microsoft products, see http://www.microsoft.com/exporting/.
MISCELLANEOUS
If you acquired this SOFTWARE in the United States, this EULA is governed by the laws of the State of Washington. If you acquired this SOFTWARE in Canada, unless expressly prohibited by local law, this EULA is governed by the laws in force in the Province of Ontario, Canada; and, in respect of any dispute which may arise hereunder, you consent to the jurisdiction of the federal and provincial courts sitting in Toronto, Ontario. If this SOFTWARE was acquired outside the United States, then local law may apply.

DISCLAIMER OF WARRANTIES. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MICROSOFT AND ITS SUPPLIERS PROVIDE TO YOU THE SOFTWARE, AND ANY (IF ANY) SUPPORT SERVICES RELATED TO THE SOFTWARE ("SUPPORT SERVICES") AS IS AND WITH ALL FAULTS; AND MICROSOFT AND ITS SUPPLIERS HEREBY DISCLAIM WITH RESPECT TO THE SOFTWARE AND SUPPORT SERVICES ALL WARRANTIES AND CONDITIONS, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, ANY (IF ANY) WARRANTIES OR CONDITIONS OF OR RELATED TO: MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, LACK OF VIRUSES, ACCURACY OR COMPLETENESS OF RESPONSES, RESULTS, WORKMANLIKE EFFORT AND LACK OF NEGLIGENCE. ALSO THERE IS NO WARRANTY, DUTY OR CONDITION OF TITLE, QUIET ENJOYMENT, QUIET POSSESSION, CORRESPONDENCE TO DESCRIPTION OR NONINFRINGEMENT. THE ENTIRE RISK ARISING OUT OF USE OR PERFORMANCE OF THE SOFTWARE AND ANY SUPPORT SERVICES REMAINS WITH YOU.
EXCLUSION OF INCIDENTAL, CONSEQUENTIAL AND CERTAIN OTHER DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MICROSOFT OR ITS SUPPLIERS BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS OR CONFIDENTIAL OR OTHER INFORMATION, FOR BUSINESS INTERRUPTION, FOR PERSONAL INJURY, FOR LOSS OF PRIVACY, FOR FAILURE TO MEET ANY DUTY INCLUDING OF GOOD FAITH OR OF REASONABLE CARE, FOR NEGLIGENCE, AND FOR ANY OTHER PECUNIARY OR OTHER LOSS WHATSOEVER) ARISING OUT OF OR IN ANY WAY RELATED TO THE USE OF OR INABILITY TO USE THE SOFTWARE, THE PROVISION OF OR FAILURE TO PROVIDE SUPPORT SERVICES, OR OTHERWISE UNDER OR IN CONNECTION WITH ANY PROVISION OF THIS EULA, EVEN IN THE EVENT OF THE FAULT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, BREACH OF CONTRACT OR BREACH OF WARRANTY OF MICROSOFT OR ANY SUPPLIER, AND EVEN IF MICROSOFT OR ANY SUPPLIER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
LIMITATION OF LIABILITY AND REMEDIES. NOTWITHSTANDING ANY DAMAGES THAT YOU MIGHT INCUR FOR ANY REASON WHATSOEVER (INCLUDING, WITHOUT LIMITATION, ALL DAMAGES REFERENCED ABOVE AND ALL DIRECT OR GENERAL DAMAGES), THE ENTIRE LIABILITY OF MICROSOFT AND ANY OF ITS SUPPLIERS UNDER ANY PROVISION OF THIS EULA AND YOUR EXCLUSIVE REMEDY FOR ALL OF THE FOREGOING SHALL BE LIMITED TO THE GREATER OF THE AMOUNT ACTUALLY PAID BY YOU FOR THE SOFTWARE OR U.S.$5.00. THE FOREGOING LIMITATIONS, EXCLUSIONS AND DISCLAIMERS SHALL APPLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EVEN IF ANY REMEDY FAILS ITS ESSENTIAL PURPOSE.
