  114. PLEASE READ THE FOLLOWING SINGLE-USER LICENSE AGREEMENT CAREFULLY BEFORE
  115. USING THIS PROGRAM.  THIS IS A LEGAL AGREEMENT BETWEEN YOU, THE
  116. END-USER,AND WordQuest Interlanguage Systems and/or Word Magic Software.
  117. BY INSTALLING AND/OR USING THIS PROGRAM, YOU ARE AGREEING TO BE BOUND BY
  118. THE TERMS OF THIS AGREEMENT.  IF YOU DO NOT AGREE WITH THESE TERMS, DO
  119. NOT INSTALL AND/OR USE THIS PROGRAM.

  121. Article 1 - Grant Of License:Word Magic Software and WordQuest
  122. Interlanguage Systems Ltd (hereinafter "WordQuest") grants you a
  123. non-exclusive license to use the "Word Magic Software" program included
  124. herein subject to the terms of this Agreement.  For the purposes herein,
  125. "Word Magic Software" shall constitute ALL component parts that are
  126. distributed herein including all program files, libraries, support files
  127. and documentation (hereinafter "Software").  The Software is licensed as
  128. a single product.  Its component parts may not be separated or
  129. distributed.  The Software is solely for your own personal use, on one
  130. computer at one time.  You may use this Software on a different
  131. computer,but it may not be used on two or more computers at the same
  132. time.  You may make a working copy of the Software and a backup copy for
  133. archival purposes only.

  135. Article 2 - Restrictions On Use:
  136. * You may NOT use the Software to create Derivative Works.
  137. * You may not reverse engineer, translate, port, modify, decompile, or
  138. disassemble the Software.  Furthermore, you shall not derive or attempt
  139. to derive the source code, source files or structure of all or any
  140. portion of the Software by reverse engineering, disassembly,
  141. decompilation or by any other means.
  142. * You may not rent, publish, sell, lease, sublicense or market the
  143. Software or use it in any manner not expressly authorized by this
  144. Agreement.
  145. * You may transfer the Software and accompanying written materials on a
  146. permanent basis provided you retain no copies and the recipient agrees
  147. tothe terms of this Agreement.
  148. * You shall not use the Software to operate a service bureau or for any
  149. other use involving the processing of data of any other persons or
  150. entities.
  151. * You may not alter or remove any copyright notices or proprietary
  152. legends contained in, or on, the Software.

  154. Article 3 - Ownership, Copyrights & Trademarks:WordQuest is the
  155. exclusivelicensee of the Software, which was created by WordQuest's
  156. licensors (hereinafter "Copyright Owners").  WordQuest   and Copyright
  157. Owners shall retain all ownership rights in the Software.  The Software
  158. is protected by United States Copyright law and also by International
  159. Treaty provisions.  Any use of the Software in violation of these laws
  160. shall constitute a termination of this Agreement and can result in
  161. prosecution.  The Software is Copyright (c) 1993-97 by WordQuest
  162. Interlanguage Systems Ltd., a company registered under the State of
  163. Texas.  ALL RIGHTS RESERVED UNDER THE COPYRIGHT LAWS OF THE UNITED
  164. STATESAND INTERNATIONAL TREATY PROVISIONS.  "Word Magic Software" is a
  165. registered trademark licensed by WordQuest Interlanguage Systems, Ltd..

  167. Article 4 - Term:This license is effective until terminated.  You may
  168. terminate it at any time by destroying the Software together with all
  169. copies and modifications in any form.  This License also terminates if
  170. you fail to comply with the terms and conditions of this Agreement.

  172. Article 5 - No Warranty: WORDQUEST MAKES AND USER RECEIVES NO WARRANTY,
  173. WHETHER EXPRESS OR IMPLIED,  AND ALL WARRANTIES OF MERCHANTABILITY AND
  174. FITNESS FOR ANY PARTICULAR PURPOSE ARE EXPRESSLY EXCLUDED.  The Software
  175. is provided to you on an "AS IS" and "WITH ALL FAULTS" basis.  You
  176. assumethe entire risk of loss in using the Software.  The Software is
  177. complex and contains non-conformities, defects and errors.  WordQuest
  178. does not warrant that the Software will meet your needs or expectations
  179. (whether due to hardware related capabilities or otherwise) or that
  180. operation of the Software will be error-free or uninterrupted, or that
  181. any non-conformity, defect or error can or will be corrected.

  183. Article 6 - Limitations On Liability & Remedies:WordQuest   ASSUMES NO
  184. LIABILITY FOR ANY FILES CREATED, MODIFIED OR DISTRIBUTED UNDER THIS
  185. AGREEMENT, INCLUDING WITHOUT LIMITATION, LIABILITY FOR PATENT OR
  186. COPYRIGHT INFRINGEMENT.  FURTHERMORE, IN NO EVENT SHALL WordQuest   BE
  187. LIABLE FOR ANY DAMAGES, CLAIM OR LOSS INCURRED BY USER (INCLUDING
  188. WITHOUTLIMITATION COMPENSATORY, INCIDENTAL, INDIRECT, SPECIAL,
  189. CONSEQUENTIAL OR EXEMPLARY DAMAGES, LOST PROFITS, LOST SALES OR
  190. BUSINESS,EXPENDITURES, INVESTMENTS, OR COMMITMENTS IN CONNECTION WITH
  191. ANYBUSINESS, LOSS OF ANY GOODWILL, OR DAMAGES RESULTING FROM LOST OR
  192. CORRUPTED DATA OR INABILITY TO USE YOUR COMPUTER, OR THE USE OF OTHER
  193. PROGRAMS OR DATA ON YOUR COMPUTER, OR THE SOFTWARE) IRRESPECTIVE OF
  194. WHETHER WordQuest   HAS BEEN INFORMED OF, KNEW OF, OR SHOULD HAVE KNOWN
  195. OF, THE LIKELIHOOD OF SUCH DAMAGES.  THIS LIMITATION APPLIES TO ALL
  196. CAUSES OF ACTION IN THE AGGREGATE, INCLUDING WITHOUT LIMITATION BREACH
  197. OFCONTRACT, BREACH OF WARRANTY, NEGLIGENCE, STRICT LIABILITY,
  198. MISREPRESENTATION, AND OTHER TORTS.  IF WordQuest  'S EXCLUSION OF ANY
  199. WARRANTY AND/OR LIMITATION OF LIABILITY SET FORTH IN THIS AGREEMENT
  200. SHALLFOR ANY REASON WHATSOEVER BE HELD UNENFORCEABLE OR INAPPLICABLE,
  201. USER AGREES THAT WordQuest  'S LIABILITY TO ANY PARTY SHALL NOT EXCEED
  202. THE PURCHASE PRICE OF THE SOFTWARE.  Some states do not allow the
  203. exclusion or limitation of incidental or consequential damages or the
  204. limitation of duration of an implied warranty, so the limitation or
  205. exclusion herein may not apply to you.

  207. Article 7 - General:
  208. * This is the exclusive Agreement between WordQuest   and you regarding
  209. its subject matter.  You shall pay any taxes on the Software or
  210. transactions, except for those based on WordQuest's annual net income.
  211. * The Copyright Owners shall be third party beneficiaries of WordQuest's
  212. rights under this Agreement, but they are not a party hereto and shall
  213. have no obligation hereunder.
  214. * If any provision of this Agreement is declared invalid or
  215. unenforceable, the remaining provisions of this Agreement shall remain
  216. ineffect.
  217. * This Agreement supersedes and replaces and all previous Agreements,
  218. whether written or oral, with you regarding the Software.
  219. * This Agreement shall be governed by the laws of the State of Texas,
  220. except for that body of law dealing with conflicts of law.

  222. COMMERCIAL COMPUTER SOFTWARE
  223. The Software is a "commercial item", as that term is defined at 48
  224. C.F.R.2.101 (Oct. 1995) consisting of "commercial computer software" and
  225. "commercial computer documentation," as such terms are used in 48 C.F.R.
  226. 12.212 (Sept. 1995).  Consistent with 48 C.F.R. 12.212 and 48 C.F.R.
  227. 227.7202-1 through 227.7202-4 (June 1995), all U.S. Governmental End
  228. Users acquire the Software with only those license rights set forth
  229. herein.  For purpose of any public disclosure provision under any
  230. federal, state or local law, it is agreed that this Software is a trade
  231. secret and proprietary commercial Software is not subject to disclosure.
