  1. Amzi! Logic Explorer License Agreement
  2.  
  3. IMPORTANT-READ CAREFULLY
  4.  
  5. Amzi! inc. ("Amzi!") is willing to license the Amzi! Logic
  6. Explorer ("Software") to you only if you accept all of the 
  7. terms in this license agreement ("Agreement"). By exercising
  8. your rights to make and use copies of the Software, you are 
  9. agreeing to be bound by the terms of this Agreement. If you 
  10. do not agree to these terms, Amzi! will not license this 
  11. software to you, and you may not use the Software.
  12.  
  13. SOFTWARE LICENSE
  14.  
  15. Ownership of the Software.  The Software and the accompanying
  16. on-line documentation and materials are owned by Amzi! (or its
  17. suppliers) and are protected by copyright laws and international
  18. copyright treaties, as well as other intellectual property laws
  19. and treaties. The Software is licensed, not sold.
  20.  
  21. Grant of License
  22.  
  23. Personal Use.  Amzi! grants you, as an individual, the right 
  24. to install and use an unlimited number of copies of the Software 
  25. for your personal use only.
  26.  
  27. Non-Personal Use.  If you are a business, educational, 
  28. government, or any other commercial or non-commercial entity or 
  29. organization, Amzi! grants you, as an organization, the right to 
  30. install and use a single copy of the Software for evaluation 
  31. purposes only for a period of 30 days.  If you use this software 
  32. after the 30 day evaluation period a registration fee is required 
  33. as described on the order form.  You may access the Software 
  34. through a network, provided you have obtained licenses for all 
  35. workstations that will access the Software (regardless of whether 
  36. the access is sequential or concurrent).
  37.  
  38. Distribution. You may reproduce and distribute an unlimited 
  39. number of copies of the Software; provided that each copy shall 
  40. be a true and complete copy, including all copyright and 
  41. trademark notices, and shall be accompanied by a copy of this
  42. Agreement. Copies of the Software may not be distributed for 
  43. profit either on a standalone basis or included as part any other 
  44. product without prior written permission.  You may charge a 
  45. NOMINAL media/download fee.
  46.  
  47. Restrictions on Use and Transfer. You may not reverse engineer,
  48. decompile, or disassemble the Software. You may not rename, edit
  49. or create any derivative works from the Software. You may
  50. permanently transfer the Software if the transferee agrees to be
  51. bound by the terms of this Agreement.  Such a transfer terminates
  52. your license.  You may not rent or lease the Software or otherwise
  53. transfer or assign the right to use the Software, except as stated
  54. in this paragraph.
  55.  
  56. Termination. Amzi! may terminate this Agreement if you fail to 
  57. comply with its terms and conditions. In such event, you must 
  58. destroy all copies of the Software.
  59.  
  60. Export Restrictions.  This Software is subject to U.S. Export
  61. Administration Regulations.  You may not acquire, ship, transfer
  62. or reexport the Software into any country or to any person or
  63. entity prohibited by the Regulations including, but not limited
  64. to, the countries of Libya, Cuba, and North Korea. 
  65.  
  66. General.  Whenever possible, each provision of this Agreement
  67. shall be interpreted in a manner as to be valid and effective
  68. under applicable law.  If any provision is found to be unlawful,
  69. void or for any reason unenforceable, then that provision shall
  70. be deemed serverable from this Agreement and shall not affect
  71. the validity and enforceability of the remaining provisions. 
  72. This agreement is governed by the laws of the State of

  77. LIMITED WARRANTY

  79. NO WARRANTIES. AMZI! DISCLAIMS ALL WARRANTIES, EITHER 
  80. EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION, THE 
  81. IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A 
  82. PARTICULAR PURPOSE, AND NONINFRINGEMENT.  THE SOFTWARE 
  83. IS PROVIDE "AS IS" WITHOUT WARRANTY OF ANY KIND.  THE 
  84. ENTIRE RISK ARISING OUT OF USE OR PERFORMANCE OF THE 
  85. SOFTWARE REMAINS WITH YOU.
  86.  
  87. NO LIABILITY.  IN NO EVENT WILL AMZI! OR ITS SUPPLIERS 
  88. BE LIABLE FOR ANY DAMAGES WHATSOEVER (INCLUDING, WITHOUT 
  89. LIMITATION, DAMAGES FOR LOSS OF PROFITS, LOST SAVINGS, 
  90. BUSINESS INTERRUPTION, LOSS OF INFORMATION, OR ANY OTHER 
  91. PECUNIARY LOSS) OR OTHER INCIDENTAL OR CONSEQUNTIAL 
  92. DAMAGES ARISING OUT OF THE USE OF OR INABILITY TO USE 
  93. THIS AMZI! PRODUCT, EVEN IF AMZI! HAS BEEN ADVISED OF 
  94. THE POSSIBILITY OF SUCH DAMAGES.  BECAUSE SOME STATES/
  95. JURISDICTIONS DO NOT ALL THE EXCLUSION OR LIMITATION OF 
  96. LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE 
  97. ABOVE LIMITATION MAY NOT APPLY TO YOU.
  98.  
  99. U.S. GOVERNMENT RESTRICTED RIGHTS
  100.  
  101. The Software and documentation are provided with RESTRICTED RIGHTS.
  102. Use, duplication, or disclosure by the Government is subject to
  103. restrictions as set forth in subparagraph (c)(1)(ii) of the Rights
  104. in Technical Data and Computer Software clause at DFARS 252.227-7013
  105. or subparagraphs (c)(1) and (2) of the Commercial Computer Software
  106. - Restricted Rights at 48 CFR 52.227-19, as applicable. Manufacturer
