  1.                         CREATIVE SOFTWARE LICENSE

  4. This Agreement sets forth the license terms and conditions for using the 
  5. enclosed software Driver/Program ("Software").
  6.  
  7. This License is effective until terminated. You may terminate it at any 
  8. time by destroying the Software together with any copies currently in 
  9. your posession. The License also terminates if you fail to comply with 
  10. the terms and conditions of this agreement, and additionally you need 
  11. to destroy any copies or variations of the software.

  14. 1.      GRANT OF LICENSE.  Creative Technology Limited ("Creative"),
  15.     grants to you the right to use all or a portion of this 
  16.      Software provided that (i) the Software is not distributed
  17.     for profit; (ii) the Software is used only in conjunction
  18.     with Creative's family of products; (iii) the Software may
  19.     NOT be modified; (iv) all copyright notices are maintained
  20.     on the Software; and (v) the licensee/end user agrees to be
  21.     bound by the terms of this Agreement.

  23. 2.      COPYRIGHT.  The Software is owned by Creative and is
  24.     protected by United States copyright laws and international
  25.     treaty provisions. You may not remove the copyright notice
  26.     from any copy of the Software or any copy of the written
  27.     materials, if any, accompanying the Software.

  29. 3.      OTHER RESTRICTIONS.  This License Agreement is your proof
  30.     of license to exercise the rights granted herein and must
  31.     be retained by you.  You may not rent or lease the Software.
  32.     You may not reverse engineer, decompile or disassemble the
  33.     Software.

  35.     NO WARRANTY.  ANY USE BY YOU OF THE SOFTWARE IS AT YOUR
  36.     OWN RISK.  THE SOFTWARE IS PROVIDED FOR USE ONLY WITH 
  37.     CREATIVE'S HARDWARE AND RELATED SOFTWARE.  THE SOFTWARE
  38.     IS PROVIDED FOR USE "AS IS" WITHOUT WARRANTY OF ANY KIND.
  39.     TO THE MAXIMUM EXTENT PERMITTED BY LAW, CREATIVE DISCLAIM
  40.     ALL WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED,
  41.     INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF
  42.     MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
  43.     CREATIVE IS NOT OBLIGATED TO PROVIDE ANY UPDATES TO THE
  44.     SOFTWARE.
  45.  
  46.     NO LIABILITY FOR CONSEQUENTIAL DAMAGES.  In no event shall
  47.     Creative be liable for any damages whatsoever (including,
  48.     without limitation, incidental, direct, indirect special and
  49.     consequential damages, damages for loss of business profits,
  50.     business interruption, loss of business information, or other
  51.     pecuniary loss) arising out of the use or inability to use
  52.     this Creative product, even if Creative has been advised of
  53.     the possibility of such damages.  Because some states/
  54.     countries do not allow the exclusion or limitation of
  55.     liability for consequential or incidental damages, the above
  56.     limitation may not apply to you.

  58.     INDEMNIFICATION BY YOU.  If you distribute the Software in
  59.     violation of this Agreement, you agree to indemnify, hold
  60.     harmless and defend Creative from and against any claims or
  61.     lawsuits, including attorney's fees that arise or result from
  62.     the use or distribution of the Software in violation of this
  63.     Agreement.

  66. This Agreement shall be construed, interpreted and governed by the laws 
  67. of the State of California,  except the federal laws which govern the 
  68. copyrights and registered trademarks. You agree that this is the complete 
  69. and exclusive statement of the Agreement between you and Creative which 
  70. supersedes any proposal or prior agreement, oral or written, and any other 
  71. communications between us regarding the subject of this Agreement. If any 
  72. provision of this Agreement is found unenforceable, it will not affect 
  73. the validity of this Agreement, which shall remain valid and enforceable 
  74. according to its terms.
