  17. READ THE TERMS AND CONDITIONS OF THIS LICENSE AGREEMENT CAREFULLY BEFORE
  18. USING SYSOFT DOCUMENTATION, SOFTWARE AND ADDITIONAL
  19. MATERIALS (THE "PRODUCT"). THE PRODUCT IS COPYRIGHTED AND LICENSED 
  20. TO YOU AND BY USING THE PRODUCT, YOU ARE ACCEPTING AND 
  21. AGREEING TO THE TERMS OF THIS LICENSE AGREEMENT. IF YOU ARE NOT WILLING
  22. TO BE BOUND BY THE TERMS OF THIS LICENSE AGREEMENT, YOU SHOULD NOT USE 
  23. THIS PRODUCT. THIS LICENSE AGREEMENT REPRESENTS THE ENTIRE AGREEMENT 
  24. CONCERNING THE PRODUCT BETWEEN YOU AND SYSOFT (REFERRED
  25. TO AS "LICENSOR"), AND IT SUPERSEDES ANY PRIOR PROPOSAL, REPRESENTATION,
  26. OR UNDERSTANDING BETWEEN THE PARTIES.

  30. SOFTWARE LICENSE is granted by SYSOFT SA when required 
  31. fees are paid. The software contained in this package is licensed
  32. to you as the end user.

  36. 1. The software contained in this package (hereafter referred to as 
  37.    "The Product") is copyrighted material distributed by SYSOFT and owned by Ion CARTIANT
  38.    Payment of the license fee authorizes use the Software 
  39.    on a single computer provided this copyright is not violated and 
  40.    provided the rules outlined herein are observed.

  42. 2. USE OF THE PRODUCT.  Use by more than a single individual on a network
  43.    is permitted provided the Software is installed on only one computer.
  44.    You must pay for additional copies of the Software if the Software is
  45.    used on two or more computers.  
  46.    You may not make any changes or modifications to the Software, 
  47.    including, but not limited to, decompiling, disassembling, or other-
  48.    wise reverse engineering it.  You may not rent or lease it to others.

  50. 3. COPYING REGISTERED COPIES OF THE PRODUCT.  When you receive a 
  51.    Registered Copy of the Product you may make copies of the Product 
  52.    which are necessary for normal backup purposes only.  You agree not 
  53.    to make any other copies of the software, the manual(s), or any part
  54.    of  them, or sell or give any copies or registration codes to others.

  56. 4. LEGAL DISCLAIMER. THIS SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY 
  57.    OF ANY KIND, EITHER EXPRESSED OR IMPLIED, INCLUDING, BUT NOT LIMITED 
  58.    TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A 
  59.    PARTICULAR PURPOSE.  THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE 
  60.    OF THE PRODUCT IS WITH YOU.  SHOULD THE PRODUCT PROVE DEFECTIVE, YOU 
  61.    ASSUME THE COST OF ALL NECESSARY SERVICING, REPAIR OR CORRECTION.

  63.    IN NO EVENT WILL SYSOFT, OR ANY OTHER PARTY WHO MAY
  64.    HAVE DISTRIBUTED THE PRODUCT AS PERMITTED ABOVE, BE LIABLE TO YOU FOR 
  65.    DAMAGES, INCLUDING ANY GENERAL, SPECIAL, INCIDENTAL OR CONSEQUENTIAL 
  66.    DAMAGES ARISING OUT OF THE USE OR INABILITY TO USE THE PRODUCT 
  67.    (INCLUDING BUT NOT LIMITED TO LOSS OF DATA OR DATA BEING RENDERED 
  68.    INACCURATE OR LOSSES SUSTAINED BY YOU OR THIRD PARTIES OR A FAILURE OF

  72. 5. GOVERNING LAW. This license Agreement shall be construed and governed 
  73.    in accordance with the laws of France.

  75. 6. Costs of Litigation. If any action is brought by either party to this
  76.    License Agreement against the other party regarding the subject matter
  77.    hereof, the prevailing party shall be entitled to recover, in addition
  78.    to any other relief granted, reasonable attorney fees and expenses of
  79.    litigation.

  81. 7. SEVERABLILITY. Should any term of this License Agreement be declared 
  82.    void or unenforceable by any court of competent jurisdiction, such 
  83.    declaration shall have no effect on the remaining terms hereof.

  85. 8. NO WAIVER. The failure of either party to enforce any rights granted 
  86.    hereunder or to take action against the other party in the event of 
  87.    any breach hereunder shall not be deemed a waiver by that party as to
  88.    subsequent enforcement of rights or subsequent actions in the event 
  89.    of future breaches.

  105. REPRESENTS THE ENTIRE AGREEMENT CONCERNING THE PRODUCT BETWEEN YOU AND
  106. SYSOFT (REFERRED TO AS "LICENSOR"), AND IT SUPERSEDES
  107. ANY PRIOR PROPOSAL, REPRESENTATION, OR UNDERSTANDING BETWEEN THE PARTIES.

  109. 1. EVALUATION PERIOD.  You may use a Shareware Copy of the Product for
  110.    an evaluation period of up to 21 days, in order to determine whether
  111.    the Product meets your needs before purchasing it.  Once the evalua-
  112.    tion period ends, you agree to either purchase a Registered Copy of
  113.    the Product, or to stop using it.  
  114.  
  115. 2. USE OF THE PRODUCT.  While you are evaluating the Product, you may
  116.    use it on as many computers as are required to perform your evalua-
  117.    tion. Your 21-day evaluation period begins when you first install the
  118.    Product on one or more computers for evaluation purposes. Once the
  119.    evaluation period is over and you purchase the Product, you may only
  120.    use the product on one computer at a time. You may install the
  121.    product on more than one of your computers as long as there is no 
  122.    possibility of the product being used at the same time on different
  123.    computers. For multiple system licenses please contact SYSOFT 
  124.    for special pricing. You must not (a) defeat, or try to  defeat, messages 
  125.    in the Product which encourage users to register;
  126.    (b) modify or prepare derivative works of the Product; (c) or reverse
  127.    engineer, decompile or disassemble the Product
  128.  
  129. 3. DISTRIBUTING SHAREWARE COPIES OF THE PRODUCT. You may make copies of
  130.    your full, unregistered Shareware Copy of the Product to give to
  131.    others, however you may not sell Shareware Copies of the Product for
  132.    a profit (shareware distribution companies may charge their normal 
  133.    shipping and handling fees). You may not:  (a) distribute registered versions 
  134.    of the Product; (b) distribute 
  135.    updates of your product which may include the Product without using 
  136.    the latest version of the Product; (c) ship incomplete versions of 
  137.    the Product; (d) defeat, or try to defeat, messages in the Product 
  138.    which encourage users to register their software or actively 
  139.    discourage user registration in any other way
