  3. NetSpeak Corporation WebPhone(R) Version 4.02 License Agreement
  4.  
  5. BY INSTALLING AND RUNNING THIS SOFTWARE
  6. PROGRAM YOU ARE AGREEING TO BE BOUND BY
  7. THE TERMS AND CONDITIONS OF THIS
  8. AGREEMENT. IF YOU DO NOT AGREE TO THE
  9. TERMS OF THIS AGREEMENT, DO NOT CONTINUE
  10. THIS INSTALLATION AND DELETE ANY
  11. PORTIONS OF THIS SOFTWARE ALREADY
  12. INSTALLED ON YOUR DISK DRIVE.

  14. LICENSE GRANT
  15. NetSpeak Corporation ("NetSpeak") grants to you
  16. a non-exclusive, non-tansferable license under 
  17. Copyrights to use this non-activated, demonstration 
  18. copy of it's WebPhone(R) version 4.02 voice communications
  19. software product ("Software") on one computer at a time. 
  20. The Software is licensed, not sold. You may reproduce
  21. and distribute copies of this demonstration version of
  22. the Software, but not for compensation provided the
  23. following conditions are met:
  24.  
  25. (a) This license agreement must accompany the
  26. Software.
  27. (b) You may not, or may not permit other
  28. individuals to: modify, translate, reverse
  29. engineer, decompile, disassemble, create derivative
  30. works from the Software, or remove any proprietary
  31. notices or labels on the Software, including
  32. copyright, trademark or patent pending notices, or 
  33. export or re-export this Software without the appropriate
  34. licences from the U.S and/or foreign governments.

  36. SOFTWARE
  37. NetSpeak reserves the right to at any time to alter
  38. prices, features, capabilities, functions, licensing
  39. terms, release dates, general availability or any
  40. other characteristics of the Software as NetSpeak
  41. sees fit, or, to terminate this license agreement at 
  42. any time for any reason.  If this license is terminated 
  43. for any reason you agree to return or destroy all copies
  44. of the Software.
  45.  
  46. TITLE
  47. Title, ownership rights, and intellectual property
  48. rights in and to the Software shall remain with
  49. NetSpeak. The Software is protected by the copyright
  50. and patent laws of the United States and international
  51. copyright treaties.
  52.  
  53. DISCLAIMER OF WARRANTY FOR NON-ACTIVATED SOFTWARE
  54. If you have not paid an activation fee, the Software is 
  55. provided on an "AS IS" basis, without warranty of any 
  56. kind, including without limitation the warranties of 
  57. merchantability, fitness for a particular purpose and 
  58. non-infringement. The entire risk as to the quality 
  59. and performance of the Software is borne by you. Should
  60. the Software prove defective, you and not NetSpeak 
  61. assume the entire cost of any service and repair. This 
  62. disclaimer of warranty constitutes an essential part of 
  63. the agreement. Some states do not allow exclusions of 
  64. an implied warranty, so this disclaimer may not apply 
  65. to you and you may have other legal rights that vary 
  66. from state to state or by jurisdiction.
  67.  
  68. LIMITED WARRANTY FOR ACTIVATED SOFTWARE
  69. Upon payment of the then current activation fee, NetSpeak
  70. warrants that the Software will perform substantially
  71. in accordance with the accompanying documentation for
  72. a period of thirty (30) days from payment of the
  73. activation fee. Some states and jurisdictions do not allow
  74. limitation on the duration of implied warranties, so
  75. the above limitation may not apply to you. To the extent
  76. allowed by applicable law, any implied warranties on the
  77. Software are limited to thirty (30) days.
  78.  
  79. LIMITED REMEDY FOR ACTIVATED SOFTWARE
  80. NetSpeak and its suppliers' entire liability and your
  81. exclusive remedy shall be, at NetSpeak's sole option to
  82. either (a) refund the activation fee, or (b) repair or
  83. replace the activated Software that does not meet
  84. NetSpeak's limited warranty. This limited warranty is
  85. void if failure of the Software has resulted from
  86. accident, abuse, or misapplication. Any replacement
  87. Software under the limited remedy will be warranted for
  88. the reminder of the original warranty period or
  89. thirty (30) days, which ever is longer.
  90.  
  91. LIMITATION OF LIABILITY
  92. Under no circumstances and under no legal theory, tort,
  93. contract, or otherwise, shall NetSpeak or any other
  94. person be liable for any indirect, special, incidental,
  95. or consequential damages of any character including,
  96. without limitation, damages for loss of goodwill, work
  97. stoppage, computer failure or malfunction, or any and
  98. all other commercial damages or losses even if NetSpeak
  99. has been advised of the possibility of such damages.
  100. In no event will NetSpeak be liable for any damages
  101. whatsoever.
  102.  
  103. MISCELLANEOUS
  104. This Agreement represents the complete agreement and
  105. supersedes all prior agreements and representations
  106. between the parties. It may be amended only by a
  107. writing executed by both parties. If any provision of
  108. this Agreement is held to be unenforceable for any
  109. reason, such provision shall be reformed only to the
  110. extent necessary to make it enforceable.  This
  111. Agreement shall be governed by and construed under
  112. Florida law as such law applies to agreements between
  113. Florida residents entered into and to be performed
  114. within Florida, except as governed by Federal law.
  115. The application the United Nations Convention of
  116. Contracts for the International Sale of Goods is
  117. expressly excluded.

  119. US GOVERNMENT RESTRICTED RIGHTS
  120. Use, duplication or disclosure by the Government is
  121. subject to restrictions set forth in subparagraphs (a)
  122. through (d) of the Commercial Computer -Restricted
  123. Rights clause at FAR 52.227-19 when applicable, or in
  124. subparagraph (c)(1)(ii) of the Rights in Technical
  125. Data and Computer Software clause at DFARS
  126. 252.227-7013, and in similar clauses in the NASA
  127. FAR Supplement.

  141. of the following U.S patents: 5,544,278, 5,568,588, 5,444,816
  142. and 4,932,061.
