  3.     WEBSTER IMAGE SOFTWARE LICENSE AGREEMENT

  5. 1.    GRANT OF LICENSE.  Webster Image grants to you the right
  6.     to use and  to reproduce  and distribute  this  Software
  7.     provided  that  (i) the  Software  is  not   distributed
  8.     for  profit;  (ii)  the  Software  may  NOT be modified;
  9.     (iii) all  copyright  notices   are  maintained  on  the
  10.     Software; (iv) the licensee/end user agrees  to be bound
  11.     by the terms of  this Agreement;  (v) Software  is being
  12.     distributed in  the  original setup-ready configuration.

  14. 2.    SHAREWARE STATUS.  This  Software  is  a  Shareware. You
  15.     may use the program  free  of charge for  14  days after
  16.     which  period  you  must  either  register  or remove it
  17.     from your computer.

  19. 3.    COPYRIGHT.  The  Software is owned by Webster Image  and
  20.     is  protected  by   United  States  copyright  laws  and
  21.     international treaty  provisions. You may not remove the
  22.     copyright notice from any  copy of the  Software or  any
  23.     copy of  the  written materials,  if  any,  accompanying
  24.     the Software.

  26. 4.    OTHER RESTRICTIONS. This Webster Image License Agreement
  27.     is  your proof of license to exercise the rights granted
  28.     herein  and must be  retained  by you.  You may not rent
  29.     or lease the Software. You  may  not  reverse  engineer,
  30.     decompile or disassemble the Software.

  32.     NO WARRANTY.  ANY USE BY YOU OF THE  SOFTWARE IS AT YOUR
  33.     OWN RISK.  THE  SOFTWARE  IS PROVIDED  FOR USE ONLY WITH 
  34.     MICROSOFT(R) WINDOWS 95(R)  AND  RELATED SOFTWARE.  THE 
  35.     SOFTWARE  IS PROVIDED  FOR USE "AS IS"  WITHOUT WARRANTY 
  36.     OF ANY KIND.  TO THE  MAXIMUM  EXTENT  PERMITTED BY LAW, 
  37.     WEBSTER  IMAGE  DISCLAIMS ALL  WARRANTIES OF  ANY  KIND,  
  38.     EITHER EXPRESS OR IMPLIED,INCLUDING, WITHOUT LIMITATION,
  39.     IMPLIED WARRANTIES OF MERCHANTABILITY  AND FITNESS FOR A
  40.     PARTICULAR  PURPOSE. WEBSTER  IMAGE IS  NOT OBLIGATED TO
  41.     PROVIDE ANY UPDATES TO THE SOFTWARE.

  43.     NO  LIABILITY FOR  CONSEQUENTIAL DAMAGES.  In  no  event
  44.     shall  Webster Image  or its suppliers be liable for any
  45.     damages  whatsoever  ( including,   without  limitation,
  46.     incidental, direct, indirect  special and  consequential
  47.     damages, damages for loss of business  profits, business
  48.     interruption, loss of  business  information,  or  other
  49.     pecuniary loss) arising  out  of the use or inability to
  50.     use  this Webster Image  product, even  if Webster Image
  51.     has been  advised of the possibility  of  such  damages.
  52.     Because some states/countries do not allow the exclusion
  53.     or limitation of liability for  consequential/incidental
  54.     damages, the above limitation  may not apply to you.

  56.     INDEMNIFICATION BY YOU.  If you distribute  the Software
  57.     in violation of this Agreement, you agree to  indemnify,
  58.     hold harmless and defend Webster Image from  and against
  59.     any claims or lawsuits, including  attorney's  fees that
  60.     arise  or result  from the  use or  distribution  of the
  61.     Software in violation of this Agreement.

  64. U.S. GOVERNMENT RESTRICTED RIGHTS
  65.  
  66. The Software and documentation are provided with RESTRICTED RIGHTS.
  67. Use, duplication, or disclosure by the Government is subject to
  68. restrictions as set forth in subparagraph 
  69. (c)(1)(ii) of The Rights in Technical Data and Computer Software 
  70. clause at DFARS 252.227-7013 or subparagraphs 
  71. (c)(1) and (2) of the Commercial Computer Software - 
  72. Restricted Rights at 48 CFR 52.227-19, as applicable.
