  28.     of runtime instances of the software within the Licensee company.

  33.     information of oakland and title to all copies is retained by
  34.     oakland and/or its licensors, if applicable. Licensee shall not

  36.     reverse engineer Software. Software may not be leased, assigned,
  37.     or sublicensed, in whole or in part. Licensee accepts full
  38.     responsibility for use of the Software including, but not limited
  39.     to, acceptance of full responsibility pursuant to third party
  40.     software and licensing agreements regarding the use of the
  41.     Software to modify, examine, or otherwise process such third party
  42.     software.

  44.  4. Trademarks and Logos. This License does not authorize Licensee to
  45.     use any name, trademark or logo of Licensor. Licensee acknowledges
  46.     that Licensor owns the "oakland software" trademark and logo.

  48.     delete or obscure Licensor's copyright legend on any Software and
  49.     any related documentation and materials.

  51.  5. Warranty of Software Title. Licensor warrants that it has the
  52.     right to license the Software it purports to license to Licensee

  56.     infringement, then the Licensor shall, at its sole option, either:

  84.  9. Restricted Rights. Use, duplication or disclosure by the United
  85.     States government is subject to the restrictions as set forth in
  86.     the Rights in Technical Data and Computer Software Clauses in
  87.     DFARS 252.227-7013(c) (1) (ii) and FAR 52.227-19(c) (2) as
  88.     applicable.

  90.  10. Severability. If any of the above provisions are held to be in
  91.      violation of applicable law, void, or unenforceable in any
  92.      jurisdiction, then such provisions are herewith waived to the
  93.      extent necessary for the License to be otherwise enforceable in
  94.      such jurisdiction. However, if in Licensor's opinion deletion of
  95.      any provisions of the License by operation of this paragraph
  96.      unreasonably compromises the rights or increase the liabilities
  97.      of Licensor or its licensors, Licensor reserves the right to
  98.      terminate the License and refund the fee paid by Licensee, if
  99.      any, and such refund shall be Licensee's sole and exclusive

  102.  11. No Waiver. No waiver by Licensor of any breach of any provision
  103.      of this Agreement shall be elective unless in writing signed by
  104.      Licensor. No waiver shall constitute a continuing waiver unless
  105.      expressly provided in the writing signed by Licensor.

  107.  12. UCC Applicability. To the extent the provisions of this License
  108.      are not inconsistent therewith, this License shall be governed by
  109.      the Uniform Commercial Code as adopted in California.

  111.  13. Entire Agreement. This License constitutes the entire agreement
  112.      between the parties respecting the subject matter hereof and
  113.      thereof, and supersedes all previous proposals, negotiations,
  114.      representations, warranties, commitments, writings and
  115.      communications between parties. The terms of this License shall
  116.      prevail notwithstanding any variance with the terms of any
  117.      purchase order or any other document submitted by Licensee.
