  1. BESSEMS-IT

  3. IMPORTANT: PLEASE READ THIS AGREEMENT CAREFULLY BEFORE USING THE SOFTWARE. 
  4.  
  5. END USER LICENSE AGREEMENT
  6. BESSEMS-IT agrees to provide the user ("USER")
  7. with a copy of this software product ("SOFTWARE"), and grants the USER a
  8. limited license to use the SOFTWARE. ("LICENSE") This LICENSE defines
  9. what the USER may do with the SOFTWARE, and contains limitations on
  10. warranties, liabilities and remedies. This LICENSE may be revoked by Bessems-IT
  11. at any time without notice if the USER fails to comply with the terms of
  12. this LICENSE. The copyright and all other rights in the SOFTWARE shall
  13. remain with MPC.

  15. LICENSE OF UNREGISTERED SOFTWARE
  16. An unregistered copy of the SOFTWARE ("UNREGISTERED SOFTWARE") may be
  17. used by the USER for evaluation purposes for a period of thirty (30)
  18. days following the initial installation of the UNREGISTERED SOFTWARE.
  19. ("TRIAL PERIOD") At the end of the TRIAL PERIOD, the USER must either
  20. register the SOFTWARE or remove it from his system. The UNREGISTERED
  21. SOFTWARE may be freely copied and distributed to other users for their
  22. evaluation.

  24. LICENSE OF REGISTERED SOFTWARE
  25. A registered copy of the SOFTWARE ("REGISTERED SOFTWARE") allows the
  26. USER to use the SOFTWARE only on a single computer or network, and only
  27. by a single user at a time. If the USER wishes to use the SOFTWARE for
  28. more than one user, the USER will need a separate license for each
  29. individual user. The USER is allowed to make one copy of the REGISTERED
  30. SOFTWARE for back-up purposes.

  32. DISTRIBUTION OF UNREGISTERED SOFTWARE
  33. The uninstalled, UNREGISTERED SOFTWARE may be freely copied and
  34. distributed to other users provided the USER complies with the following
  35. requirements. If the USER offers this uninstalled, UNREGISTERED SOFTWARE
  36. for download ("SHAREWARE SITE USER"), then the SHAREWARE SITE USER
  37. agrees to: (1) immediately replace this version of the uninstalled,
  38. UNREGISTERED SOFTWARE with a new version of this SOFTWARE if a new
  39. version is released by Bessems-IT, or (2) delete this version of the
  40. UNREGISTERED SOFTWARE immediately upon written email notice by
  41. Bessems-IT
  42.  
  43. TERM OF LICENSE
  44. This LICENSE shall continue for as long as the USER uses the REGISTERED
  45. SOFTWARE and/or distributes the UNREGISTERED SOFTWARE accordiong to the
  46. terms of this agreement. However, this LICENSE will terminate if the
  47. USER fails to comply with any of its terms or conditions. The USER
  48. agrees, upon termination, to destroy all copies of the REGISTERED and/or
  49. UNREGISTERED SOFTWARE. The limitations of warranties and liability set
  50. forth in this LICENSE shall continue in force even after termination.

  52. ACCEPTANCE OF THIS LICENSE AGREEMENT
  53. By downloading and/or installing this SOFTWARE, the USER agrees to the
  54. terms of this LICENSE. 
  55.  
  56. DISCLAIMER OF WARRANTY AND LIABILITY
  57. This SOFTWARE is provided "as is" without representations or warranties
  58. of any kind, whether expressed or implied. The USER must assume the
  59. entire risk of using the SOFTWARE, and Bessems-IT shall have no liability to
  60. the USER or any other third-party for any damages whatsoever, including,
  61. but not limited to, any economic or data loss, even if such loss was
  62. foreseeable by Bessems-IT
  63.  
  64. Bessems-IT DISCLAIMS ALL OTHER WARRANTIES, EITHER EXPRESS OR IMPLIED, INCLUDING
  65. BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A
  66. PARTICULAR PURPOSE, WITH RESPECT TO THE SOFTWARE AND THE ACCOMPANYING
  67. WRITTEN MATERIALS. ANY LIABILITY OF Bessems-IT WILL BE LIMITED EXCLUSIVELY TO
  68. PRODUCT REPLACEMENT OR REFUND OF ORIGINAL PURCHASE PRICE.

  70. OTHER RESTRICTIONS
  71. The USER may not rent, lease, sublicense, translate, disassemble,
  72. reverse engineer, or de-compile the SOFTWARE, or modify or merge the
  73. SOFTWARE with any part of the software in another program. This LICENSE
  74. may not be assigned or otherwise transferred without the prior written
  75. consent of Bessems-IT.
  76.  
  77. INVALID PROVISIONS
  78. If any provision of this LICENSE shall be declared invalid or
  79. unenforceable, the remaining provisions of this LICENSE shall remain in
  80. full force and effect to the fullest extent permitted by law. In such
  81. event, each provision of this LICENSE which is invalid or unenforceable
  82. shall be replaced with a provision as similar in terms to such invalid
  83. or unenforceable provision as may be possible which is legal and
  84. enforceable. 
  85.  
  86. ENTIRE AGREEMENT
  87. This LICENSE is the entire agreement between Bessems-IT and the USER, and
  88. supersedes any other agreement, oral or written, and may not be changed
  89. except by a written signed agreement. 
  90.  
  91. GOVERNING LAW
  92. This agreement shall be governed by the laws of the Netherlands.
