  2.      LICENSE AGREEMENT FOR TOBEST, INC. SOFTWARE
  3. * * * * * * * IMPORTANT - READ CAREFULLY * * * * * * *

  5. BY INSTALLING, COPYING, OR OTHERWISE USING THIS SOFTWARE PRODUCT
  6. ("SOFTWARE"), WHICH INCLUDES THE COMPUTER SOFTWARE, ASSOCIATED 
  7. MEDIA AND PRINTED MATERIALS, YOU ARE CONSENTING TO BE BOUND BY, 
  8. AND ARE BECOMING A PARTY TO, THIS AGREEMENT. IF YOU DO NOT AGREE 
  9. TO ALL OF THE TERMS OF THIS AGREEMENT, YOU MAY NOT INSTALL THIS 
  10. SOFTWARE, OR ANY PORTION OF IT, ON ANY COMPUTER, DISK, DISKETTE, 
  11. SHARED NETWORK SYSTEM, OR ANY OTHER STORAGE MEDIUM.

  13. SHAREWARE VERSION:
  14. If you are installing the SHAREWARE version of this PRODUCT, 
  15. TOBEST, Inc. hereby grants you the following non-exclusive 
  16. license:
  17.  
  18.    a) You may use the accompanying SOFTWARE free of charge for a 
  19. period of 30 days for the sole purpose of evaluating the 
  20. SOFTWARE.
  21.  
  22.    b) You may install this SOFTWARE on as many machines as you 
  23. wish provided that it is under the terms and conditions of this 
  24. agreement, and provided that it is for the sole purpose of 
  25. evaluating the SOFTWARE.
  26.  
  27.    c) You may freely distribute this product (in its entirety) to
  28. others for the sole purpose of evaluation, again, provided it is
  29. under the terms and conditions of this agreement.
  30.  
  31.    d) If, after 30 days, you wish to continue using this 
  32. SOFTWARE, you are required to purchase a LICENSE from TOBEST, 
  33. Inc. or one of its designated agents or resellers.
  34.  
  35.    e) If, after 30 days, you do not wish to continue using this 
  36. SOFTWARE, you are required to remove this SOFTWARE, in its 
  37. entirety, from all computers on which it is installed.
  38.  
  39.    f) This license does not grant you any right to any support, 
  40. bug fix, enhancement or update.
  41.  
  42. LICENSED VERSION: 
  43. If you are installing the LICENSED version of this PRODUCT, 
  44. TOBEST, Inc. hereby grants you the following non-exclusive 
  45. license:
  46.  
  47.    a) You may use the SOFTWARE only on a single microcomputer at 
  48. a time, except the  SOFTWARE may be executed from a common disk 
  49. shared by multiple CPU's provided that one authorized copy of the 
  50. SOFTWARE has been licensed from TOBEST, Inc. or one of its' 
  51. agents/resellers for each CPU executing the SOFTWARE.
  52.  
  53.    b) This LICENSE grants your rights to technical support, bug 
  54. fixes, updates and enhancements to the SOFTWARE for the duration
  55. of this LICENSE.
  56.  
  57.    c) YOU MAY NOT REDISTRIBUTE THIS SOFTWARE AND/OR ACCOMPANYING 
  58. SERIAL NUMBER TO ANY PERSON OR ORGANIZATION WITHOUT THE PRIOR 
  59. WRITTEN CONSENT OF TOBEST, INC.
  60.    
  61. TERMINATION:
  62. This LICENSE is effective unless terminated. This LICENSE will 
  63. terminate immediately without notice from TOBEST, Inc. if you 
  64. fail to comply with any provision of this LICENSE. Upon ter-
  65. mination you must destroy the SOFTWARE and all copies thereof. 
  66. You may terminate the LICENSE at any time by destroying the 
  67. SOFTWARE and all copies thereof.
  68.  
  69. REFUND
  70. You shall not ask a refund after you purchase under any circumstances.
  71.  
  72.  
  73. TITLE:
  74. Title, ownership rights, and intellectual property rights in and 
  75. to the SOFTWARE shall remain in TOBEST, Inc. The SOFTWARE is 
  76. protected by the copyright laws of the United States and inter-
  77. national copyright treaties. Title, ownership rights, and 
  78. intellectual property rights in and to the content accessed 
  79. through the SOFTWARE is the property of the applicable content 
  80. owner and may be protected by applicable copyright or other law. 
  81. This license gives you no rights to such content. This SOFTWARE 
  82. is licensed, not sold.
  83.  
  84. YOU MAY NOT:
  85. PERMIT OTHER INDIVIDUALS TO USE THE SOFTWARE EXCEPT UNDER THE 
  86. TERMS LISTED ABOVE; MODIFY, TRANSLATE, REVERSE ENGINEER, DECOMPILE, 
  87. DISASSEMBLE, OR CREATE DERIVATIVE WORKS BASED ON THE SOFTWARE; 
  88. COPY THE SOFTWARE (EXCEPT FOR BACK-UP PURPOSES); RENT, LEAST, 
  89. TRANSFER OR OTHERWISE TRANSFER RIGHTS TO THE SOFTWARE; OR REMOVE
  90. ANY PROPRIETARY NOTICES OR LABELS ON THE SOFTWARE.

  92. NO OTHER WARRANTIES. 
  93. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TOBEST, INC.
  94. DISCLAIMS ALL OTHER WARRANTIES, EITHER EXPRESS OR IMPLIED, 
  95. INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANT-
  96. ABILITY AND FITNESS FOR A PARTICULAR PURPOSE, WITH REGARD TO THE 
  97. SOFTWARE PRODUCT. THIS LIMITED WARRANTY GIVES YOU SPECIFIC LEGAL
  98. RIGHTS. YOU MAY HAVE OTHERS, WHICH VARY FROM STATE/JURISDICTION 
  99. TO STATE/JURISDICTION.
  100.  
  101. NO LIABILITY FOR CONSEQUENTIAL DAMAGES. 
  102. THIS SOFTWARE IS PROVIDED ON AN 'AS IS' BASIS, WITHOUT WARRANTY 
  103. OF ANY KIND, INCLUDING WITHOUT LIMITATION THE WARRANTIES OF 
  104. MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-
  105. INFRINGEMENT. THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE 
  106. OF THE SOFTWARE IS BORNE BY YOU AND NOT TOBEST, INC. OR ANY OF 
  107. ITS AGENTS/RESELLERS. SHOULD THE SOFTWARE PROVE DEFECTIVE, YOU 
  108. AND NOT TOBEST, INC. ASSUME THE ENTIRE COST OF ANY SERVICE 
  109. AND/OR REPAIR.
  110.  
  111. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT 
  112. SHALL TOBEST, INC. OR ITS SUPPLIERS BE LIABLE FOR ANY SPECIAL, 
  113. INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER 
  114. (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS 
  115. PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION,
  116. LOSS OF DATA, OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF THE USE
  117. OF OR INABILITY TO USE THE SOFTWARE PRODUCT, EVEN IF TOBEST, INC.
  118. HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. BECAUSE SOME
  119. STATES AND JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION
  120. OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE 
  121. LIMITATION MAY NOT APPLY TO YOU.
