  1. SOFTWARE USE AND DISTRIBUTION LICENSE AGREEMENT
  2.  
  3. IMPORTANT:  By opening this package or installing, distributing or using
  4. the Software, you agree to the terms of this Agreement.  Do not open this
  5. package until you have carefully read and agreed to the following terms and
  6. conditions.  If you do not agree to the terms of this Agreement, promptly
  7. return the unopened package.
  8.  
  9. Please Also Note:
  10. - If you are an OEM, the complete LICENSE AGREEMENT applies
  11. - If you are an End-User, Exhibit A, the INTEL LICENSE AGREEMENT, applies
  12.  
  13. Subject to the terms of this Agreement, Intel grants You the right to copy
  14. and distribute the enclosed software ("Software"):
  15. 1.1     LIMITED COPYRIGHT LICENSE: Subject to the terms of this Agreement,
  16.     Intel grants to You a nonexclusive, nontransferable, worldwide,
  17.     fully paid-up license under Intel copyrights to:
  18.     a)      reproduce Software internally for Your own development and
  19.     maintenance purposes; and
  20.     b)      reproduce and distribute Software to Your end-users, but
  21.     only under a license agreement with terms at least as
  22.     restrictive as those contained in Intel's End-User  License
  23.     Agreement, attached as Exhibit A; and
  24.     c)      modify, copy and distribute the end-user documentation
  25.     which may accompany the Software.
  26. 1.2     You shall not otherwise assign, sublicense, lease, or in any other
  27.     way transfer or disclose Software to any third party.
  28. 1.3     You shall not reverse- compile, disassemble or otherwise
  29.     reverse-engineer the Software.
  30. 1.4     If You are not the final manufacturer or vendor of a computer
  31.     system incorporating the Software, then You may transfer a copy of
  32.     the Software (and related end-user documentation) to Your recipient
  33.     for use in accordance with the terms of this Agreement, provided
  34.     such recipient agrees to be bound by the terms hereof.
  35. 1.5     Except as stated in this Section 1, no license or right is granted
  36.     to You directly or by implication, estoppel or otherwise.

  38. 2.      ADDITIONAL CONDITIONS
  39. 2.1     Software and all copies of each are and will remain the property of
  40.     Intel or its suppliers.  You will reproduce and include all
  41.     copyright, proprietary information notices, or other notices
  42.     appearing on Software on all copies.
  43. 2.2     If You distribute Software to the U.S. Government or contractor, You
  44.     must include the following legend on the distributed copies):
  45.     "Use, duplication, and disclosure by the Government is subject to
  46.     restrictions set forth in FAR 52.227-14, DFARS 252.227-7013 or
  47.     their successors."

  49. 3.      CONFIDENTIALITY
  50. 3.1     If You wish to have a third party consultant or subcontractor
  51.     ("Contractor") perform work which involves access to Software, You
  52.     shall obtain a written confidentiality agreement from the
  53.     Contractor which contains terms and obligations with respect to
  54.     Software no less restrictive than those set forth in this Agreement
  55.     and excluding any distribution rights.
  56. 3.2     You may not disclose the terms or existence of this Agreement or
  57.     use Intel's name in any publications, advertisements, or other
  58.     announcements without Intel's prior written consent.  You do not
  59.     have any rights to use Intel's trademarks.
  60.  
  61. 4.      AUDIT RIGHTS
  62.     Intel shall have the right to inspect or have an independent
  63.     auditor inspect Your relevant records to verify Your compliance
  64.     with the terms and conditions of this Agreement.
  65.  
  66. 5.      LIMITED WARRANTY AND DISCLAIMERS
  67. 5.1     IF THE MEDIUM ON WHICH THE SOFTWARE IS PROVIDED IS FOUND TO BE
  68.     DEFECTIVE WITHIN NINETY (90) DAYS OF INTEL'S DELIVERY, INTEL WILL
  69.     REPLACE IT.  
  70. 5.2     EXCEPT FOR SECTION 5.1 ABOVE, INTEL MAKES NO WARRANTY OF ANY
  71.     KIND REGARDING  THE SOFTWARE.  THE SOFTWARE IS LICENSED TO YOU ON
  72.     AN "AS IS" BASIS AND INTEL WILL NOT PROVIDE ANY SUPPORT,
  73.  
  74.     ASSISTANCE, INSTALLATION, TRAINING OR OTHER SERVICES.  INTEL WILL
  75.     NOT PROVIDE ANY UPDATES, ENHANCEMENTS OR EXTENSIONS.  INTEL
  76.     SPECIFICALLY DISCLAIMS ANY IMPLIED WARRANTIES OF MERCHANTABILITY,
  77.     NON- INFRINGEMENT AND FITNESS FOR A PARTICULAR PURPOSE.  
  78. 5.3     NO LIABILITY: INTEL SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT,
  79.     SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGE OF ANY KIND, INCLUDING
  80.     BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF USE, OR LOSS OF DATA,
  81.     ARISING UNDER THIS AGREEMENT, EVEN IF ADVISED OF THE POSSIBILITY OF
  82.     SUCH DAMAGES.
  83. 5.4     NO INDEMNIFICATION.  The Software is provided "AS IS", and Intel 
  84. specifically disclaims any warranty or representation that use of the Software 
  85. will not infringe any intellectual property rights of any third party.
  86.  
  87. 6.      TERM AND TERMINATION
  88. 6.1     You may terminate this Agreement and the license granted herein at 
  89. any time by notifying Intel in writing.  If You fail to abide by the material 
  90. provisions of this Agreement, Intel may immediately    terminate this Agreement 
  91. by written notice to You.  Intel's right to terminate is in addition to any 
  92. other rights Intel may have.
  93. 6.2     If this Agreement is terminated for any reason, You will cease 
  94. distribution of Software copies and within thirty (30) days following 
  95. termination, either return to Intel or destroy all copies of Software and 
  96. certify to Intel that they have been destroyed.
  97.  
  98. 7.      GENERAL
  99. 7.1     This Agreement shall be governed by the laws of the United States and 
  100. the State of Delaware excluding its conflict of laws provisions.
  101. 7.2     The Software may be controlled for export purposes by the U.S. 
  102. Government.  You will not export, either directly or indirectly, any Software 
  103. without Intel's prior consent and without first    obtaining any required 
  104. license or other approval from the U.S.    Department of Commerce or any other 
  105. agency or department of the United States Government as required.  
  106. 7.3     This is the entire agreement between You and Intel relating to this 
  107. subject matter, and no amendments or modifications will be effective unless 
  108. in a writing signed by authorized representatives of both parties.
  109. 7.4     You may not assign this Agreement or any part of it except with Intel's 
  110. prior written consent.

  116. INTEL LICENSE AGREEMENT 
  117.  
  118. IMPORTANT:  By opening this package or installing or using the Software, you 
  119. agree to the terms of this Agreement.  Do not open this package until you have 
  120. carefully read and agreed to the following terms and conditions.  If you do 
  121. not agree to the terms of this Agreement, promptly return the unopened package.
  122.  
  123. LICENSE:  Intel grants you the right to copy the software on the enclosed disc 
  124. ("Software") onto a single computer for Your internal use.  You will not use, 
  125. copy, modify, sell or transfer any part of the Software except as provided in 
  126. this Agreement.  Other rights may be granted to you in writing inside the 
  127. package.
  128.  
  129. RESTRICTIONS: Except as specifically permitted in writing, you shall not:
  130. 1. Copy the Software except as provided in this Agreement.
  131. 2. Sublicense or permit simultaneous use of the Software by more than one user.
  132. 3. Distribute, transfer or otherwise provide the software to a third party 
  133. except as provided in this Agreement.
  134. 4. Reverse engineer, decompile, or disassemble the Software.
  135.  
  136. OWNERSHIP AND COPYRIGHT OF SOFTWARE:  Title to the Software and all copies 
  137. thereof remain with Intel or its suppliers.  The Software is copyrighted and 
  138. is protected by United States copyright laws and international treaty 
  139. provisions.  You will not remove the copyright notice from the Software. You 
  140. agree to prevent any unauthorized copying of the Software.  Except as expressly 
  141. provided herein, Intel does not grant any express or implied right to you under 
  142. Intel patents, copyrights, trademarks, or trade secret information.
  143.  
  144. LIMITATION OF LIABILITY:  THE SOFTWARE IS PROVIDED "AS IS" WITHOUT ANY EXPRESS 
  145. OR IMPLIED WARRANTY OF ANY KIND INCLUDING WARRANTIES OF 
  146. MERCHANTABILITY, NON-INFRINGEMENT OR FITNESS FOR ANY PARTICULAR  
  147. PURPOSE.  IN NO EVENT SHALL INTEL OR ITS SUPPLIERS BE LIABLE FOR ANY 
  148. DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR 
  149. LOSS OF PROFITS, BUSINESS INTERRUPTION, LOSS OF INFORMATION,) ARISING 
  150. OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF INTEL HAS 
  151. BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.  BECAUSE SOME 
  152. JURISDICTIONS PROHIBIT THE EXCLUSION OR LIMITATION OF LIABILITY FOR 
  153. CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT 
  154. APPLY TO YOU.
  155.  
  156. TRANSFER:  You may transfer the Software if the recipient agrees to the terms 
  157. of this Agreement and you retain no full or partial copies of the Software and 
  158. accompanying documentation on any media.  Transfer of the license ends Your 
  159. right to use the Software.
  160.  
  161. U.S. GOVERNMENT RESTRICTED RIGHTS:  The Software and documentation are provided 
  162. with "RESTRICTED RIGHTS."  Use, duplication or disclosure by the Government 
  163. is subject to restrictions as set forth in FAR52.227- 14 and DFAR252.227-7013 
  164. et seq.  or its successor.  Use of this Software by the Government constitutes 
  165. acknowledgment of Intel's proprietary rights in the Software.
  166.  
  167. APPLICABLE LAWS:  This Agreement is governed by the laws of the state of 
  168. Delaware and the U.S.A.  You may not export the Software in violation of U.S. 
  169. export laws and regulations.
