  1. EUDORA VERSION 4.3.2 SOFTWARE LICENSE AGREEMENT

  3. QUALCOMM INCORPORATED ("QUALCOMM") IS WILLING TO LICENSE
  4. VERSION 4.3.2 OF ITS EUDORA« SOFTWARE AND THE ACCOMPANYING
  5. DOCUMENTATION (THE "SOFTWARE") TO YOU ONLY ON THE CONDITION
  6. THAT YOU ACCEPT ALL OF THE TERMS IN THIS AGREEMENT. PLEASE
  7. READ THE TERMS CAREFULLY. BY CLICKING ON THE "YES" BUTTON
  8. BELOW YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT,
  9. UNDERSTAND IT AND AGREE TO BE BOUND BY ITS TERMS AND
  10. CONDITIONS. IF YOU DO NOT AGREE TO THESE TERMS, QUALCOMM IS
  11. UNWILLING TO LICENSE THE SOFTWARE TO YOU. YOU SHOULD CLICK
  12. ON THE "NO" BUTTON TO DISCONTINUE THE INSTALLATION PROCESS.

  14. 1. LICENSE.  Qualcomm hereby grants you a nonexclusive 
  15. license to install and use the Software in machine-
  16. readable form on a single computer for use by a single 
  17. individual. You may copy the Software only for backup 
  18. purposes, provided that you reproduce all copyright and 
  19. other proprietary notices that are on the original copy 
  20. of the Software.
  21.  
  22. 2. RESTRICTIONS. Qualcomm retains all right, title, and 
  23. interest in and to the Software, and any rights not 
  24. granted to you herein are reserved by Qualcomm. You may 
  25. not reverse engineer, disassemble, decompile, or 
  26. translate the Software, or otherwise attempt to derive 
  27. the source code of the Software, except to the extent 
  28. allowed under any applicable law.  If applicable law 
  29. permits such activities, any information so discovered 
  30. must be promptly disclosed to Qualcomm and shall be 
  31. deemed to be the confidential proprietary information of 
  32. Qualcomm. Any attempt to transfer any of the rights, 
  33. duties or obligations hereunder is void. You may not 
  34. rent, lease, loan, or resell for profit the Software, or 
  35. any part thereof. You may not reproduce, distribute, 
  36. publicly perform or publicly display the Software except 
  37. as expressly permitted under Section 1, and you may not 
  38. create derivative works of the Software.

  40. 3. PRIVACY STATEMENT.  The Eudora Privacy Statement found 
  41. online at <http://www.eudora.com/privacy>, is 
  42. incorporated herein by reference.
  43.  
  44. 4. SUPPORT.  Registered users of the Software are entitled 
  45. to Qualcomm's standard support services, as such services 
  46. are modified from time to time in Qualcomm's discretion.
  47.   
  48. 5. NO WARRANTY. THE SOFTWARE IS PROVIDED "AS IS" AND 
  49. WITHOUT ANY WARRANTY OR CONDITION, WHETHER EXPRESS, 
  50. IMPLIED OR STATUTORY.  Some jurisdictions do not allow 
  51. the disclaimer of implied warranties, so the foregoing 
  52. disclaimer may not apply to you.  This warranty gives you 
  53. specific legal rights and you may also have other legal 
  54. rights which vary from state to state.

  56. 6. LIMITATION OF LIABILITY.  IN NO EVENT WILL QUALCOMM OR
  57. ITS SUPPLIERS BE LIABLE FOR FOR ANY LOST PROFITS OR OTHER 
  58. CONSEQUENTIAL, INCIDENTAL OR SPECIAL DAMAGES (HOWEVER 
  59. ARISING, INCLUDING NEGLIGENCE) IN CONNECTION WITH THE 
  60. SOFTWARE OR THIS AGREEMENT, EVEN IF QUALCOMM HAS BEEN 
  61. ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.  In no event 
  62. will Qualcomm's liability in connection with the 
  63. Software, regardless of the form of action, exceed $100.  
  64. Some jurisdictions do not allow the foregoing limitations 
  65. of liability, so the foregoing limitations may not apply 
  66. to you.

  68. 7. TERM AND TERMINATION.  This Agreement shall continue
  69. until terminated. You may terminate the Agreement at any
  70. time by deleting all copies of the Software.  This license 
  71. terminates automatically if you violate any terms of the 
  72. Agreement.  Upon termination you must promptly delete all 
  73. copies of the Software.  Sections 2, 5, 6, 10 and 11 
  74. shall survive termination.

  76. 8. EXPORT.  You may not download or otherwise export or 
  77. re-export the Software except in full compliance with all 
  78. applicable laws and regulations. By accepting this 
  79. agreement you represent and warrant that you: (a) 
  80. understand that the Software is subject to export 
  81. controls under the EAR, (b) are not located in a 
  82. prohibited destination country under the EAR or U.S. 
  83. sanctions regulations (currently Cuba, Iran, Iraq, Libya, 
  84. North Korea, Sudan, Syria, the Federal Republic of 
  85. Yugoslavia (including Serbia but not Kosovo or 
  86. Montenegro), and Taliban controlled areas of 
  87. Afghanistan), (c) are not a Denied Party, Specially 
  88. Designated National, or other person or entity prohibited 
  89. from receiving exports / re-exports  by U.S. law; and (d) 
  90. will not export, re-export, or transfer the Software to 
  91. any prohibited destination entity or individual without 
  92. the necessary export license(s) or authorization(s) from 
  93. the U.S. Government.

  95. 9. CONTRACTING PARTIES.  If the Software is installed on 
  96. computers owned by a corporation or other legal entity, 
  97. then this Agreement is formed by and between Qualcomm and 
  98. such entity. The individual executing this Agreement 
  99. represents and warrants to Qualcomm that they have the 
  100. authority to bind such entity to the terms and conditions 
  101. of this Agreement.

  103. 10. INDEMNITY. You agree to defend and indemnify QUALCOMM 
  104. Incorporated against all claims, losses, liabilities, 
  105. damages, costs and expenses, including attorney's fees, 
  106. which QUALCOMM may incur in connection with your breach 
  107. of this Agreement.
  108.  
  109. 11. GENERAL.  The Software is a "commercial item."  This 
  110. Agreement is governed and interpreted in accordance with 
  111. the laws of the State of California without giving effect 
  112. to its conflict of laws provisions.  The United Nations 
  113. Convention on Contracts for the International Sale of 
  114. Goods is expressly disclaimed.  Any claim arising out of 
  115. or related to this Agreement must be brought exclusively 
  116. in a federal or state court located in San Diego County, 
  117. California and you consent to the jurisdiction of such 
  118. courts. If any provision of this Agreement shall be 
  119. invalid, the validity of the remaining provisions of this 
  120. Agreement shall not be affected.  This Agreement is the 
  121. entire and exclusive agreement between Qualcomm and you 
  122. with respect to the Software and supersedes all prior 
  123. agreements (whether written or oral) and other 
  124. communications between Qualcomm and you with respect to 
  125. the Software.
