  2.                 Software/Source Code License Agreement

  4. General Terms

  6. As a licensee of our products you are legally bound by this license
  7. agreement, its terms and conditions. The software, source code and
  8. documentation which you have/will acquired is the legal intellectual
  9. property of M Squared Technologies and is protected by the copy right
  10. laws of the United States and international copy right treaties. The
  11. possession and use of this Software and Documentation is subject to the
  12. restrictions contained in this license agreement.

  14. You, the licensee, are explicitly licensed to the type of license identified
  15. under license type. This license is non-transferable to any other party
  16. other than the licensee.
  17.  
  18. The source code provided with this software (if applicable) is for
  19. re-compilation only. You may NOT modify, print, publish, sell, give away
  20. or distribute this product in any manner, shape or form. Failure to comply
  21. with this provision will void this License agreement, product support and
  22. result in prosecution. M Squared Technologies reserves all rights not
  23. expressly granted to the licensee.

  25. This License will become effective on the date you acquire the Software
  26. and will remain in force until terminated. You may terminate this License
  27. at any time by destroying the Documentation, Source Code and all binary
  28. executables, object code or images built from said source, together with
  29. all copies and adaptations. This License shall automatically terminate if
  30. you breach any of the terms or conditions. You agree to destroy all the
  31. originals and all copies of the Software and Documentation, or return
  32. them to M Squared Technologies upon termination of the License.

  34. Governing Laws

  36. Except as otherwise restricted by law, this License shall be governed by,
  37. and interpreted in accordance with, the laws of the State of Florida of the
  38. United States of America, without regard to Laws of Florida governing
  39. conflicts of law. Furthermore, it is understood that this License shall be
  40. treated as though it was executed in the State of Florida. The parties
  41. agree that any action relating to this License shall be prosecuted in the
  42. courts of competent jurisdiction in the locale of M Squared Technologies.

  44. Entire License
  45.  
  46. This License sets forth the entire understanding of the License between
  47. you and M Squared Technologies and may be amended only in writing by
  48. both parties. No vendor, distributor, dealer, retailer, sales person or
  49. other person is authorized to modify this License or to make any
  50. warranty, promise or representation which is different than, or in addition
  51. to, the intent, representations or promises of this license.

  53. Ownership of Software
  54.  
  55. Title to all copies of the Software remains with M Squared Technologies.
  56. M Squared Technologies is the original author, the sole distributor and
  57. legal owner of its Software products. M Squared Technologies warrants
  58. its sole authority to grant the license of its Software to the licensee.
  59.  
  60. Satisfaction Guaranteed
  61.  
  62. If you are not 100% satisfied with the licensed Software, M Squared
  63. Technologies entire liability and your exclusive remedy shall be to
  64. remove the Software from your computer and return it to M Squared
  65. Technologies in the original format within 30 days of the licensed date for
  66. a full refund.
  67.  
  68. Limited Media Warranty
  69.  
  70. If the Software has been delivered by M Squared Technologies on
  71. physical media, M Squared Technologies warrants the media to be free
  72. from material physical defects for a period of 30 days. If such a defect is
  73. found, return the media to M Squared Technologies for replacement or
  74. alternate delivery of the Software.
  75.  
  76. Support
  77.  
  78. M Squared Technologies will provide technical support for licensed
  79. Software for one year from the date of license. Requests for support must
  80. be submitted with the license number. Requests for support should be
  81. submitted by Email or FAX with written documentation as to the specific
  82. nature of the question or problem to ensure it is clearly understood. M
  83. Squared Technologies will make every reasonable effort to fully resolve
  84. questions and problems arising from use of its Software.

  86. Purchased Maintenance Agreement
  87.  
  88. A one-year maintenance agreement includes email support, minor and
  89. major version updates for the maintained software product for the
  90. duration of the paid maintenance period.
  91.  
  92. Disclaimer of Warranties
  93.  
  94. Except as expressly provided above, the Software and Services are
  95. provided "as-is" and, to the maximum extent permitted by applicable law.
  96. M Squared Technologies disclaims all other warranties, express or
  97. implied, regarding the Software or Services, disk and related materials,
  98. including their fitness for a particular purpose, their quality, their
  99. merchantability, or their non-infringement. M Squared Technologies does
  100. not warrant that the Software or Services are free from bugs,
  101. interruption, errors, or other program limitations. All warranties or
  102. guarantees given or made by M Squared Technologies with respect to
  103. the Software of Services (1) are for the benefit of the licensee and are not
  104. transferable, and (2) shall be null and void if a licensee breaches any
  105. terms or conditions of this Agreement.
  106.  
  107. Limitation of Liability and Damages
  108.  
  109. The entire liability of M Squared Technologies for any reason shall be
  110. limited to the amount paid by the licensee for the Software. In no event
  111. shall M Squared Technologies be liable for any damages whatsoever
  112. (including, without limitation, lost profits, business interruption, or lost
  113. information) arising out of the use of or inability to use the Software, even
  114. if M Squared Technologies has been advised of the possibility of such
  115. damages. Some jurisdictions prohibit exclusion or limitation of liability for
  116. implied warranties or consequential or incidental damages, so the above
  117. limitations may not apply to you. You may also have other legal rights
  118. that vary from jurisdiction to jurisdiction.
