  8.         This Agreement is effective as of the day payment is received,
  9.         by and between Motor City Software (hereinafter "Originator")
  10.         a private software development partnership, having an address for
  11.         purposes of this Agreement at 1320 Mary St N #105, Oshawa Ontario
  12.         Canada, L1G-6Y9
  13.

  19.                having an address for purposes of this Agreement at:

  28.                               WITNESSETH:
  29.  
  30. WHEREAS, Originator is the owner of all U.S. [and foreign] copyrights and other
  31. proprietary rights in JPDoor and related Documentation that are the subject of
  32. this Agreement; and
  33.  
  34. WHEREAS, each party hereto represents that is is ready, willing, and able to
  35. undertake the responsibilities and obligations set forth in this Agreement,
  36. and that it possesses the rights, resources, and capabilities to perform its
  37. responsibilities under this Agreement:
  38.  
  39. NOW, THEREFORE, in consideration of the premises, and of the obligations
  40. herein made and undertaken, the parties hereto do hereby covenant and agree
  41. as follows:
  42.  
  43. Section 1
  44.  
  45.         DEFINITIONS
  46.  
  47. For the purposes of this Agreement, the definitions set forth in this section
  48. shall apply to the respective capitalized terms:
  49.  
  50. 1.1     "Agreement" This Agreement, including any exhibits attached hereto.
  51.  
  52. 1.2     "Code" Computer programming Code, including source Code (human-
  53.         readable), and object Code (machine-readable).
  54.  
  55. 1.3     "Documentation" The printed material relating to the use of the
  56.         Originator's original Product.
  57.  
  58. 1.4     "Error" A defect in the Code or a mistake in the Documentation that
  59.         prevents the Code from functioning in material conformity with the
  60.         specifications.

  66. 1.5     "Error Correction" A change to the Code or the Documentation that is
  67.         in a form that allows its application to the Code or inclusion in the
  68.         Documentation to reestablish material conformity with the
  69.         specifications. All Error Correction shall be considered part of the
  70.         Code and Documentation for all purposes under this Agreement.
  71.  
  72. 1.6     "Derivative Work" A work that is based upon one or more preexisting
  73.         works, such as a revision, modification, translation, abridgement,
  74.         condensation, expansion, or any other form in which such a preexisting
  75.         work may be recast, transformed, or adapted, and that, if prepared
  76.         without authorization by the owner of the preexisting work, would
  77.         constitute a copyright infringement.
  78.  
  79. 1.7     "Enhancement" A change or addition to the Code or Documentation, other
  80.         than an Error Correction, that improves its functions, or substantially
  81.         enhances its performance. Enhancements shall not include programs that
  82.         have a value and utility seperate from the use of the Code and that,
  83.         as a practical matter, may be priced and offered seperately from the
  84.         Code.

  86. 1.8     "Product" Computer programs that contain, or are Derivative Works of,
  87.         the Code, or any subset thereof, and that are in marketable form
  88.         (with appropriate end-user Documentation) by Developer and are offered
  89.         by Developer to its customers or potential customers, in object Code
  90.         form, under the terms of the Developer License.
  91.  
  92. 1.9     "Authorized End-User Copy" A copy of a Product that may be used by
  93.         customers or Developer under the Developer licence. Backup copies
  94.         for use only in the event of loss or destruction of an Authorized
  95.         End-User Copy are not counted as Authorized End-User Copies.
  96.  
  97. 1.10    "Developer License" A license Agreement between Developer and
  98.         Developer's customers under which copies of this Product will be
  99.         provided to customers. The Developers License shall contain terms
  100.         limiting the use of Products to designated Central Processing Units
  101.         (CPUs), shall allow only one backup copy for each CPU, shall prohibit
  102.         further copying and/or transfer of the Products by such customers, and
  103.         shall prohibit reverse assembly, reverse compiling, or reverse
  104.         engineering of the Products.
  105.  
  106. 1.11    "Agreement Territory" The United States of America and Canada
  107.  
  108.  
  109.  
  110. Section 2
  111.  
  112.         ORIGINATOR'S OBLIGATIONS
  113.  
  114. 2.1     Originator shall deliver to Developer 1 copy of the Code (in object
  115.         and source Code form) and 1 copy of the Documentation within 14 days
  116.         after receipt of this signed Agreement by Originator. Said copies shall
  117.         be contained either in printed form or on a storage media that is
  118.         machine readable on Developer's computer system.
  119.  
  120. 2.2     Originator shall provide support services in accordance with section 9
  121.         hereof for the Code and Documentation for purposes of development,
  122.         training, and demonstrations relating to the Products.
  123.  
  124. 2.3     Originator shall offer Enhancements as proposed additions to the Code
  125.         and Documentation in accordance with section 6 hereof.

  131. Section 3
  132.  
  133.         DEVELOPER'S OBLIGATIONS
  134.  
  135. 3.1     Developer shall evaluate and test the Code and Documentation to
  136.         determine suitability for use in the creation of the Products.
  137.  
  138. 3.2     Except as otherwise provided in this Agreement, Developer shall assume
  139.         all responsibility and liability to customers with respect to the
  140.         Products and, in accordance with section 9, shall assume all
  141.         responsibility and liability for related support and assistance.
  142.  
  143. 3.3     Developer shall pay royalties to Originator in accordance with
  144.         section 5.

  147. Section 4
  148.  
  149.         GRANT OF LICENSE
  150.  
  151. 4.1     Originator hereby grants to Developer, in the Agreement Territory,
  152.         a non-exclusive right and license:
  153.  
  154.   a.    To use and reproduce the Code and Documentation, and to prepare
  155.         Derivative Works thereof, in the object Code or source Code form,
  156.         for the purposes of development, technical support, maintenance,
  157.         and warranty service of Products;
  158.  
  159.   b.    To Use, reproduce, or display and sell, lease, or otherwise distribute
  160.         copies of the Code and Documentation, or Derivative Works, thereof, in
  161.         object Code form only, as Products or parts of Products, for the
  162.         purpose of marketing Products to customers of Developer under the
  163.         terms of the Developer License; and
  164.  
  165.   c.    To use and copy the Code and Documentation, or deivative works thereof
  166.         for the purpose of marketing, training, and demonstrations with respect
  167.         to the Products.

  171. Section 5
  172.  
  173.         ROYALTIES AND PAYMENT
  174.  
  175. 5.1     Developer shall pay to Originator, prior to the delivery of Code and
  176.         Documentation, the following indicated amounts as non-refundable
  177.         advance royalties:

  182.         Documentation   $ 0.00
  183.  
  184.         Such advance royalties shall be deemed as payment in full for the term
  185.         of this Agreement.

  194. Section 6
  195.  
  196.         AVAILABILITY OF ENHANCEMENTS
  197.  
  198. 6.1     Originator may from time to time offer Enhancements, to the extent
  199.         developed or acquired by Originator, to Developer for inclusion in
  200.         the Code and Documentation. If the parties agree on inclusion of any
  201.         Enhancements, appropriate changes and royalty provisions shall be set
  202.         forth in a written ammendment to this Agreement, and thereupon the
  203.         Enhancements shall become part of the Code and Documentation for
  204.         purposes of this Agreement.

  206.  
  207. Section 7
  208.  
  209.         LIMITED WARRANY AND LIMITATION OF LIABILITY
  210.  
  211. 7.1     Originator warrants that it is the exclusive owner of all U.S. [and
  212.         foreign] copyrights in the Code and Documentation and that it has
  213.         all rights necessary for the grant of the right and license granted
  214.         by this Agreement.
  215.  
  216. 7.2     The Code is provoded "as is" for Developer's evaluation and, as between
  217.         the parties. Developer assumes the responsibility for determining the
  218.         suitability of the Code, or its use in Products, and for results
  219.         obtained. Originator makes no warranty that all Errors have been, or
  220.         can be eliminated from the Code or Documentation, except as expressly
  221.         stated above, and Originator shall in no event be responsible for
  222.         losses of any kind resulting from the use of the Code or the
  223.         Documentation in Products, including (without limitation) any liability
  224.         for business expense, machine downtime, or damages caused by Developer
  225.         or Developer's customers by any deficiency, defect, Error, or
  226.         malfunction.
  227.  
  228. 7.4     EXCEPT AS SPECIFICALLY SET FORTH HEREIN, ORIGINATOR DISCLAIMS ALL
  229.         WARRANTIES, EXPRESS OR IMPLIED, ARISING OUT OF OR RELATING TO THE
  230.         CODE OR DOCUMENTATION OR ANY USE THEREOF, INCLUDING (WITHOUT
  231.         LIMITATION) ANY WARRANTY WHATSOEVER AS TO THE FITNESS FOR A PARTICULAR
  232.         USE OR THE MERCHANTABILITY OF THE CODE OR DOCUMENTATION.
  233.  
  234. 7.5     In no event shall Originator be held liable to Developer or Developer's
  235.         customers for any indirect, special, or incidental, or consequential
  236.         damages (including lost profits).

  239. Section 8
  240.  
  241.         OBLIGATION FOR EXPENSES
  242.  
  243. 8.1     Originator shall have no obligation or requirement whatsoever to
  244.         reimburse Developer for any expenses or costs incurred by Developer
  245.         in the performance of, or otherwise by reason of, this Agreement.
  246.         Developer's incurring of costs or expenses under this Agreement is made
  247.         at its sole risk and upon its independant business judgement that such
  248.         costs and expenses are appropriate.

  254. Section 9
  255.  
  256.         SUPPORT SERVICES
  257.  
  258. 9.1     Originator shall provide, during the term of this Agreement, the
  259.         following support services to Developer:
  260.  
  261.   a.    Initial reasonable technical support. Originator, upon request by
  262.         Developer shall deem whether an attempt to provide technical support
  263.         is warranted. The source Code and Documentation provided by this
  264.         Agreement are provided to Developer "as is" for the sole purpose of
  265.         use by Developer.
  266.  
  267.   b.    Reasonable efforts to prepare Error Correction of the Code upon
  268.         reasonable notice of the nature of any identified Errors.
  269.  
  270.  
  271. Section 10
  272.  
  273.         MARKING OF PRODUCTS
  274.  
  275. 10.1    All Code and Documentation (including any Enhancements) shall be
  276.         marked to include Originator's copyright notice. All Products offered
  277.         by Developer may mark with its own copyright notice, and register
  278.         any Derivative Works of the Code or Documentation prepared by Developer
  279.         provided that appropriate identification is made in such notice and
  280.         such registrations of Originator's preexisting works. The parties agree
  281.         to cooperate in any such registration and to provide necessary
  282.         information and prepare to deliver duly executed documents reasonably
  283.         required in such regard.

  286. Section 11
  287.  
  288.         TERM OF AGREEMENT
  289.  
  290. 11.1    The term of this Agreement shall commence on the effective date and
  291.         continue for a period of 1 year, unless sooner terminated under
  292.         Section 12.

  295. Section 12
  296.  
  297.         TERMINATION: EFFECT OF TERMINATION
  298.  
  299. 12.1    This Agreement shall terminate automatically upon expiration of its
  300.         term, unless extended or renewed in writing by the parties hereto.
  301.  
  302. 12.2    Should either party commit a material breach in its obligations
  303.         hereunder, or should any of the representations of either party
  304.         prove to be untrue in any material respect, the other party may,
  305.         at its option, terminate this Agreement by 30 days written notice
  306.         to the other party. Such notice shall identify and describe the
  307.         default upon which termination is based. The defaulting party shall
  308.         have 30 days to cure such default, which, if effected, shall prevent
  309.         termination by virtue of such default.
  310.  
  311. 12.3    Upon termination of this Agreement, Developer shall immediately cease
  312.         use of the Code and Documentation, and any Derivative Works thereof,
  313.         and shall make no further copies of any of the foregoing.

  319. 12.4    Notwithstanding the foregoing, and notwithstanding termination of this
  320.         Agreement, Developer shall retain the right to continue to support
  321.         Authorized End-User Copies that have been completed, marketed, and
  322.         installed persuant to the Developer License prior to the effective
  323.         date of termination, subject to continued payment of applicable
  324.         royalties to Originator as provided in section 9.

  327. Section 13
  328.  
  329.         INDEMNIFICATION
  330.  
  331. 13.1    Originator agrees to, and does hereby, indemnify and hold harmless
  332.         Developer from any and all claims, demands, or actions alleging that
  333.         the Code or Documentation (including any Enhancements), in the form
  334.         delivered by Owner, infringes or abridges, any third-party rights in
  335.         trade secret, or other intellectual property rights.
  336.  
  337. 13.2    Developer agrees to, and does hereby indemnify and hold harmless
  338.         Originator from any and all claims, demands, or actions from or
  339.         relating to Products, or use by customers of Products, and based
  340.         on, or related to Developer's performance, nonperformance, infringement
  341.         of third-party intellectual property rights, representations or
  342.         statements made, or other actions with respect to Products.
  343.  
  344. 13.3    The foregoing indemnities shall be contingent upon the following:
  345.         The party seeking to enforce the indemnity against the other party
  346.         shall give written notice to the other party of any claim, demand,
  347.         or action for which indemnity is sought; shall fully cooperate in the
  348.         defence of settlement of any such claim, demand, or action; and shall
  349.         obtain the prior written Agreement of the indemnifying party to any
  350.         settlement or proposal of settlement.

  353. Section 14
  354.  
  355.         NO ASSERTION RIGHTS
  356.  
  357. 14.1    It is expressly understood and agreed that, as between Originator and
  358.         Developer, all rights, title, and interest in and to the Code and
  359.         Documentation (including any Enhancements) and any other material
  360.         furnished to Developer under this Agreement vests solely and
  361.         exclusively in the Originator, and Developer shall neither derive
  362.         nor assert any title or interests in or to such materials except for
  363.         the rights of use or licenses granted under this Agreement.

  365.  
  366. Section 15
  367.  
  368.         INDEPENDANT CONTRACTOR STATUS
  369.  
  370. 15.1    Developer is an independant contractor under this Agreement, and
  371.         nothing herein shall be construed to create a partnership, joint
  372.         venture, or agency relationship between the parties hereto.
  373.         Developer shall have no authority to enter into Agreements of any
  374.         kind on behalf of Originator and shall not have the authority or
  375.         power to bind or delegate Originator in any manner to any third party.

  382. Section 16
  383.  
  384.         NO CONFLICT OF INTEREST
  385.  
  386. 16.1    Developer represents and warrants that it has full power and
  387.         authority to undertake the obligations set forth in this Agreement
  388.         and that it has not entered into any other Agreements, nor will it enter
  389.         into any other Agreements that would render it incapable of
  390.         satisfactorily performing its obligations hereunder, or that would
  391.         place it in a position of conflict of interest or be inconsistent
  392.         or in conflict with its obligations hereunder.

  395. Section 17
  396.  
  397.         COMPLIANCE WITH LAW
  398.  
  399. 17.1    Developer agrees that it shall comply with all applicable laws and
  400.         regulations of government bodies, or agencies in its performance
  401.         under this Agreement.

  404. Section 18
  405.  
  406.         NO ASSIGNMENT
  407.  
  408. 18.1    Developer represents that it is acting on its own behalf, and is not
  409.         acting as an agent for, or on behalf of any third party, and further
  410.         agrees that it may not assign its rights or obligations under this
  411.         Agreement without the prior written consent of Originator.

  413.  
  414. Section 19
  415.  
  416.         NOTICES
  417.  
  418. 19.1    All notices and other communications required or permitted to be given
  419.         under this Agreement shall be in writing and shall be considered
  420.         effective when deposited in the U.S. or Canadian mail, postage prepaid,
  421.         and addressed to the appropriate party at the address noted above,
  422.         unless by such notice, a different address shall have been designated.

  425. Section 20
  426.  
  427.         GOVERNING LAW
  428.  
  429. 20.1    All questions concerning the validity, operation, interpretation, and
  430.         construction of this Agreement will be governed by, and determined in
  431.         accordance with the laws of the Province Of Ontario, Canada
  432.
