  1. Quarterdeck Corporation License Agreement
  2.  
  3. CAREFULLY READ THE TERMS AND CONDITIONS OF THIS AGREEMENT.  BY USING
  4. THE SOFTWARE, YOU ARE CONSENTING TO BE BOUND BY AND ARE
  5. BECOMING A PARTY TO THIS AGREEMENT.  IF YOU DO NOT AGREE TO ALL OF THE
  6. TERMS OF THIS AGREEMENT, DO NOT USE THE SOFTWARE.

  8. 1. Quarterdeck Corporation ("Quarterdeck") grants to you a limited,
  9. non-exclusive, non-sublicensable, non-transferable license to use this 
  10. version of the Global Chat Internet chat application (the "Software"), in
  11. binary executable form for evaluation and trial use purposes only.
  12.  
  13. 2. QUARTERDECK MAKES NO REPRESENTATIONS ABOUT THE SUITABILITY OF THIS
  14. SOFTWARE OR ABOUT ANY CONTENT OR INFORMATION MADE ACCESSIBLE BY THE
  15. SOFTWARE, FOR ANY PURPOSE.  THE SOFTWARE IS PROVIDED 'AS IS' WITHOUT
  16. EXPRESS OR IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY
  17. AND FITNESS FOR A PARTICULAR PURPOSE OR NONINFRINGEMENT.

  19. 3. All content accessed through the Software is the property of the
  20. applicable content owner and may be protected by applicable copyright
  21. law.  This License gives you no rights to such content.
  22.  
  23. 4. THE SOFTWARE IS PROVIDED WITHOUT CHARGE.  ACCORDINGLY, QUARTERDECK SHALL
  24. NOT BE LIABLE FOR ANY DAMAGES AT ALL, INCLUDING, BUT NOT LIMITED TO,
  25. CONSEQUENTIAL, INCIDENTAL, EXEMPLARY, PUNITIVE, OR ANY OTHER DAMAGES UNDER
  26. ANY CONTRACT, TORT, OR OTHER THEORY ARISING OUT OF OR RELATING TO THE USE
  27. OF THE SOFTWARE OR THIS AGREEMENT.

  29. 5. While Quarterdeck intends to distribute a commercial release of the
  30. Software, Quarterdeck reserves the right at any time not to release a
  31. commercial release of the Software or, if released, to alter prices,
  32. features, specifications, capabilities, functions, licensing terms,
  33. release dates, general availability or other characteristics of the
  34. commercial release.

  36. 6. Title, ownership rights, and intellectual property rights in and to
  37. the Software shall remain in Quarterdeck and/or its suppliers.  You agree
  38. to abide by the copyright law and all other applicable laws of the
  39. United States including, but not limited to, export control laws.  You
  40. acknowledge that the Software in source code form remains a
  41. confidential trade secret of Quarterdeck and/or its suppliers and
  42. therefore you agree not to modify the Software or attempt to decipher,
  43. decompile, disassemble, reverse engineer or otherwise attempt to derive
  44. source code from the Software, except to the
  45. extent applicable laws specifically prohibit such restriction.

  47. 7. Quarterdeck may terminate this License at any time by delivering notice to
  48. you and you may terminate this License at any time by destroying or erasing
  49. your copy of the Software.  Upon termination of this License, or in any
  50. event within thirty (30) days following Quarterdeck's release of a commercial
  51. version of the Software, you agree to destroy or erase the Software.  In
  52. the event of termination, the following sections of this License will
  53. survive: 2, 3, 4, 5, 6, 7, 8, 9 and 10.  This License is personal to you
  54. and you agree not to assign your rights herein.  This License shall be
  55. governed by and construed in accordance with the laws of the State of
  56. California and, as to matters affecting copyrights, trademarks and patents,
  57. by U.S.  federal law.  This License sets forth the entire agreement between
  58. you and Quarterdeck.

  60. 8. U.S. GOVERNMENT RESTRICTED RIGHTS.  The software and documentation are
  61. provided with RESTRICTED RIGHTS.  Use, duplication or disclosure by the
  62. U.S. Government is subject to restrictions as set forth in subparagraph (c)
  63. (1) (ii) of the Rights in Technical Data and Computer Software clause at
  64. DFAR 252.227-7013, Rights and Technical Data in Computer Software (October
  65. 1988); in subparagraphs (c) (1) and (2) of FAR 52.227-19, Commercial
  66. Computer Software - Restricted Rights (June 1987), or FAR 52.227-14, Rights
  67. in General Data Alternative III (June 1987), as applicable. [Quarterdeck
  68. reserves all rights under applicable international laws regarding use of

  71. 9. You may not download or otherwise export or reexport the Software or
  72. any underlying information or technology except in full compliance with
  73. all United States and other applicable laws and regulations.  In
  74. particular, but without limitation, none of the Software or underlying
  75. information or technology may be downloaded or otherwise exported or
  76. reexported (i) into (or to a national or resident of) Cuba, Haiti,
  77. Iraq, Libya, Yugoslavia, North Korea, Iran, or Syria or (ii) to anyone
  78. on the US Treasury Department's list of Specially Designated Nationals
  79. or the US Commerce Department's Table of Deny Orders.  By downloading
  80. the Software, you are agreeing to the foregoing and you are
  81. representing and warranting that you are not located in, under control
  82. of, or a national or resident of any such country or on any such list.

  84. 10. This agreement shall be governed by the laws of the State of California
  85. as applied to contracts entered into and performed entirely within
  86. California by residents of that state.  Each party to this agreement
  87. submits to the exclusive jurisdiction of the state and federal courts
  88. located in Los Angeles, California, USA.
