End-User Licence Agreement for CoCo Systems Shareware Software Products

IMPORTANT: COCO SYSTEMS LTD. ("COCO SYSTEMS") LICENCES THE
ENCLOSED SOFTWARE TO YOU ONLY UPON THE CONDITION THAT YOU ACCEPT
ALL OF THE TERMS CONTAINED IN THIS LICENCE AGREEMENT. PLEASE READ
THE TERMS CAREFULLY BEFORE INSTALLING OR USING THE SOFTWARE, AS
INSTALLING OR USING THE SOFTWARE WILL INDICATE YOUR ASSENT TO
THEM. IF YOU DO NOT AGREE TO THESE TERMS, THEN COCO SYSTEMS IS
UNWILLING TO LICENCE THE SOFTWARE TO YOU, IN WHICH EVENT YOU
SHOULD NOT RETAIN ANY COPY OF THE SOFTWARE.

LICENCE AND WARRANTY:

The software which accompanies this licence (the "Software") is the property
of CoCo Systems or its suppliers and is protected by U.K. copyright law,
international treaty provisions and all other applicable national laws. While
CoCo Systems continues to own the Software, you will have certain rights to
use the Software, for the limited period of fourteen days after your acceptance
of this licence. Except as may be modified by a licence addendum which
accompanies this licence, your rights and obligations with respect to the use
of this Software depend on whether you have registered your copy with CoCo
Systems or a CoCo Systems-authorised agent, and paid the requisite registration
fee. Your rights and obligations are then as follows:

1. If you have NOT registered your copy and paid the registration fee:

You may:

(i) install and use a copy of the Software on one or more computers for the
purposes of evaluation only, and for a period not exceeding fourteen days; and

(ii) transfer the Software to another person or entity for the purposes of
evaluation only, provided that the transferee agrees to the terms of this
agreement.

You may not:

(i) copy the documentation which accompanies the software.

(ii) continue to use any copy of the Software after the expiration of the
allowed fourteen day evaluation period;

(iii) sublicence, rent or lease any portion of the Software; or

(iv) reverse engineer, decompile, disassemble, modify, translate, make any
attempt to discover the source code of the Software, or create derivative
works from the Software.

2. If you HAVE registered your copy, AND paid the registration fee:

Permitted uses:

You may install and use the software in one of the following mutually-exclusive
ways:

(i) For use by one person only: you may install and use the Software on one or
more computers, none of which reside on a network, provided that you do not
use the Software on more than one computer at a time and provided that a
reasonable mechanism or process is in place that assures the Software may not
be used concurrently in more than one place at a time; or

(ii) For use by one or more persons: you may install and use the Software on a
single computer, whether on a network or not, provided that you have a
licensed copy of the Software for each computer that at any time accesses the
Software over that network.

You may also:

(i) make one copy of the Software for archival purposes, or copy the Software
onto the hard disk of your computer and retain the original for archival
purposes;

You may not:

(i) copy the documentation which accompanies the Software;

(ii) sublicence, rent or lease any portion of the Software;

(iii) reverse engineer, decompile, disassemble, modify, translate, make any
attempt to discover the source code of the Software, or create derivative
works from the Software; or

(iv) use a previous version or copy of the Software after you have received a
disk replacement set or an upgraded version as a replacement of the prior
version. Upon upgrading the Software, all copies of the prior version must be
destroyed.

Warranty Disclaimer:

The Software is supplied as is. CoCo Systems does not warrant that the
Software will meet your requirements or that operation of the Software will be
uninterrupted or that the Software will be error-free.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COCO SYSTEMS
DISCLAIMS ALL OTHER WARRANTIES, EITHER EXPRESS OR IMPLIED,
INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY
AND FITNESS FOR A PARTICULAR PURPOSE, WITH RESPECT TO THE SOFTWARE,
THE ACCOMPANYING WRITTEN MATERIALS AND ANY DISTRIBUTION MEDIA. THE
LIMITED WARRANTY CONTAINED HEREIN GIVES YOU SPECIFIC LEGAL RIGHTS.

Disclaimer of damages:

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COCO SYSTEMS
AND ITS SUPPLIERS SHALL NOT BE LIABLE FOR ANY OTHER DAMAGES
WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF
BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS
INFORMATION, OR OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OF OR
INABILITY TO USE THIS COCO SYSTEMS PRODUCT, EVEN IF COCO SYSTEMS
HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN ANY CASE,
COCO SYSTEMS' ENTIRE LIABILITY UNDER ANY PROVISION OF THIS
AGREEMENT SHALL BE LIMITED TO THE AMOUNT ACTUALLY PAID BY YOU FOR
THE SOFTWARE.

General:

This warranty does not affect the statutory rights of the consumer. This
agreement is covered by the laws of England. This agreement may only be
modified by a licence addendum which accompanies this licence or by a written
document which has been signed by both you and CoCo Systems.
