     1   Q.   But it would have been concerned with unions and there were
     2        disputes with unions at that time in San Francisco?

     4   MR. JUSTICE BELL:  Is Santa Barbra south of Los Angeles?
     5        A.  Yes, it is.

     7   Q.   And Los Angeles is 400 miles from San Francisco?
     8        A.  At least that, my Lord.

    10   MS. STEEL:  It is in the same State?
    11        A.  Yes.  It is a pretty long State.

    13   MR. JUSTICE BELL:  It is a very different area?
    14        A.  Totally different.  The setting my Lord was Mr. Kroc
    15        had a ranch in Santa Barbra, California, and it had lodging
    16        facilities and a meeting room facility and it was used by
    17        the Company at that time for various business meetings.

    19   MS. STEEL:   The meetings in Chicago, were they at the Head
    20        Office?
    21        A.  Yes, they were.  They were at the corporate office.

    23   Q.   What were they about?
    24        A.  Similar kinds of things.  McDonald's was just really
    25        developing its Human Resource function and they would be
    26        reviewing various matters that they were doing.  There may
    27        be some training involved as to again the National Labour
    28        Reactions Act.  There were things such as that.

    30   Q.   So, amongst other things, they wanted your advice about how
    31        to deal with unions?
    32        A.  They wanted my advice as to what the procedure and
    33        process was.  They did not have anyone in-house who had
    34        that speciality.  They did have fine other outside lawyers,
    35        but they were looking for someone to work with them.  There
    36        were people in-house to make sure that they were doing what
    37        they should be doing.  I did not get into specific union
    38        organising attempts or anything like that in those
    39        meetings.

    41   Q.   You mean individual attempts?
    42        A.  Individual attempts.

    44   Q.   Just a general strategy on how to deal with unions?
    45        A.  A general strategy on what is required, the rights and
    46        obligations, respective rights and obligations, of the
    47        parties in these matters.

    49   Q.   Was that part of the preparation of a report about unions?
    50        A.  To my knowledge no report ----

    53        A.  I took no part in preparing any report.

    59        of a legal suit in January 1973 filed by Ray Kroc against
