Day 143 - 27 Jun 95 - Page 32

  Q. Can you identify what you are doing on these flying visits?
       A. My Lord, I need some instruction; I do not really
       understand.

MR. JUSTICE BELL: I think you have to put it -- you see, you
have gone on to a very general question. I think there is
a difficulty with very general questions. You have found
that it does not cover lengths of breaks. You have found
that it does not cover whether a special rate is paid for
overtime. If there is some other employee right which you
       are -----

MR. MORRIS: The right to have their own food, for example,
       rather than McDonald's food.

MR. JUSTICE BELL: Yes, we have had that as well. If there is
anything else, put it to Mr. Stein.

MR. MORRIS: Is there any lack of rights in the UK which you
have advised the UK Company is unfair and they ought to do
       something about?
       A. No. There is none, none whatsoever, but I need to also
say that this country, in my opinion, is extremely well run
by the Human Resource group, by Mr. Preston, and there has
been no need for me to answer questions like that.

MR. JUSTICE BELL: You, obviously, have a responsibility for the
       United States?
       A. Yes, my Lord.

  Q. And that is your native country, I assume. Do you go to
other parts of the world other than on request from the
operator in that country, firstly ---
       A. Generally -----

  Q. -- or, secondly, if there is not some particular dispute,
perhaps, with a high public profile which you feel deserves
your attention, under what, if any, other circumstances do
       you go?
       A. There would be management executive compensation
       issues, benefit issues.

  Q. What do you mean by "compensation"? You have used the word
       several times.
       A. Salary ranges for our managers.

  Q. For salaried staff?
       A. That is correct. I would get into benefits such as
profit sharing, stock options for the management staff.
I would get into things of that -- our development
programmes for our executives to ensure that our succession
planning of executives around the globe, that we are going
to have competent, capable people in the future as we
       continue to grow.

Those are the things -- it is probably a longer list -- but
those are the kinds of things that I would initiate on my
own, my Lord, to make sure that, from a management point of
view in the Company, we are proceeding in the right
