Day 140 - 22 Jun 95 - Page 40

       A. The first occasion, I met with our regional manager and
our Human Resources people, because the claim that we hated
(inaudible) had just arisen, and they had asked me to come
in and talk about what we should do about it.

  Q. Then, what was it, about a month after that you came down
and decided to do the survey, because you were not in a
position to contradict what PUP was saying at that time?
       A. I think it took us a little more than a month to figure
out that this was something -- we thought, frankly, would
go away and it was just something that was for the moment
and would be over with; and so it took us a little more
than a month, as I recall, to start getting into wage data
and all that. I think it was in January, if I recall
correctly, when we got into data -- our own data, not with
TPF & C, but into our own. I would say -- it is hard --
I would say it was in January.

  Q. But the data you got was for November/December?
       A. Excuse me?

  Q. The data you got was for November/December
       A. The dates I got?

  Q. The data.
       A. Oh, the data. Yes, I am sorry. The data was for
       November and December.

  Q. At what point did you decide that your own survey, internal
survey, was not going to be enough to convince people?
       A. It was the beginning of Spring of 1990, and after we
had had a couple of meetings with some black clergymen.

  Q. So you already had a meeting at this stage where you were
not able to convince people of your position?
       A. That is correct.

  Q. On page 1472, this paragraph about the decision to conduct
       a survey?
       A. What paragraph are you speaking of?

  Q. It is the second paragraph up from the bottom.
       A. OK.

  Q. "To determine whether PUP's claims are correct, McDonald's
commissioned an independent survey of starting wage rates
at Philadelphia area in McDonald's restaurants in May."

That is referring, is it not, to the survey being of what
the starting wage rates were in May?
       A. No. That is when we picked TPF & C to conduct their
       independent survey.

  Q. I suggest to you that if that was the case, it would
say: "To determine whether PUP's claims are accurate, in
May 1990 McDonald's commissioned an independent survey."
       A. I do not know if we are into English and American
English, but I beg to differ.

  Q. Or "commissioned an independent survey in May"?
