Day 139 - 21 Jun 95 - Page 58

       Mr. Miller, did you not?
       A. That is correct.

MR. RAMPTON: My Lord, Mr. Morris should say what he means by
"the problem". It may be that he and the witness do not
see it in the same way.

MR. MORRIS: I am quoting from his statement, Mr. Rampton.

MR. RAMPTON: Yes, but then he must state what the problem is.

MR. MORRIS: How long were you in Puerto Rico for?
       A. A couple of weeks altogether during that time period.

  Q. How long was the time period?
       A. Probably four months, maybe shorter; maybe three and a
       half months.

  Q. Each time you went out there did you see Mr. Miller?
       A. There may be an occasion when he would not be there,
but his other executives would be there.

  Q. He had other executives?
       A. Yes; he had a director of operations.

  Q. Were they Puerto Rican? Had they worked for McDonald's in
       other areas as executives?
       A. No, they had had -- his people had had no relationship
at all with McDonald's prior to his acquiring the interest.

  Q. But they were people who lived locally?
       A. That is correct.

  Q. The conditions which you say were very poor when Mr. Gibson
was running the restaurant were they much better when
Mr. Miller was running the restaurants?
       A. I can tell you what I observed when I got to Puerto
Rico in 1974. That is what I can tell you about.

  Q. Were they fairly standard conditions?
       A. Marginally good.

  Q. Marginally good. You said the union had some internal
development which meant that the "independisters", or
something, had sway at that time. Is that correct? Is
       that what you said?
       A. Sway?

  Q. Sway in the union?

  MR. JUSTICE BELL: Influence.
       A. OK. Yes.

MR. MORRIS: Is that relevant at all in terms of whether a union
       is ----
       A. It had relevance.

  Q. -- nationalistic or not?
       A. No. It had relevance because Mr. Miller told me he was
having trouble dealing with them, that they were not
