Day 206 - 22 Jan 96 - Page 59

management team, at the Bath store?
       A. Well, if you -----

  Q. Or does that go out the window?
       A. I would say we enjoy working together.

  Q. But not when there are criticisms?
       A. I would say we would enjoy working together, criticism
       or no criticism.

  Q. The reality is, is it not, Mr. Henden, that McDonald's hate
criticisms like poison, especially when they come from
       inside the Company?
       A. What do you refer to as "poison"?

  Q. They just bury these kind of criticisms, as happened in
       this case?
       A. As regards this, I mean, this individual letter, I do
not know what the outcome or the circumstances were, but
I would say that the systems that are in place, be it rap
sessions or whatever, or, you know, the crew opinion
survey, they do not seem to bury criticisms, to me.

  Q. Do not you feel let down by the Company that you were not
       shown this worrying document?
       A. I have had no occasion to feel let down by the Company
       at all.

  Q. Basically, you are just totally loyal to the Company, are
       you not?
       A. I work for the Company and I enjoy working for the
       Company.

  Q. You are loyal to McDonald's?
       A. I work for McDonald's.

  Q. Are you loyal to them or not? (Pause)

MR. JUSTICE BELL: I think you have to break that down. I hope
everyone is loyal to someone they have worked for for a
long time. But what I think Mr. Morris is really
suggesting to you is that you are loyal to the extent that
you are prepared to mislead on the Company's behalf. That
is really what you are putting, is it not, Mr. Morris?

MR. MORRIS: You are prepared to bury criticisms of the Company
that are made; for example, you are prepared that
criticisms of the Company are buried, worrying criticisms
of the Company are buried; that does not bother you at all,
because you are loyal to the Company; you do not want to
see criticisms of it made public or passed around?
       A. I am not particularly worried about criticism of the
       Company.

  Q. Have you ever made any criticisms of the Company, yourself?
       A. I made a criticism, you know, jokingly or something; no
specific ones that I can recall, though.

  Q. Right. So, you assume McDonald's is just A1, really, all
       the time?
