MS. STEEL: But in a country where there was no subsidiary,
where there was just franchised outlets, that field
consultant would be an employee of the Corporation?
       A. No, not necessarily. For example, I think I had
mentioned, there was mention of the Canary Islands and the
wholly sub in Spain would provide this service in the
Canary Islands. I do not know if Canary Islands are part
of Spain or not part of Spain, but is that the example
       I would use.

MR. JUSTICE BELL: I think that may establish Ms. Steel's point
because, I will be corrected if I am wrong, the Canary
Islands are part of Spain I believe, no doubt demonstrating
       my ignorance.
       A. I do not know.

  Q. They are certainly, I believe, subject to the Spanish
       Crown.
       A. OK.

MS. STEEL: In any event, the effect is that if they are not a
direct employee of the Corporation they are indirectly
through being an employee of the subsidiary?
       A. I would say generally that is correct, yes.

  Q. They are not an employee of the franchisee?
       A. OK, I hope we are talking about the same people.

  Q. The field consultants?
       A. OK, the field consultant would be what we are talking
       about.

  Q. What I just stated to you is correct?
       A. That they would generally be an employee of the
Corporation or one of the subsidiaries?

  Q. Yes.
       A. Yes.

  Q. They are full-time, are they?
       A. Generally speaking, yes. There may be some that are
       part-time.

  Q. So they have quite an input into the introduction and
maintenance of what you have called "good people policies"?
       A. They would be providing the owner/operators with
business advice, suggestions, consultation. That is what
       they would be doing.

  Q. Yes, on a continual basis?
       A. I would say so, yes.

  Q. On the following page you have mentioned that in addition
to the field consultants you have a team of eight highly
       experienced personnel consultants?
       A. Yes.

  Q. Who provide a consulting service to all McDonald's managers
and franchisees outside the US throughout the world?
